1. LEGAL NOTICE & DISCLAIMER
This Master Equipment Rental Agreement is a legal document designed to establish binding obligations between the Lessor and Lessee. 2. PARTIES & DEFINITIONS

3. OPERATIVE CLAUSES & TERMS
3.1 Lease of Equipment
Lessor hereby leases to Lessee, and Lessee hereby leases from Lessor, the Equipment described in Schedule A, subject to the terms and conditions set forth in this Agreement.
3.2 Rental Period and Extension
The Rental Period shall begin on the start date and shall continue until the termination date. Any extension of the Rental Period must be mutually agreed upon in writing by both Parties prior to the expiration of the initial Rental Period, subject to the same terms and conditions herein.
3.3 Rental Fees, Invoicing, and Payment Terms
- Rental Fees: Lessee shall pay Lessor the Rental Rate set forth in Schedule A.
- Invoicing: Lessor shall issue invoices to Lessee
[Monthly / Upon Execution]. Invoices are net[30]days from the date of issuance. - Late Payments: Any undisputed amount not paid when due shall accrue interest at the lesser of

3.4 Delivery, Inspection, and Acceptance

- Inspection: Lessee shall inspect the Equipment immediately upon receipt. Unless Lessee notifies Lessor in writing of any defects, damage, or non-conformance within
[48]hours of delivery, Lessee shall be conclusively deemed to have accepted the Equipment in its current, operational condition.
3.5 Use, Operation, and Maintenance
- Proper Use: Lessee shall use the Equipment in a careful, prudent, and workmanlike manner, strictly in accordance with the manufacturer’s specifications, operating manuals, and all applicable federal, state, and local laws, ordinances, and regulations.
- Maintenance: Lessee, at its sole cost and expense, shall maintain the Equipment in good working order, repair, and condition throughout the Rental Period. Lessee shall not alter, modify, or attach any unauthorized devices to the Equipment.
- Qualified Operators: Lessee shall ensure that the Equipment is operated exclusively by properly trained, certified, and qualified personnel.
3.6 Risk of Loss, Damage, and Insurance
- Risk of Loss: From the time the Equipment is delivered to the Delivery Location until it is returned to and accepted by Lessor, Lessee assumes all risks of loss, theft, destruction, or damage to the Equipment from any cause whatsoever ("Casualty Loss").
- Insurance: Lessee, at its sole cost and expense, shall maintain comprehensive commercial general liability insurance and property damage insurance covering the Equipment for its full replacement value, naming Lessor as an additional insured and loss payee, throughout the Rental Period. Certificates of insurance shall be provided to Lessor prior to delivery.
3.7 Ownership
The Equipment is and shall remain the sole and exclusive personal property of Lessor. Lessee has no right, title, or interest in or to the Equipment except as a bailee and lessee. Lessee shall keep the Equipment free from any liens, encumbrances, or legal processes.
3.8 Return of Equipment
Upon the expiration or earlier termination of the Rental Period, Lessee, at its sole expense, shall return the Equipment to Lessor to the location specified by Lessor, in the same condition as when received, ordinary wear and tear excepted. Failure to return the Equipment on time shall constitute a material breach and incur holdover charges at [200%] of the standard daily Rental Rate.
3.9 Default and Remedies
- Events of Default: Lessee shall be in default if: (a) Lessee fails to pay any sum when due; (b) Lessee breaches any material covenant, term, or condition; (c) Lessee becomes insolvent, files for bankruptcy, or makes an assignment for the benefit of creditors.
- Remedies: Upon the occurrence of a default, Lessor may, at its sole option: (a) Terminate this Agreement; (b) Declare all future rental payments immediately due and payable; (c) Enter the Delivery Location and repossess the Equipment without legal process or liability for trespass; and (d) Pursue any other remedy available at law or in equity.
3.10 Limitation of Liability and Indemnification
- Limitation of Liability: LESSOR SHALL NOT BE LIABLE TO LESSEE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, PUNITIVE, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE USE OF THE EQUIPMENT.
- Indemnification: Lessee shall defend, indemnify, and hold harmless Lessor, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney's fees) arising out of or related to Lessee's operation, handling, storage, or transport of the Equipment.
3.11 Governing Law and Dispute Resolution
This Agreement shall be governed by, construed, and enforced in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
