Buyer is exempt from certain taxes; exemption certificates will be provided upon request.
5. Warranties
- General Warranty: Vendor expressly warrants that all goods and services furnished under this PO shall: (a) be free from defects in design, material, and workmanship; (b) strictly conform to applicable specifications, drawings, and samples; (c) be merchantable and fit for the intended purpose; and (d) comply with all applicable local, state, federal, and international laws, regulations, and industry standards.

- Limitation of Liability: In no event shall Buyer be liable to Vendor for any indirect, incidental, special, punitive, or consequential damages, including loss of anticipated profits or revenue, even if advised of the possibility of such damages.
7. Termination
- Termination for Convenience: Buyer reserves the right to terminate this PO, in whole or in part, at any time for its convenience by providing written notice to Vendor. Upon receipt of such notice, Vendor shall immediately cease all performance, unless the notice dictates otherwise.
