1.1 Seller shall sell and deliver to Buyer, and Buyer shall purchase from Seller, the goods ("Goods") and/or services ("Services") specified in the line-item schedule of this PO in strict accordance with the specifications, drawings, performance criteria, and delivery schedules set forth herein. 1.2 Quantities specified are exact. Over-shipments or under-shipments are prohibited without Buyer’s prior written consent. Unauthorised over-shipments may be returned at Seller’s sole expense.

2. PRICING, INVOICING, AND PAYMENT TERMS

2.1 Prices are fixed as stated on the face of this PO and are inclusive of all applicable taxes, tariffs, duties, packaging, crating, and freight charges, unless explicitly itemized otherwise. 2.2 Seller shall issue a formal, compliant tax invoice to the Invoicing Address only upon complete, accepted delivery of Goods or satisfactory completion of Services. 2.3 Standard payment terms are Net [Number, e.g., 60] days from the date of Buyer’s receipt of a correct and undisputed invoice or receipt of Goods, whichever is later, unless otherwise agreed in writing. Buyer reserves the right to set off any amount owed by Seller to Buyer against any amounts payable under this PO.

3. DELIVERY, RISK OF LOSS, AND TITLE

3.1 Time is of the essence with respect to delivery schedules. 3.2 Delivery shall be made Delivered Duty Paid (DDP - Incoterms latest edition) to the designated Delivery Point. 3.3 Risk of loss or damage to Goods shall pass to Buyer only upon formal inspection and acceptance of the Goods at the Delivery Point. Title to Goods passes to Buyer upon the earlier of payment or delivery.

4. INSPECTION, ACCEPTANCE, AND REJECTION

4.1 Buyer reserves the right to inspect Goods and Services within a reasonable time ([Number, e.g., 14]) days after delivery or performance. 4.2 Payment prior to inspection does not constitute acceptance. Buyer may reject any Goods or Services that are non-conforming, defective, or fail to meet specifications. 4.3 Rejected items may, at Buyer’s option, be returned to Seller at Seller’s risk and expense for full credit, refund, or prompt replacement.

5. WARRANTIES

6. INTELLECTUAL PROPERTY INDEMNIFICATION

6.1 Seller warrants that the Goods and Services, and the normal use thereof, do not and will not infringe any patent, copyright, trademark, trade secret, or other proprietary right of any third party. 6.2 Seller shall defend, indemnify, and hold harmless Buyer and its affiliates from and against any claims, liabilities, losses, damages, and expenses (including reasonable legal fees) arising out of any actual or alleged intellectual property infringement relating to the Goods or Services.

7. LIMITATION OF LIABILITY

7.1 To the maximum extent permitted by law, Buyer’s aggregate liability arising out of or relating to this PO shall not exceed the total PO Value stated herein. 7.2 In no event shall Buyer be liable to Seller for any indirect, incidental, consequential, special, or punitive damages, including lost profits or business interruption, regardless of the theory of liability.

8. TERMINATION

8.1 Termination for Convenience: Buyer may terminate this PO, in whole or in part, at any time for its convenience by providing written notice to Seller. Upon receipt, Seller shall immediately cease performance, and Buyer shall pay reasonable, documented, non-cancellable costs incurred up to the date of termination. 8.2 Termination for Cause: Buyer may terminate this PO immediately upon written notice if Seller breaches any material term, becomes insolvent, makes an assignment for the benefit of creditors, or files for bankruptcy.

9. GOVERNING LAW AND DISPUTE RESOLUTION

9.1 This PO shall be governed by, construed, and enforced in accordance with the laws of the jurisdiction of [State/Country], without regard to its conflict of laws principles. 9.2 Any legal action or proceeding arising under this PO shall be brought exclusively in the state or federal courts located in [County, State], and the parties irrevocably consent to the personal jurisdiction and venue therein.
