5. STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Preparation and Customization
- Open this template in Microsoft Word, Google Docs, or an equivalent word processor.
- Locate all bracketed text fields (designated by square brackets like
[ ]) and replace them with the exact legal names, addresses, amounts, dates, and governing jurisdictions agreed upon by Maker and Holder. - Review Section 2.2 and Section 7.1 to explicitly select and retain either Option A or Option B, deleting the unselected alternative and removing all associated bracket formatting.
- Verify that the numerical figures and written dollar amounts in Section 1 and Section 2 match precisely.
Step 2: Verification of Signatory Authority
- Confirm that the individual executing this Note on behalf of Maker (the Borrower) and Holder (the Lender) possesses verified corporate or legal authority to bind the respective entity.
- For corporate entities, inspect organizational documents (Bylaws, Operating Agreements, Board Resolutions, or Certificates of Good Standing) to verify that executive officers or designated signatories are authorized to incur debt on behalf of the entity.
Step 3: Execution and Digital Signing
- Wet-Ink Execution: Print two (2) original copies of the finalized Note. Both Maker and Holder must execute both originals in blue or black ink. Each party shall retain one fully executed original.
- Digital Execution (Recommended): Export the finalized Word document as a secure PDF and upload it to an institutional digital signature platform (such as DocuSign, Adobe Sign, or HelloSign). Configure the workflow to require multi-factor authentication or verified email delivery for all signatories to ensure audit trail integrity.
Step 4: Record Retention and Filing
- Collateral Filing (If Secured): If Section 7 indicates that this Note is secured by collateral, counsel or operations personnel must immediately prepare and file a UCC-1 Financing Statement with the Secretary of State in the jurisdiction where Maker is organized, perfecting Holder’s security interest in the collateral.
- Internal Recordkeeping: Store the fully executed PDF version of this Note within the organization's secure contract management system (CMS), physical safe, or institutional vault. Maintain an immutable audit log and calendar reminders for all payment milestones, interest due dates, and the final Maturity Date.
