Step 1: Document Customization (Word / Google Docs)

  1. Open the template in Microsoft Word or Google Docs.
  2. Locate all bracketed placeholders (e.g., [Maker Full Legal Name], [Amount in USD], [State], [Maturity Date]) and replace them with accurate, verified factual data. Do not leave any brackets empty.
  3. Review Section 2.2 to explicitly select whether this note requires monthly installments or a single balloon payment, deleting the inapplicable option.
  4. Check Section 6.1 regarding collateral: indicate whether the note is unsecured or paired with a security agreement.

Step 2: Verification of Signatory Authority

  1. Verify that the individual signing on behalf of Maker (if an entity such as a Corporation or LLC) possesses actual legal authority to bind the entity (e.g., CEO, Managing Member, President).

  2. Digital Execution (DocuSign / Adobe Sign): Upload the finalized document to a compliant electronic signature platform. Ensure audit trails and certificate of completion are generated and archived alongside the executed PDF.

Step 4: Record Retention & Filing

  1. Digital Archive: Store the executed PDF in a secure, immutable institutional document repository with restricted access.
  2. Collateral Perfection (If Applicable): If Section 6.1 indicates the note is secured by collateral, file the appropriate UCC-1 Financing Statements with the Secretary of State in the applicable jurisdiction immediately upon execution to perfect Holder's security interest.
  3. Accounting Entry: Record the principal liability on Maker’s balance sheet and the corresponding note receivable on Holder’s balance sheet in accordance with GAAP or IFRS standards.
