OPERATIVE CLAUSES
1. Principal Amount and Interest Rate
1.1 Principal Sum: For value received, Maker promises to pay to the order of Holder the principal sum of [Amount in USD] (US $[Numeric Amount]), together with interest thereon calculated in accordance with the terms of this Note.
1.2 Interest Rate: The outstanding principal balance of this Note shall bear interest at the rate of [Interest Rate]% per annum, calculated on the basis of a 365-day year and the actual number of days elapsed. In no event shall the interest rate charged hereon exceed the maximum rate permitted by applicable law (the "Maximum Rate"). If any interest is paid in excess of the Maximum Rate, such excess shall be applied automatically to reduce the principal balance of this Note or, if the principal has been paid in full, refunded to Maker.
2. Payment Terms and Schedule
2.1 Maturity Date: The entire unpaid principal balance of this Note, together with all accrued and unpaid interest and any other fees or charges owing hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date").
2.2 Installment Payments: Maker shall make [Number of Installments] [Monthly/Quarterly/Annual] installment payments of US $[Installment Amount] each, commencing on [First Payment Date], and continuing on the same day of each subsequent [month/quarter/year] until the Maturity Date, at which time the remaining balance shall be paid in full.
2.3 Application of Payments: All payments made on account of this Note shall be applied first to the payment of any late fees, collection costs, or other charges due hereunder, second to the payment of accrued and unpaid interest, and third to the reduction of the outstanding principal balance.
2.4 Method of Payment: All payments due under this Note shall be made in lawful money of the United States of America by wire transfer of immediately available funds to an account designated in writing by Holder, or by check delivered to Holder’s address set forth above, unless otherwise directed by Holder in writing.
3. Prepayment
Maker shall have the right to prepay the principal amount of this Note, in whole or in part, at any time and from time to time, without premium or penalty. Any partial prepayment shall be applied against the principal installments due under this Note in the inverse order of their maturity and shall not postpone the due date of any subsequent scheduled installment unless expressly agreed to in writing by Holder.
4. Default and Acceleration
4.1 Events of Default: The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:
(a) Failure of Maker to pay any principal, interest, or other fee due under this Note within [Grace Period, e.g., 10] calendar days of its due date;
(b) The filing of a petition by or against Maker under any bankruptcy, insolvency, reorganization, or moratorium law, or any other law for the relief of debtors;
(c) The appointment of a receiver, trustee, custodian, or liquidator for Maker or for any substantial part of Maker's property;
(d) The making of a general assignment for the benefit of Maker's creditors; or
(e) A breach of any other material covenant, representation, or warranty made by Maker in this Note, which breach is not cured within [Cure Period, e.g., 15] calendar days after written notice thereof from Holder.
4.2 Acceleration: Upon the occurrence of any Event of Default, and at any time thereafter (such default continuing), Holder may, at its option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, immediately due and payable, without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by Maker.
5. Default Interest and Late Charges
5.1 Late Charges: If any payment due under this Note is not received by Holder within [Late Grace Period, e.g., 5] calendar days after the date it is due, Maker shall pay to Holder a late charge equal to [Late Fee Percentage, e.g., 5]% of the overdue payment, or the maximum amount permitted by applicable law, to cover the administrative costs of processing late payments.
5.2 Default Rate: Upon the occurrence and during the continuation of any Event of Default, the outstanding principal balance of this Note shall bear interest at the lesser of [Default Interest Rate, e.g., 18]% per annum or the maximum rate permitted by applicable law (the "Default Rate"), effective from the date of the Event of Default until such Event of Default is cured or the debt is paid in full.
6. Representations and Warranties
Maker represents and warrants to Holder that: (a) Maker has full legal power, capacity, and authority to execute, deliver, and perform its obligations under this Note; (b) This Note constitutes a legal, valid, and binding obligation of Maker, enforceable against Maker in accordance with its terms; and (c) The execution and delivery of this Note do not and will not violate any provision of any law, rule, regulation, order, writ, judgment, decree, or agreement binding upon Maker.

No failure or delay on the part of Holder in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
9. Governing Law and Jurisdiction
This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of the State of [State], without regard to its conflict of laws principles. 10. Miscellaneous Provisions
10.1 Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The remaining provisions of this Note shall remain in full force and effect and shall not be affected hereby. 10.2 Entire Agreement: This Note constitutes the final, complete, and exclusive statement of the agreement between Maker and Holder with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, negotiations, and discussions, whether oral or written. 10.3 Amendments and Waivers: No modification, amendment, extension, discharge, or waiver of any provision of this Note shall be valid unless the same is in writing and signed by both Maker and Holder. 10.4 Successors and Assigns: This Note shall be binding upon Maker and Maker's heirs, legal representatives, successors, and permitted assigns, and shall enure to the benefit of Holder and Holder's successors and assigns.
