WHEREAS, the Maker acknowledges a just and lawful indebtedness to the Holder in the principal sum set forth below; and
WHEREAS, the Maker desires to formalize the terms of repayment of said principal sum together with interest thereon under the terms and conditions hereinafter set forth;
NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which are hereby irrevocably acknowledged, the Maker covenants and agrees as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
Section 1: Principal Amount and Promise to Pay
For value received, the Maker unconditionally promises to pay to the order of the Holder the principal sum of [Amount in CAD/USD] ([Written Amount, e.g., Ten Thousand Canadian Dollars]), together with interest accrued thereon, calculated in accordance with the terms of this Promissory Note (the "Note").
Section 2: Interest Rate
The outstanding principal balance under this Note shall bear interest at the rate of [Interest Rate Percentage, e.g., 5.0] percent ([Numerical Rate, e.g., 5%]) per annum, calculated [compounded monthly / annually / simple interest], commencing on the Effective Date. Interest shall continue to accrue until the principal sum is paid in full, both before and after maturity, default, and judgment. Pursuant to the Interest Act (Canada), where any interest is stated to be calculated at a rate based upon a period of less than a calendar year (e.g., daily or monthly), the yearly rate equivalent to such rate is the stated rate multiplied by the actual number of days in the year and divided by the period of calculation.
Section 3: Repayment Terms and Maturity Date
The principal amount, together with all accrued and unpaid interest, shall be due and payable in full on or before [Maturity Date, e.g., December 31, 2027] (the "Maturity Date"). Alternatively, if installment payments are elected, the Maker shall make consecutive monthly payments of [Installment Amount] each, commencing on [First Payment Date], and continuing on the same day of each successive month until the Maturity Date, at which time the remaining balance, if any, shall be paid in full. Payments shall be applied first to accrued and unpaid interest, and thereafter to the reduction of the principal balance.
Section 4: Prepayment Privileges
The Maker reserves the right to prepay this Note, in whole or in part, at any time without penalty or premium. Any partial prepayment shall be applied against the principal installments in the inverse order of their maturity and shall not postpone the due date of any subsequent scheduled installment unless expressly agreed to in writing by the Holder.
Section 5: Events of Default
The occurrence of any one or more of the following events shall constitute an immediate "Event of Default" under this Note:
- Failure to Pay: The Maker fails to pay any principal or interest payment when due under this Note, and such failure continues for a period of
[e.g., 5]business days following written notice from the Holder. - Insolvency & Bankruptcy: The Maker makes an assignment for the benefit of creditors, files a petition in bankruptcy, petitions or applies to any tribunal for the appointment of a trustee or receiver for all or a substantial part of its assets, or commences any proceeding under any bankruptcy, reorganization, arrangement, insolvency, readjustment of debt, dissolution, or liquidation law of any jurisdiction.
- Attachment & Execution: The attachment, execution, or other judicial seizure of any material portion of the Maker’s assets, which is not dismissed or discharged within
[e.g., 30]days. - Breach of Covenants: The Maker breaches any other material covenant, term, or condition contained in this Note and fails to cure such breach within
[e.g., 15]days following written notice thereof from the Holder.
Section 6: Acceleration of Debt
Upon the occurrence of any Event of Default, and at any time thereafter during the continuance of such default, the Holder may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest thereon, immediately due and payable, without presentment, demand, protest, or notice of any kind (all of which are hereby expressly waived by the Maker).
Section 7: Default Interest and Costs of Collection
Following an Event of Default or upon maturity, the overdue principal and, to the extent permitted by law, overdue interest, shall bear interest at the rate of [Default Interest Rate, e.g., 12.0] percent ([Numerical Rate, e.g., 12%]) per annum (the "Default Rate") until paid in full. The Maker further agrees to pay all reasonable costs and expenses incurred by the Holder in enforcing this Note, including, without limitation, reasonable legal fees on a solicitor-and-own-client basis, collection agency fees, and court costs.
Section 8: Waivers by Maker
The Maker and all endorsers, sureties, and guarantors of this Note hereby severally waive presentment for payment, demand, notice of non-payment, protest, notice of protest, notice of dishonor, and diligence in collection, and consent to any and all extensions of time, renewals, modifications, or releases of any party liable hereon, without in any way discharging or affecting the liability of the Maker.
Section 9: Governing Law and Jurisdiction
This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of laws principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of the Province of Ontario sitting in the City of Toronto.
Section 10: Severability
If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The remaining provisions of this Note shall remain in full force and effect and shall not be affected, impaired, or invalidated.
Section 11: Entire Agreement and Amendments
This Note constitutes the entire agreement between the Maker and the Holder pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. No amendment, modification, waiver, or discharge of any provision of this Note shall be valid unless executed in writing by both the Maker and the Holder.
