1. STATUTORY & LEGAL COMPLIANCE NOTICE

DISCLAIMER: This institutional-grade Promissory Note template is drafted to comply with the general contract law principles of the Province of Ontario, including the Limitations Act, 2002 (Ontario) and the Interest Act (Canada). However, financial lending arrangements, commercial debt instruments, and intra-corporate financing involve complex legal and tax considerations. This document does not constitute formal legal or financial advice. Both the Maker (Borrower) and the Holder (Lender) are strongly advised to retain independent legal counsel and qualified tax advisors to review this instrument prior to execution to ensure alignment with specific transactional parameters and statutory updates.

2. PARTIES & RECITALS

THIS PROMISSORY NOTE (the "Note") is made and entered into as of [Effective Date] (the "Effective Date"), by and between:

THE MAKER (BORROWER):
[Borrower Full Legal Name], having a principal place of residence or registered office located at [Borrower Principal Address] (hereinafter referred to as the "Maker").

AND

THE HOLDER (LENDER):
[Lender Full Legal Name], having a principal place of residence or registered office located at [Lender Principal Address] (hereinafter referred to as the "Holder").

RECITALS:

WHEREAS, the Maker has requested that the Holder advance certain monies to the Maker, and the Holder has agreed to extend such credit upon the terms and conditions set forth herein; and

WHEREAS, for value received, the Maker unconditionally promises to pay to the order of the Holder the principal sum, together with interest accrued thereon, in accordance with the repayment schedule and operational terms detailed below.

NOW, THEREFORE, in consideration of the mutual covenants, agreements, premises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Maker and the Holder covenant and agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Principal Amount and Disbursement

For value received, the Maker unconditionally promises to pay to the order of the Holder at such address as the Holder may from time to time designate in writing, the principal sum of [Amount in Currency, e.g., CAD $50,000.00] (the "Principal Amount"), disbursed in accordance with the terms of this Note on or about the Effective Date.

2. Interest Rate

Subject to Section 3 below, the unpaid principal balance of this Note shall bear interest at the rate of [Interest Rate, e.g., 5.0] percent ([Interest Rate, e.g., 5.0]%) per annum (the "Interest Rate"). Interest shall be calculated on the basis of a 365-day year and the actual number of days elapsed, compounded [Select: monthly / annually / semi-annually], commencing on the Effective Date and continuing until the Principal Amount and all accrued interest are paid in full.

Statutory Notice under the Interest Act (Canada): Whenever a rate of interest is calculated on the basis of a period of time other than a calendar year (e.g., monthly), the yearly rate of interest equivalent to such rate is mathematically equivalent to such rate multiplied by the number of days in the calendar year in which the calculation is made and divided by the number of days in the period of calculation.

3. Repayment Schedule & Maturity Date

The Principal Amount, together with all accrued and unpaid interest and any other charges or fees payable hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), unless accelerated earlier pursuant to the default provisions of this Note.

(Optional Installment Schedule - Strike out if not applicable):
The Maker shall make [Number of Installments] consecutive monthly installments of [Installment Amount] each, commencing on [First Installment Date], and continuing on the same day of each subsequent month until [Final Installment Date], at which time the remaining unpaid balance of principal and accrued interest shall be paid in full.

4. Prepayment

The Maker reserves the right to prepay this Note, in whole or in part, at any time and from time to time, without penalty or premium. Any partial prepayment shall be applied first to the payment of all accrued and unpaid interest up to the date of such prepayment, and the remainder shall be applied to the reduction of the outstanding Principal Amount. No prepayment shall postpone the due date of any scheduled installment unless explicitly agreed to in writing by the Holder.

5. Method of Payment

All payments of principal, interest, and other amounts due under this Note shall be made in lawful money of Canada (or [Insert Currency if USD or other]) in immediately available funds via electronic funds transfer (EFT), wire transfer to an account designated in writing by the Holder, or by check delivered to the Holder’s address set forth herein. If any payment falls due on a Saturday, Sunday, or statutory holiday in the Province of Ontario, such payment shall be made on the next succeeding business day, and such extension of time shall be included in the computation of interest.

6. Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  1. Failure to Pay: The Maker fails to pay any installment of principal or interest, or any other sum due under this Note, within [Number, e.g., 5] business days of its due date;
  2. Insolvency & Bankruptcy: The Maker becomes insolvent, makes an assignment for the benefit of creditors, consents to the appointment of a trustee, receiver, or liquidator over all or a substantial part of its assets, or files a petition or proposal under the Bankruptcy and Insolvency Act (Canada) or the Companies' Creditors Arrangement Act (Canada), or similar legislation;
  3. Execution or Attachment: Any execution, garnishment, or attachment is issued against or levied upon any material property or assets of the Maker and is not discharged or contested in good faith within thirty (30) days;
  4. Breach of Covenants: The Maker breaches or fails to perform any other material covenant, term, or condition contained in this Note and fails to cure such breach within fifteen (15) calendar days after receipt of written notice thereof from the Holder.

7. Acceleration of Maturity

Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been waived in writing by the Holder), the Holder may, at its sole option, declare the entire unpaid Principal Amount of this Note, together with all accrued and unpaid interest and all other sums payable hereunder, to be immediately due and payable without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by the Maker.

8. Default Interest and Enforcement Costs

Following an Event of Default or upon maturity, the outstanding principal balance of this Note shall bear default interest at the rate of [Default Interest Rate, e.g., 12.0] percent ([Default Interest Rate, e.g., 12.0]%) per annum (or the maximum rate permitted by applicable law, whichever is less) until the default is cured or the debt is paid in full. Furthermore, the Maker agrees to pay all reasonable costs and expenses incurred by the Holder in connection with the collection and enforcement of this Note, including, without limitation, reasonable legal fees on a full indemnity basis.

9. Waiver of Presentment and Notice

The Maker, and any endorsers, sureties, guarantors, and all other parties now or hereafter liable for the payment of this Note, severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of non-payment, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note.

10. Governing Law and Jurisdiction

This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the courts of the Province of Ontario sitting in the City of Toronto for any actions, suits, or proceedings arising out of or relating to this Note.

11. Severability

If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision contained herein, which shall remain in full force and effect.

12. Entire Agreement and Amendments

This Note constitutes the final, complete, and exclusive statement of the agreement between the Maker and the Holder with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written negotiations, understandings, or agreements. This Note may not be amended, modified, waived, or discharged except by a written instrument executed by both the Maker and the Holder.
