STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Drafting: Use a word processor (e.g., Microsoft Word) to replace all [bracketed text] with the actual information. Ensure the date formats are consistent.
  2. Verification:
    • Entity Authority: If the Borrower or Lender is an entity (LLC, Corp), ensure the signer has the actual authority (via Board Resolution or Operating Agreement) to bind the entity.
    • Notarization: While not strictly required for the enforceability of a promissory note in New Jersey, having a Notary Public witness the signature (an "Acknowledgement") is highly recommended to prevent future claims of forgery.
  3. Digital Execution: Utilize a compliant e-signature platform (DocuSign, Adobe Sign). These platforms create an "Audit Trail" (Certificate of Completion) which is essential for proving the intent and identity of the parties in court.
  4. UCC Filing (Optional but Recommended): If the Note is secured by collateral, the Lender must file a UCC-1 Financing Statement with the New Jersey Secretary of State to "perfect" their security interest. If this is an unsecured Note, no filing is required.
  5. Record Retention: The original signed document (or the electronic record of the signed document) should be stored in a fireproof or secure digital vault for the duration of the Note's life plus seven (7) years to satisfy statutes of limitations for contract claims in New Jersey.
