STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Drafting: Replace all bracketed text (e.g., [Amount in USD]) with the specific deal terms. Ensure interest rates do not exceed Kansas statutory limits (review K.S.A. 16-201 et seq.).
  2. Verification: Confirm that the signatory for the entity has the corporate authority (via Board Resolution or Operating Agreement) to bind the entity to debt obligations.
  3. Execution: Use a secure e-signature platform (DocuSign/Adobe Sign) that creates an audit trail. Ensure the final document is signed by both parties.
  4. Security Interest (Optional): If this Note is meant to be secured (i.e., by collateral), a separate Security Agreement must be drafted and a UCC-1 Financing Statement must be filed with the Kansas Secretary of State.
  5. Retention: Store the signed original in a secure digital repository (e.g., DocuSign Envelope/Vault or a restricted corporate document management system). Maintain this document for at least the duration of the statute of limitations for contract actions in Kansas (typically 5 years for written contracts per K.S.A. 60-511).
