NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Principal Sum and Interest Rate

1.1 Promise to Pay. For value received, the Borrower unconditionally promises to pay to the order of the Lender the principal sum of [Amount in USD] ($[Numeric Amount]), together with interest accrued thereon, in accordance with the payment schedule and terms set forth in this Note.
1.2 Interest Rate. The unpaid principal balance of this Note shall bear interest at the fixed rate of [Interest Rate Percentage] percent ([Interest Rate Percentage]) per annum, calculated on the basis of a 360-day year and the actual number of days elapsed. Following the occurrence of an Event of Default (as defined herein), or upon maturity, the interest rate shall adjust to the maximum rate permitted by applicable law (the "Default Rate").

Section 2. Repayment Terms and Schedule

2.1 Installment Payments. The principal and interest of this Note shall be payable in consecutive monthly installments of [Monthly Installment Amount in USD] ($[Numeric Amount]) each, commencing on [First Payment Date], and continuing on the same day of each successive month thereafter until [Maturity Date] (the "Maturity Date"), at which time the entire remaining unpaid principal balance, together with all accrued and unpaid interest and any other charges provided for herein, shall be due and payable in full.
2.2 Application of Payments. All payments remitted by the Borrower under this Note shall be applied first to any late fees, collection costs, or administrative fees due; second to accrued and unpaid interest; and third to the reduction of the outstanding principal balance.
2.3 Method of Payment. All payments shall be made in lawful money of the United States of America, delivered to the Lender at such address as the Lender may designate in writing from time to time, via wire transfer, automatic clearing house (ACH) debit, or such other method as mutually agreed upon by the parties.

Section 3. Prepayment Privileges

3.1 Right to Prepay. The Borrower reserves the right to prepay the principal amount outstanding under this Note, in whole or in part, at any time without penalty. Any partial prepayment shall not postpone the due date of any subsequent monthly installment unless expressly agreed to in writing by the Lender, but shall be applied exclusively to the principal installments in the inverse order of their maturity.

Section 4. Collateral Security Interest

4.1 Grant of Security Interest. To secure the prompt, complete, and punctual payment of all obligations under this Note, the Borrower hereby grants, assigns, pledges, and conveys to the Lender a first-priority security interest and lien in and to the motor vehicle described below (the "Collateral"):

  • Make: [Vehicle Make]
  • Model: [Vehicle Model]
  • Year: [Vehicle Year]
  • Vehicle Identification Number (VIN): [Vehicle VIN]
  • License Plate / Registration No.: [Registration Number, if applicable]

4.2 Perfection of Security Interest. The Borrower authorizes the Lender to file, record, or register any financing statements, lien entries on the motor vehicle title, or other instruments required by applicable state law to perfect and maintain the Lender’s first-priority security interest in the Collateral. The Borrower shall execute all such documents and perform all acts requested by the Lender to ensure the continuing validity and perfection of such lien.
4.3 Maintenance and Protection of Collateral. The Borrower shall maintain the Collateral in good operating condition and repair, ordinary wear and tear excepted, and shall not permit the Collateral to be subjected to any misuse, abuse, neglect, or confiscation. The Borrower shall keep the Collateral free from any liens, encumbrances, or security interests other than that of the Lender.

Section 5. Insurance Requirements

5.1 Mandatory Coverage. The Borrower shall, at its sole cost and expense, maintain comprehensive physical damage insurance (including collision and comprehensive coverage) and third-party liability insurance covering the Collateral. Such insurance shall be maintained with financially sound and reputable insurance carriers acceptable to the Lender.
5.2 Policy Endorsements. The insurance policies shall name the Lender as an additional insured and loss payee as its interests may appear. The Borrower shall provide the Lender with certificates of insurance or policies evidencing such coverage upon execution of this Note and upon each policy renewal. All policies shall provide for a minimum of thirty (30) days' prior written notice to the Lender in the event of cancellation or material modification.

Section 6. Events of Default

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: 6.1 Failure to Pay. The Borrower fails to pay any installment of principal or interest within [Number of Grace Period Days] days of its due date, or fails to pay any other sum due hereunder upon maturity.
6.2 Breach of Covenants. The Borrower breaches or fails to perform any other covenant, agreement, condition, or warranty contained in this Note, and such breach continues unremedied for a period of [Cure Period Days] days following written notice thereof from the Lender.
6.3 Insolvency or Bankruptcy. The Borrower files a petition in bankruptcy, seeks relief under any insolvency law, makes an assignment for the benefit of creditors, has a receiver or trustee appointed for its assets, or becomes subject to any involuntary bankruptcy or insolvency proceeding that is not dismissed within sixty (60) days.
6.4 Loss, Damage, or Unauthorized Transfer. The Collateral is substantially damaged, destroyed, seized, levied upon, or sold, or the Borrower attempts to sell, lease, encumber, or transfer the Collateral without the prior written consent of the Lender.

Section 7. Remedies Upon Default

7.1 Acceleration. Upon the occurrence of an Event of Default and at any time thereafter (unless such Event of Default is cured), the Lender may, at its option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums payable hereunder, to be immediately due and payable without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by the Borrower.
7.2 Enforcement of Security Interest. The Lender shall have, in addition to all rights and remedies provided herein, all rights and remedies of a secured party under the Uniform Commercial Code as enacted in the governing jurisdiction, including the right to repossess the Collateral peaceably without judicial process or by judicial action, and to sell, lease, or otherwise dispose of the Collateral at public or private sale.
7.3 Costs of Collection. The Borrower agrees to pay all reasonable costs and expenses incurred by the Lender in exercising any of its rights or remedies upon default, including reasonable attorneys' fees, court costs, and expenses associated with the repossession, storage, preparation for sale, and sale of the Collateral.

Section 10. Miscellaneous Provisions

10.1 Severability. If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall remain in full force and effect.
10.2 Entire Agreement; Amendments. This Note constitutes the entire agreement between the Borrower and the Lender pertaining to the subject matter hereof and supersedes all prior agreements, understandings, negotiations, and discussions, whether oral or written. No amendment, modification, or waiver of any provision of this Note shall be valid unless executed in writing by both parties.
10.3 Waivers by Borrower. 5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization (Drafting Phase)

  • Open the document template in a secure word processor (e.g., Microsoft Word or Google Docs).
  • Locate all bracketed placeholder text (e.g., [Amount in USD], [Vehicle VIN]) and replace them with verified, accurate financial, personal, and vehicle data. Ensure the numeric principal amount matches the written amount verbatim.

Step 2: Verification of Signatory Authority and Collateral Data

  • Verify the Borrower’s identity via government-issued photo identification.
  • Inspect the physical motor vehicle, certificate of title, and current registration documents to confirm that the Vehicle Identification Number (VIN), make, model, and year match Section 4.1 exactly. Verify that no prior unreleased liens exist on the title.

Step 3: Execution and Digital Signing

  • Execute the document using wet-ink signatures or an institutional digital signature platform (such as DocuSign or Adobe Sign) that provides a tamper-evident audit trail complying with the Electronic Signatures in Global and National Commerce (E-Sign) Act and Uniform Electronic Transactions Act (UETA).
  • Ensure both the Lender and Borrower initial or sign all pages and exhibits as required.

Step 4: Lien Perfection and Regulatory Filing

  • Immediately following execution, submit the necessary lien perfection documentation (such as an application for a corrected/new title recording the Lender as the primary lienholder, or a UCC-1 financing statement if applicable) to the appropriate state motor vehicle department or filing office within the statutory grace period.

Step 5: Post-Closing Record Retention

  • Store the fully executed original Promissory Note in a secure, fireproof vault or a cryptographically secure digital document repository.
  • Maintain copies of the insurance policy naming the Lender as loss payee, vehicle title documentation, and payment tracking logs for the entire duration of the loan term plus any applicable statute of limitations following full satisfaction.
