5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Review and Customization

  • Open the document in Microsoft Word or Google Docs.
  • Locate all bracketed placeholders (e.g., [Effective Date], [Amount in CAD], [Insert Province]) and replace them with accurate, verified factual data. Ensure the numerical amount matches the written word amount.
  • Verify whether the Note is structured as an on-demand instrument (Option A) or installment-based (Option B). Delete the unselected option to avoid legal ambiguity.

Step 2: Legal and Financial Verification

  • Interest Rate Check: Confirm that the interest rate does not breach Section 347 of the Criminal Code (Canada) regarding criminal rates of interest (effective annual rate exceeding 60%).
  • Provincial PPSA Registration: If Section 4 (Security) is utilized, consult with corporate counsel or a licensed security broker to prepare and register a financing statement under the applicable provincial Personal Property Security Act (e.g., PPSA in Ontario, RPPSA in British Columbia, or the Civil Code of Québec for hypothecs) to perfect the Holder's security interest in the Collateral.

Step 3: Signatory Authority Verification

  • If the Maker or Holder is a corporation, partnership, or other legal entity, verify through corporate resolutions, certificates of incumbency, or corporate bylaws that the individual executing this Note possesses the legal authority to bind the entity.

Step 4: Execution via Wet Ink or Digital Signature

  • Wet Ink Execution: Print two (2) original copies of the executed document. Ensure all signatures are witnessed by an independent third party who signs the witness block and provides their full contact information.
  • Digital Execution: Utilize an institutional-grade electronic signature platform compliant with the Personal Information Protection and Electronic Documents Act (PIPEDA) and provincial electronic commerce legislation (e.g., DocuSign, Adobe Sign). Ensure audit trails and certificate hashes are retained.

Step 5: Post-Execution Record Retention

  • Store the fully executed original instrument in a secure, fireproof corporate vault or institutional document management system.
  • Provide certified true copies of the executed Note to both the Maker and the Holder for their respective financial and accounting records.
  • Maintain a digital ledger tracking payment schedules, interest accruals, and notice histories.
