STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Customization (Drafting Phase)
- Open this template in a text editor or word processor (Microsoft Word or Google Docs).
- Locate all bracketed placeholders (e.g.,
[Maker Full Legal Name],[Amount in AUD],[Effective Date]) and replace them with accurate, verified factual data. Ensure numerical amounts match written text where applicable. - Select the appropriate repayment structure in Section 3.1 (Delete the unused option).
- Remove all instructional bracketed text and formatting prompts prior to final distribution.
Step 2: Verification of Signatory Authority
- Corporate Entities (Companies): Verify via the Australian Securities and Investments Commission (ASIC) register that executing directors hold valid authority. If a sole director company executes without a company secretary, ensure execution complies with section 127(1) of the Corporations Act 2001 (Cth).
- Individuals: Confirm the legal identity of the Maker and Holder using government-issued identification (e.g., Australian Driver Licence or Passport).
Step 3: Execution and Witnessing
- Ensure physical or digital signatures are applied in the presence of independent witnesses where required under state practice or company policy. Witnesses must not be parties to the agreement or immediate family members.
- Digital Execution: If utilizing electronic signature platforms (such as DocuSign or Adobe Sign), ensure compliance with the Electronic Transactions Act 1999 (Cth) and equivalent state legislation, verifying reliable methods of identification and user consent.
Step 4: Post-Execution Record Retention
- Generate an executed, immutable PDF copy of the Promissory Note.
- Store the original physical document (if wet-ink signed) in a secure, fireproof safe or corporate vault, as negotiable instruments and promissory notes often require presentation of the physical original in enforcement proceedings.
- Distribute countersigned copies to both the Maker and Holder for their respective corporate records and accounting ledgers.
