V. STEP-BY-STEP EXECUTION & FILING GUIDE
- Field Completion: Open this document in a standard word processor (Microsoft Word or Google Docs). Use the
Find and Replacefunction to locate all bracketed text (e.g.,[...]) and input the specific deal terms (Principal amount, interest rates, and legal names). - Verify Authority: Ensure the individual signing on behalf of a corporation or LLC has the legal authority (via corporate resolution or operating agreement) to bind the entity to a debt obligation.
- Digital Execution: If executing remotely, upload the finalized PDF to a secure platform (DocuSign, Adobe Sign, or PandaDoc). Ensure that the "Audit Trail" feature is enabled to provide evidence of the IP addresses and timestamps associated with the signatures.
- Notarization (Optional but Recommended): For high-value Principal amounts, it is standard practice to have the signatures notarized to prevent future claims of forgery or lack of capacity.
- Record Retention: Under standard corporate governance protocols, the original executed Note should be stored in a "Closing Binder" (digital or physical). The Lender should maintain the original instrument as it is a negotiable instrument under Article 3 of the Uniform Commercial Code (UCC) in many jurisdictions.
- UCC-1 Filing: If this Note is secured by collateral (as implied by the "Secured" title), the Lender should file a UCC-1 Financing Statement with the Secretary of State in the Borrower's jurisdiction to perfect their security interest.
