3.5 Prepayment Privilege

Maker reserves the right to prepay the Principal Balance, in whole or in part, at any time without penalty. Maker assents to any and all extensions, renewals, modifications, or indulgences granted by Payee with respect to the time of payment or other terms of this Note, and to the release of any security or other party liable hereon, without in any way discharging or affecting the liability of Maker.

6. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization

Open this template in Microsoft Word or Google Docs. Replace all bracketed placeholder text (e.g., [Maker Full Legal Name], [Amount in USD], [State]) with the accurate, verified data of the transaction. Ensure numerical amounts match written text amounts to prevent ambiguity.

Step 2: Legal Review & Usury Check

Review the chosen Interest Rate against the statutory usury limits of the governing state ([State]). Intra-family loans should also be checked against the Applicable Federal Rate (AFR) published monthly by the IRS to avoid imputed interest gift tax complications.

Step 3: Collateral Determination (If Applicable)

If utilizing Option B under Section 3.10 (Secured Note), draft and attach Exhibit A specifying the exact serial numbers, descriptions, or real property legal descriptions of the collateral. File appropriate UCC-1 financing statements with the Secretary of State if the collateral is personal property.

Step 4: Execution & Witnessing

Ensure both Maker and Payee sign the document in the designated blocks. While not universally required by law for promissory notes, having the signatures acknowledged before a Notary Public is strongly recommended to prevent later forgery defenses or challenges to identity.

Step 5: Digital Signature Integration (Optional)

If executing remotely, upload the finalized document to an institutional-grade digital signature platform (such as DocuSign or Adobe Sign). Ensure multi-factor authentication (such as SMS verification or email access control) is enabled for both signatories to establish a secure audit trail.

Step 6: Record Retention

Upon full execution, provide a complete, countersigned copy of the Promissory Note (and any security agreements) to both parties. Store the original physical document in a secure, fireproof safe or safety deposit box, and retain digital backups in a secure cloud repository for the entire duration of the loan plus the applicable statute of limitations (typically 3 to 10 years post-repayment, depending on the state).
