STEP-BY-STEP EXECUTION AND FILING GUIDE
- Drafting: Use the "Find and Replace" function in your word processor to swap all bracketed terms (e.g.,
[Amount in USD]) with the specific details of your transaction. - Verification: Confirm the identity of the signatory for the Company (typically a Director, CEO, or Officer) to ensure the individual has "Actual Authority" to bind the entity.
- Digital Execution: For maximum enforceability, utilize an e-signature platform (DocuSign, Adobe Sign, or HelloSign). Ensure the settings require "Audit Trail" generation, which captures the IP address and timestamp of the signer.
- Notarization: If the specific state jurisdiction requires promissory notes over a certain value to be notarized for recordation, append a standard Notarial Acknowledgment page to the back of the document.
- Retention: Maintain a secure, encrypted digital copy of the executed document in your Document Management System (DMS) for at least seven (7) years following the final payment date, or as mandated by the governing statute of limitations for contract actions in your jurisdiction.
