WHEREAS, Maker desires to borrow from Holder, and Holder desires to lend to Maker, the principal sum of [Amount in USD] United States Dollars ([Amount in Words]), upon the terms and conditions set forth hereinafter;

NOW, THEREFORE, in consideration of the mutual covenants contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, Maker covenants and agrees as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

Section 1. Principal Amount and Interest Rate

1.1 Principal Sum: For value received, Maker promises to pay to the order of Holder the principal sum of [Amount in USD] ([Amount in Words]), together with interest accrued thereon calculated in accordance with the terms of this Note. 1.2 Interest Rate: The outstanding principal balance of this Note shall bear interest at a fixed rate of [Interest Rate Percentage] percent ([Interest Rate Percentage]%) per annum, or the maximum rate permitted by applicable law, whichever is less. Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) thirty-day months and shall accrue daily from the Effective Date until this Note is paid in full.

Section 2. Repayment Terms and Schedule

2.1 Maturity Date: The entire outstanding principal balance of this Note, together with all accrued and unpaid interest and any other charges or fees due hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"). 2.2 Installment Payments: Maker shall pay to Holder the sum of [Installment Amount in USD] on the [Day of Month] day of each consecutive calendar month, commencing on [First Payment Date], and continuing until the Maturity Date, at which time the remaining balance is due in full. Each monthly installment shall be applied first to the payment of accrued and unpaid interest as of the applicable payment date, and the remainder shall be applied to the reduction of the principal balance. 2.3 Manner of Payment: All payments of principal and interest under this Note shall be made in lawful money of the United States of America in immediately available funds via wire transfer to an account designated in writing by Holder, or by check delivered to Holder’s principal address set forth above, or as otherwise directed by Holder in writing. If any payment due date falls on a Saturday, Sunday, or legal holiday in the State of [State], such payment shall be made on the next succeeding business day, and such extension of time shall be included in the computation of interest.

Section 3. Prepayment Privileges

3.1 Right to Prepay: Maker shall have the right to prepay the outstanding principal balance of this Note, in whole or in part, at any time and from time to time, without premium or penalty. 3.2 Application of Prepayments: Any partial prepayment shall be applied against the principal installments due under this Note in the inverse order of their maturity or as otherwise agreed in writing by Holder, and shall not postpone the due date of any subsequent monthly installments unless specifically agreed in writing by Holder. Partial prepayments shall not relieve Maker of the obligation to continue paying the regular monthly installments until the principal and interest are paid in full.

Section 4. Default Events and Acceleration

4.1 Events of Default: The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note: (a) Failure to Pay: Maker fails to pay any principal or interest installment within [Number of Grace Period Days] calendar days of the date when due; (b) Breach of Covenants: Maker fails to perform, observe, or comply with any other material covenant, term, or condition contained in this Note or any related security agreement within [Number of Cure Days] calendar days after written notice thereof from Holder; (c) Insolvency & Bankruptcy: Maker makes an assignment for the benefit of creditors, files a petition in bankruptcy, is adjudicated insolvent or bankrupt, petitions or applies to any tribunal for the appointment of a custodian, receiver, or trustee for all or a substantial part of its assets, or commences any proceeding under any bankruptcy, reorganization, arrangement, readjustment of debt, dissolution, or liquidation law or statute of any jurisdiction; or an involuntary petition or proceeding is commenced against Maker and is not dismissed within sixty (60) days; (d) Misrepresentation: Any representation or warranty made by Maker in this Note or in any certificate or financial statement delivered pursuant hereto proves to be materially false or misleading as of the time when made. 4.2 Acceleration: Upon the occurrence of any Event of Default and at any time thereafter (unless such Event of Default has been cured to the satisfaction of Holder in writing), Holder may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, immediately due and payable, without presentment, demand, protest, or further notice of any kind, all of which are hereby expressly waived by Maker.

Section 5. Default Interest and Late Charges

5.1 Late Charges: If any monthly installment or other sum due under this Note is not received by Holder within [Number of Late Days] calendar days after the applicable due date, Maker shall pay to Holder a late charge equal to [Late Fee Percentage] percent ([Late Fee Percentage]%) of the overdue payment, or [Late Fee Flat Amount in USD], whichever is greater, to cover the extra administrative expenses involved in handling delinquent payments. 5.2 Default Rate of Interest: Upon the occurrence of an Event of Default, and regardless of whether Holder exercises its option to accelerate the maturity of this Note, the outstanding principal balance hereof shall bear interest at the lesser of [Default Interest Rate Percentage] percent ([Default Interest Rate Percentage]%) per annum or the maximum rate permitted by applicable law (the "Default Rate"), commencing on the date of the Event of Default and continuing until such Event of Default is fully cured or the indebtedness is paid in full.

Section 6. Security and Collateral (If Applicable)

6.1 Collateral Pledge: This Note [Select one: is unsecured / is secured by a separate Security Agreement of even date herewith executed by Maker in favor of Holder]. The collateral described therein shall secure the prompt payment and performance of all obligations of Maker under this Note.

Section 7. Waivers and Consents by Maker

7.1 Waiver of Presentment and Notice: Maker, and any endorsers, sureties, guarantors, and all other persons liable or to become liable on this Note, severally waive presentment for payment, demand, notice of dishonor, protest, notice of protest, notice of intent to accelerate, notice of acceleration, and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note. 7.2 Waiver of Defenses: No release of any security for this Note, no extension of time for payment of this Note or any installment hereof, and no alteration, amendment, or waiver of any provision of this Note granted by Holder to Maker shall release, discharge, modify, change, or affect the liability of Maker or any guarantor of this Note. 7.3 Delay Not a Waiver: No failure or delay on the part of Holder in exercising any right, power, or privilege under this Note shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.

Section 8. Costs of Collection and Legal Fees

8.1 Enforcement Expenses: If this Note is placed in the hands of an attorney for collection after an Event of Default, or if collected through any legal proceeding, bankruptcy, probate, or other court action, Maker promises to pay to Holder all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, court costs, expert witness fees, and collection agency fees, whether or not litigation is formally commenced.

Section 9. Governing Law and Jurisdiction

9.1 Governing Law: This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State], without regard to its conflict of laws principles. 9.2 Consent to Jurisdiction: Maker irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located within [County] County, [State], for any action, suit, or proceeding arising out of or relating to this Note. Maker irrevocably waives, to the fullest extent permitted by law, any objection that it may now or hereafter have to the laying of the venue of any such suit, action, or proceeding brought in any such court and any claim that any such suit, action, or proceeding has been brought in an inconvenient forum.

Section 10. Miscellaneous Provisions

10.1 Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed severed from this Note, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby. 10.2 Entire Agreement: This Note constitutes the entire agreement between Maker and Holder with respect to the subject matter hereof and supersedes all prior and contemporaneous oral or written agreements, understandings, negotiations, and discussions between the parties concerning the loan evidenced hereby. 10.3 Amendments and Waivers: No amendment, modification, termination, or waiver of any provision of this Note, and no consent to any departure by Maker therefrom, shall be effective unless the same shall be in writing and signed by both Holder and Maker, and then such waiver or consent shall be effective only in the specific instance and for the specific purpose for which given. 10.4 Successors and Assigns: This Note shall be binding upon Maker and its legal representatives, successors, and permitted assigns, and shallure to the benefit of Holder and its successors and assigns. Maker may not assign or transfer its obligations under this Note without the prior written consent of Holder. Holder may assign, negotiate, pledge, or otherwise transfer this Note, in whole or in part, without the consent of Maker. 10.5 Headings: The section headings contained in this Note are for reference purposes only and shall not affect in any way the meaning or interpretation of this Note. 10.6 Usury Savings Clause: All agreements between Maker and Holder are hereby expressly limited so that in no contingency or event whatsoever, whether by reason of advancement of proceeds, acceleration of maturity, or otherwise, shall the amount paid or agreed to be paid to Holder for the use, forbearance, or detention of the money to be loaned under this Note exceed the maximum permissible under applicable law. If, from any circumstance whatsoever, fulfillment of any provision hereof, at the time performance of such provision shall be due, shall involve transcending the limit of validity prescribed by law, then the obligation to be fulfilled shall automatically be reduced to the limit of such validity. If from any circumstance Holder shall ever receive as interest an amount which would exceed the highest lawful rate, such amount which would be excessive interest shall be applied to the reduction of the principal balance owing under this Note and not to the payment of interest, or if such excessive interest exceeds the unpaid principal balance of this Note, such excess shall be refunded to Maker.
