INSTITUTIONAL PROMISSORY NOTE & OBLIGATION CURE AGREEMENT

Document ID: PN-LATE-202X-V1.0
Effective Date: [Effective Date]
Governing Jurisdiction: State of [State / Province]

1. STATUTORY & LEGAL COMPLIANCE NOTICE

DISCLAIMER: This institutional-grade Promissory Note and Cure Agreement has been drafted by legal counsel to address liabilities arising from the late submission, delivery, or performance of contractual obligations, professional deliverables, or financial installments. Contractual enforceability varies significantly across local, state, provincial, and international jurisdictions—particularly regarding statutory limits on maximum interest rates (usury laws), liquidated damages, acceleration clauses, and unconscionable penalties. Both the Payee and the Maker are strongly advised to retain independent legal counsel to review this instrument prior to execution to ensure absolute compliance with all applicable local statutes, regulations, and public policy doctrines.

2. PARTIES & RECITALS

THIS PROMISSORY NOTE AND OBLIGATION CURE AGREEMENT (the "Note") is made and entered into as of [Effective Date] (the "Effective Date"), by and between:

  1. MAKER: [Client Full Legal Name], a [State/Country of Incorporation, e.g., Delaware Corporation], having its principal place of business at [Principal Address] (hereinafter referred to as the "Maker", which expression shall include its successors, legal representatives, and permitted assigns); and
  2. PAYEE: [Company Full Legal Name], a [State/Country of Incorporation, e.g., Delaware Corporation], having its principal place of business at [Principal Address] (hereinafter referred to as the "Payee", which expression shall include its successors and assigns).

RECITALS

  • WHEREAS, the Maker and Payee previously entered into a commercial relationship, service agreement, or contractual undertaking dated [Original Agreement Date] (the "Underlying Agreement"), pursuant to which the Maker incurred specific obligations, performance requirements, and/or financial debts;
  • WHEREAS, the Maker has experienced a delay, default, or late submission regarding its required deliverables, milestones, or financial payments under the Underlying Agreement (the "Late Submission Event");
  • WHEREAS, to cure the Late Submission Event, maintain commercial standing, and avoid immediate default proceedings, the Maker desires to execute this unconditional Promissory Note in favor of the Payee in the principal sum of [Amount in USD] United States Dollars, representing the liquidated value, cure costs, penalties, and outstanding balances associated with the Late Submission Event; and
  • WHEREAS, the Payee is willing to forbear from exercising its immediate legal remedies under the Underlying Agreement in consideration for the execution and delivery of this Note upon the terms and conditions hereinafter set forth.

NOW, THEREFORE, in consideration of the mutual covenants contained herein, the forbearance of legal rights by the Payee, and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Maker hereby covenants and agrees as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: PROMISE TO PAY & PRINCIPAL SUM

For value received, the Maker unconditionally promises to pay to the order of the Payee the principal sum of [Amount in USD] ([Written Dollar Amount, e.g., Fifty Thousand and 00/100]), together with interest accrued thereon, in lawful money of the United States of America, payable at the principal office of the Payee designated in writing from time to time, in accordance with the payment schedule set forth in Section 2 herein.

SECTION 2: PAYMENT TERMS, SCHEDULE & CURE MILESTONES

  1. Repayment Schedule: The principal and accrued interest under this Note shall be paid by the Maker in installments as follows:
    • Initial Installment: The sum of [Initial Installment Amount in USD] shall be due and payable on or before [Initial Due Date].
    • Subsequent Installments: Consecutive monthly installments of [Subsequent Installment Amount in USD] shall be due and payable on the [Day of Month, e.g., 1st] day of each consecutive calendar month thereafter, until the principal and all accrued interest are paid in full (the "Maturity Date").
  2. Application of Payments: All payments made hereon shall be applied first to the payment of any collection costs, administrative fees, or late charges then due, second to the payment of accrued interest, and third to the reduction of the outstanding principal balance.
  3. Prepayment: The Maker reserves the right to prepay this Note, in whole or in part, at any time without penalty. Any partial prepayment shall not postpone the due date of any subsequent scheduled installment unless expressly agreed to in writing by the Payee.

SECTION 3: LATE SUBMISSION PENALTIES & DEFAULT INTEREST

  1. Late Fee: If any principal or interest installment payment is not received by the Payee within [Number of Days, e.g., five (5)] calendar days of its applicable due date, a late administrative fee of [Late Fee Amount, e.g., $100.00 or 5% of the overdue amount] shall be immediately assessed and become due and payable by the Maker without further notice.
  2. Default Interest Rate: Upon the occurrence of an Event of Default (as defined in Section 5 herein) or upon any failure to cure a Late Submission Event within the stipulated cure period, the outstanding principal balance of this Note shall bear interest from the date of default until paid in full at the lesser of (a) [Interest Rate, e.g., eighteen percent (18%)] per annum, or (b) the maximum rate permitted by applicable usury laws under the Governing Jurisdiction (the "Default Rate").

SECTION 4: SCOPE OF CURED OBLIGATIONS & PERFORMANCE REMEDIATION

  1. Cure of Late Submission: The execution and delivery of this Note serves as a formal instrument to remediate, defer, and restructure the financial and operational liabilities arising from the Maker's late submission of deliverables under the Underlying Agreement.
  2. Performance Condition: In addition to the monetary obligations set forth herein, the Maker strictly covenants to deliver all outstanding work products, documentation, and milestones associated with the Late Submission Event to the Payee no later than [Final Remediation Deadline Date] (the "Remediation Deadline"). Time is of the essence with respect to the Remediation Deadline.

SECTION 5: EVENTS OF DEFAULT

The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

  2. Failure to Perform: The Maker fails to deliver the outstanding work products or meet the Remediation Deadline set forth in Section 4.2 of this Note.
  3. Insolvency or Bankruptcy: The Maker makes an assignment for the benefit of creditors, files a petition in bankruptcy, is adjudicated insolvent or bankrupt, petitions or applies to any tribunal for the appointment of a receiver or trustee for all or a substantial part of its assets, or commences any proceeding relating to the Maker under any reorganization, arrangement, readjustment of debt, dissolution, or liquidation law or statute of any jurisdiction.
  4. Breach of Underlying Agreement: The Maker breaches any material representation, warranty, or covenant contained in the Underlying Agreement or any collateral document executed in connection therewith.

SECTION 6: ACCELERATION OF REMEDIES

Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been waived in writing by the Payee), the Payee may, at its sole option and without notice, demand, or presentment (all of which are hereby expressly waived by the Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest, late fees, and Default Interest, to be immediately due and payable. Upon such declaration, the full aggregate sum shall become immediately due and payable, and the Payee shall be entitled to pursue any and all remedies available at law, in equity, or under the terms of the Underlying Agreement.

SECTION 7: INTELLECTUAL PROPERTY & WORK MADE FOR HIRE

  1. Retention of Rights: All intellectual property rights, proprietary information, source code, designs, and deliverables associated with the Underlying Agreement and this remediation process shall remain governed by the terms of the Underlying Agreement.
  2. Conditional Transfer: No transfer of intellectual property ownership shall vest in the Maker until all financial obligations, principal, and interest under this Note have been satisfied in full. The Payee retains a security interest in all uncompleted or submitted work products as collateral for the prompt payment and performance of this Note.

SECTION 8: REPRESENTATIONS AND WARRANTIES

The Maker represents and warrants to the Payee as follows:

  1. Due Organization & Authority: The Maker is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation, and has all requisite corporate power and authority to execute, deliver, and perform its obligations under this Note.
  2. Binding Obligation: This Note has been duly authorized, executed, and delivered by the Maker and constitutes a legal, valid, and binding obligation of the Maker, enforceable against the Maker in accordance with its terms.
  3. No Conflict: The execution, delivery, and performance of this Note do not and will not violate any provision of the Maker's organizational documents, or any contract, agreement, court order, or law applicable to the Maker.

SECTION 9: LIMITATION OF LIABILITY & INDEMNIFICATION

  1. Indemnification: The Maker agrees to defend, indemnify, and hold harmless the Payee, its officers, directors, employees, agents, and successors from and against any and all claims, liabilities, losses, damages, costs, and expenses (including reasonable attorneys' fees and litigation expenses) arising out of or resulting from (a) the Maker's Late Submission Event, (b) any breach of this Note by the Maker, or (c) the enforcement of the Payee's rights under this Note.
  2. Limitation of Payee Liability: In no event shall the Payee be liable to the Maker for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or business interruption, arising out of this Note or the underlying commercial relationship.

This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Province], without regard to its conflict of laws principles. Each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County Name] County, [State / Province], for any legal action, suit, or proceeding arising out of or relating to this Note.

  2. Entire Agreement: This Note, together with the Underlying Agreement (as modified herein), constitutes the entire agreement between the Maker and the Payee pertaining to the subject matter hereof, and supersedes all prior and contemporaneous agreements, understandings, negotiations, and discussions, whether oral or written, of the parties.
  3. Amendments and Waivers: No amendment, modification, or discharge of this Note, and no waiver of any provision hereof, shall be valid unless executed in writing by the party against whom such amendment, modification, discharge, or waiver is sought to be enforced. No delay or omission by the Payee in exercising any right under this Note shall operate as a waiver of such right or any other right.
  4. Waiver of Presentment: The Maker, and all endorsers, sureties, and guarantors hereof, hereby jointly and severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of acceleration, and any and all other notices or demands in connection with the delivery, acceptance, performance, default, or enforcement of this Note.
  5. To ensure absolute legal enforceability, operational validity, and audit readiness, follow these sequential instructions:

  1. Document Customization (Drafting Phase):

    • Open this document in Microsoft Word or Google Docs.
    • Perform a global search and replace (or manual update) for all bracketed terms (e.g., [Company Full Legal Name], [Amount in USD], [Effective Date], [State / Province]). Ensure numeric currency amounts match their written word counterparts in Section 1.
    • Verify that the underlying commercial context—specifically the nature of the late submission and the dates of the original agreement—is accurately reflected in the Recitals.
  2. Legal & Compliance Review:

    • Consult local corporate counsel to verify that the interest rate selected in Section 3 (Default Rate) and any late fees do not violate local usury laws or statutory penalty caps in the designated Governing Jurisdiction ([State / Province]).
  3. Signatory Verification:

    • Confirm that the individuals executing the Note on behalf of both the Maker and the Payee possess actual or apparent corporate authority (e.g., Chief Executive Officer, President, Managing Member, or authorized corporate Secretary holding a valid Board Resolution).
  4. Execution via Digital Signature Platform:

    • Configure signing routing to capture the Maker’s signature first, followed by the Payee’s countersignature.
    • Ensure the platform generates a comprehensive Certificate of Completion containing cryptographic hashes, IP addresses, and time stamps.
  5. Post-Execution Record Retention & Archiving:

    • Store the fully executed PDF and its digital audit trail within the organization's secure Legal Contract Management System (CLMS) or enterprise document repository under [Client Name] / Promissory Notes / 202X.
    • Set automated calendar reminders for key payment milestones (Section 2) and the Remediation Deadline (Section 4.2) to track compliance and preempt potential defaults.
