4. STEP-BY-STEP EXECUTION & FILING GUIDE
STEP 1: CUSTOMIZATION
Open this document in a word processor (Microsoft Word, Google Docs, or Apple Pages). Use the "Find and Replace" function to locate all bracketed text (e.g., [Maker/Company Full Legal Name]) and replace them with the specific legal details of your transaction. Ensure the Principal Amount and Interest Rate are double-checked for accuracy.
STEP 2: VERIFICATION OF AUTHORITY
Before signing, verify that the individual signing on behalf of the Company (the "Authorized Signatory") has the legal authority to bind the entity. For corporations, this is typically granted via a Board Resolution; for LLCs, via the Operating Agreement.
STEP 3: DIGITAL EXECUTION
- Upload the finalized document to an e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign).
- Assign signature tags, date tags, and title tags to the respective parties as formatted in Section 3.
- Distribute the document via the platform to ensure a digital audit trail (IP addresses, timestamps, and certificates of completion).
STEP 4: SECURITY INTEREST FILING (IF APPLICABLE)
If this Note is secured by collateral, the Payee (Lender) should file a UCC-1 Financing Statement with the Secretary of State in the Maker’s jurisdiction of incorporation to perfect the security interest. Failure to file may result in the Lender being treated as an unsecured creditor in the event of bankruptcy.
STEP 5: RECORD RETENTION
Store the fully executed PDF and the electronic audit trail in a secure, centralized corporate repository. Provide a copy to the accounting or treasury department to ensure the loan is properly amortized and recorded on the balance sheet. Keep the original document (if physical) in a fireproof safe.
