The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:

6. Acceleration and Remedies
Upon the occurrence of any Event of Default, and at any time thereafter (unless such Event of Default has been waived in writing by Payee), Payee may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums payable hereunder, to be immediately due and payable, without presentment, demand, protest, or notice of any kind, all of which are hereby expressly waived by Maker. Payee may pursue any and all remedies available to it at law, in equity, or under this Note.
7. Costs of Collection and Enforcement
If this Note is placed in the hands of an attorney for collection, or if it is collected through any legal proceeding, bankruptcy, probate, or other court action, Maker promises to pay all reasonable costs and expenses of collection and enforcement incurred by Payee, including, without limitation, reasonable attorneys’ fees, court costs, and expert witness fees.

No failure or delay on the part of Payee in exercising any right, power, or privilege hereunder shall operate as a waiver thereof, nor shall any single or partial exercise of any right, power, or privilege preclude any other or further exercise thereof or the exercise of any other right, power, or privilege.
9. Governing Law, Jurisdiction, and Venue
This Note, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Note, shall be governed by, and enforced in accordance with, the internal laws of [State/Country], without regard to its conflict of laws principles. The remaining provisions of this Note shall remain in full force and effect.
