INSTITUTIONAL PROMISSORY NOTE & COMPLIANCE FRAMEWORK

Document ID: PN-COMP-2024-V1
Effective Date: [Effective Date]
Version: 1.0.0
Governing Jurisdiction: State of [State], United States

1. STATUTORY & LEGAL COMPLIANCE NOTICE

CRITICAL LEGAL DISCLAIMER: This Promissory Note and Compliance Framework is an institutional-grade legal instrument drafted for generalized commercial deployment. Promissory notes are strictly regulated under both federal statutes (including the Truth in Lending Act, where applicable to consumer transactions) and state-specific Uniform Commercial Code (UCC) provisions, particularly UCC Article 3 (Negotiable Instruments) and state usury laws.

Failure to accurately calculate interest rates, document consideration, or comply with local statutory disclosure requirements may render this instrument void, unenforceable, or subject to statutory penalties. Both the Maker and the Holder are strongly advised to retain independent legal counsel and tax advisors to review this instrument prior to execution to ensure compliance with local lending regulations, tax implications of imputed interest (Internal Revenue Code Section 7872), and regulatory licensing requirements.

THIS PROMISSORY NOTE (the "Note") is made and entered into as of this [Effective Date] (the "Effective Date"), by and between the parties identified below:

  1. MAKER:
    [Maker Full Legal Name / Company Name], a [State of Incorporation/Organization] [Entity Type, e.g., Corporation / LLC], with its principal place of business located at [Principal Address] (hereinafter referred to as the "Maker", which expression shall include its successors and permitted assigns).

Section 1. Principal Sum and Promise to Pay

For value received, the Maker unconditionally promises to pay to the order of the Holder, at such address as the Holder may from time to time designate in writing, the principal sum of [Amount in USD] ($[Numeric Amount]), together with interest thereon calculated in accordance with the terms of this Note. All payments under this Note shall be made in lawful money of the United States of America, in immediately available funds, without setoff, counterclaim, recoupment, or deduction of any kind.

Section 2. Interest Rate & Calculation

2.1 Interest Rate: The unpaid principal balance of this Note shall bear interest at the fixed rate of [Interest Rate, e.g., 5.0%] percent per annum (the "Note Rate"), or the maximum rate permitted by applicable law, whichever is less.
2.2 Calculation Method: Interest shall be calculated on the basis of a 360-day year consisting of twelve (12) thirty-day months and shall accrue daily commencing on the Effective Date until the principal sum is paid in full.
2.3 Default Rate: Upon the occurrence and during the continuance of any Event of Default (as defined herein), the unpaid principal balance of this Note and, to the extent permitted by applicable law, any overdue interest, shall bear interest at a default rate equal to the lesser of [Default Rate, e.g., 18.0%] percent per annum or the maximum rate permitted under applicable law (the "Default Rate"), accruing from the date of such default until the default is fully cured.

Section 3. Payment Terms, Maturity, and Amortization

3.1 Maturity Date: The entire outstanding principal balance of this Note, together with all accrued and unpaid interest and any other charges or fees due hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), unless accelerated earlier in accordance with the provisions of this Note.
3.2 Installment Payments: The Maker shall amortize and pay the indebtedness evidenced by this Note in [Number of Installments] consecutive [Monthly / Quarterly] installments of [Installment Amount in USD] ($[Numeric Amount]) each, commencing on [First Payment Date] and continuing on the same day of each successive [month / quarter] thereafter until the Maturity Date, at which time the final payment, consisting of all remaining principal and accrued interest, shall be due in full.
3.3 Application of Payments: All payments remitted by the Maker shall be applied in the following strict order of priority: first, to the payment of any accrued and unpaid collection costs, late charges, or enforcement expenses; second, to the payment of accrued and unpaid interest; and third, to the reduction of the outstanding principal balance.

Section 4. Prepayment Privileges

The Maker reserves the right to prepay the principal balance of this Note, in whole or in part, at any time and from time to time, without penalty or premium. Any partial prepayment shall be applied against the principal installments last maturing and shall not postpone, suspend, or reduce the amount of any regularly scheduled installment payments due under Section 3, unless expressly agreed to in writing by the Holder.

Section 5. Events of Default

The occurrence of any one or more of the following events shall constitute an immediate "Event of Default" under this Note: 5.1 Failure to Pay: The Maker fails to pay any installment of principal or interest within [Grace Period, e.g., ten (10)] days of the date when due;
5.2 Breach of Covenants: The Maker fails to observe, perform, or comply with any other material covenant, term, or condition contained in this Note or any related security agreement and fails to cure such breach within [Cure Period, e.g., thirty (30)] days following written notice thereof from the Holder;
5.3 Insolvency & Bankruptcy: The Maker commences any voluntary case or proceeding under bankruptcy, insolvency, reorganization, or similar laws; or an involuntary case or proceeding is commenced against the Maker and is not dismissed within sixty (60) days; or the Maker makes a general assignment for the benefit of creditors, becomes insolvent, or admits in writing its inability to pay its debts as they become due;

Section 6. Acceleration and Remedies upon Default

6.1 Acceleration: Upon the occurrence of any Event of Default, and at any time thereafter during the continuance thereof, the Holder may, at its sole option, declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable in full, without presentment, demand, protest, or further notice of any kind, all of which are hereby expressly waived by the Maker.
6.2 Cumulative Remedies: The remedies of the Holder provided herein are cumulative and concurrent and are in addition to any other remedies available to the Holder under applicable law, equity, or any related security instrument. Failure of the Holder to exercise any right or remedy shall not operate as a waiver of any such right or remedy.

Section 7. Late Charges and Collection Costs

7.1 Late Charges: If any scheduled payment is not received by the Holder within [Late Grace Period, e.g., ten (10)] days after its due date, the Maker shall pay to the Holder a late charge equal to [Late Fee Percentage, e.g., 5.0%] percent of the delinquent payment, or [$50.00], whichever is greater, to cover the administrative expenses associated with handling the late payment.
7.2 Enforcement Costs: If this Note is placed in the hands of an attorney for collection, or if it is collected through any legal proceeding, bankruptcy, or probate court, the Maker promises to pay to the Holder all reasonable attorneys' fees, court costs, and out-of-pocket collection expenses incurred by the Holder, whether or not litigation is actually commenced.

Section 8. Waivers and Consents

The Maker, and any endorsers, sureties, guarantors, and all other parties now or hereafter liable for the payment of this Note, severally waive presentment for payment, demand, protest, notice of protest, notice of dishonor, notice of acceleration, diligence in collection, and any right to be released by reason of any extension of time for payment or the release of any collateral or security. No release of any security for this Note, and no forbearance or extension of time granted by the Holder to the Maker or any other party, shall operate to release, discharge, modify, change, or affect the liability of the Maker or any guarantor.

Section 9. Representations and Warranties

The Maker hereby represents and warrants to the Holder as follows: 9.1 Due Organization & Authority: The Maker is duly organized, validly existing, and in good standing under the laws of its jurisdiction of organization, and has all requisite corporate/business power and authority to execute, deliver, and perform its obligations under this Note.

This Note may not be amended, modified, or changed except by a written instrument executed by both the Maker and the Holder.

5. STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Customization & Bracket Review

Open this template in Microsoft Word or Google Docs. Locate and replace all bracketed text (e.g., [Maker Full Legal Name], [Amount in USD], [State]) with verified legal data. Ensure the numerical amount matches the written amount in Section 1.

Step 2: Authority & Compliance Verification

Verify that the individual signing on behalf of the Maker possesses active corporate authority (checked via corporate resolution, operating agreement, or bylaws) to incur debt on behalf of the entity. Ensure the selected interest rate complies with state usury caps and statutory limits in the governing jurisdiction.

Step 3: Execution via Digital Signature

Route the finalized document through an enterprise-grade electronic signature platform (e.g., DocuSign or Adobe Sign) to capture cryptographic audit trails, timestamping, and IP address verification. Ensure both Maker and Holder execute the signature blocks correctly.

Step 4: Record Retention & Asset Vaulting

Upon full execution, store the original master document in a secure, fireproof physical safe or an institutional digital contract repository. Retain executed copies for a minimum of the applicable statute of limitations plus one (1) year following full satisfaction and discharge of the debt.
