CLINICAL DISCLAIMER: This Promissory Note is an institutional-grade financial instrument drafted for general commercial application. Financial lending, consumer credit, and commercial debt instruments are heavily regulated by federal statutes (e.g., Truth in Lending Act, Dodd-Frank Act) and state-specific usury laws, licensing requirements, and commercial codes. Parties must independently verify that the interest rates, default terms, and acceleration clauses comply with the usury limits and lending regulations of the applicable Governing Jurisdiction. Execution of this document without legal and financial counsel may result in unintended legal liabilities or unenforceable contractual provisions.

This Promissory Note (the "Note") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
MAKER (Borrower):
[Borrower Full Legal Name], having a principal place of residence or registered office at [Borrower Principal Address] ("Maker").

WHEREAS, Maker acknowledges receipt of the Principal Amount, or valuable consideration the sufficiency of which is hereby acknowledged, and agrees to repay the same to Payee subject to the terms, covenants, and conditions hereinafter set forth.
NOW, THEREFORE, for value received, Maker unconditionally promises to pay to the order of Payee the Principal Amount, together with accrued interest thereon, in accordance with the terms of this Note.
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1.1 Principal Sum: For value received, Maker promises to pay to the order of Payee the principal sum of [Amount in USD] ($[Numerical Amount]), together with interest calculated on the unpaid principal balance outstanding from time to time.
1.2 Interest Rate: Interest shall accrue on the unpaid principal balance at the rate of [Interest Rate Percentage]% per annum, calculated on the basis of a 360-day year and the actual number of days elapsed. Alternatively, if designated as prime-linked, interest shall adjust in accordance with the Prime Rate published in the Wall Street Journal plus [Spread Percentage]% per annum.
1.3 Default Interest: Upon the occurrence and during the continuance of any Event of Default (as defined herein), the applicable interest rate on the principal balance of this Note shall immediately increase by [Default Interest Premium]% per annum (the "Default Rate"), not to exceed the maximum rate permitted by applicable law.
Section 2. Payment Terms, Maturity, and Amortization
2.1 Maturity Date: The entire unpaid principal balance of this Note, together with all accrued and unpaid interest and any other fees or charges hereunder, shall be due and payable in full on [Maturity Date] (the "Maturity Date"), unless accelerated earlier in accordance with the terms of this Note.
2.2 Installment Payments: Maker shall amortize and pay this Note in [Number of Installments] consecutive [Monthly/Quarterly/Weekly] installments of [Installment Amount in USD] ($[Numerical Installment Amount]) each, commencing on [First Payment Date], and continuing on the same day of each successive period thereafter until the Maturity Date, at which time the remaining balance is due in full.
2.3 Application of Payments: All payments made on account of this Note shall be applied first to the payment of any late charges or collection costs incurred by Payee, second to the payment of accrued and unpaid interest, and third to the reduction of the outstanding principal balance.
2.4 Method and Place of Payment: All payments due under this Note shall be made in lawful money of the United States of America in immediately available funds via wire transfer, automatic clearing house (ACH) transfer, or check delivered to Payee at Payee’s address set forth above, or at such other place as Payee may designate in writing to Maker. If any payment falls due on a Saturday, Sunday, or legal holiday under the laws of the United States or the Governing Jurisdiction, such payment shall be made on the next succeeding business day, and such extension of time shall be included in the computation of interest.
Section 3. Prepayment Privileges
3.1 Right to Prepay: Maker shall have the right to prepay this Note, in whole or in part, at any time and from time to time, without premium or penalty, provided that any partial prepayment shall be accompanied by the payment of all accrued and unpaid interest on the principal amount so prepaid. 3.2 Application of Prepayments: Any partial prepayment shall be applied against the principal installments due under this Note in the inverse order of their maturity or as otherwise directed in writing by Payee.
Section 4. Events of Default
The occurrence of any one or more of the following events shall constitute an "Event of Default" under this Note:
4.1 Failure to Pay: Maker fails to pay any installment of principal or interest under this Note within [Grace Period Days, e.g., 10] calendar days of the date when due.
4.2 Breach of Covenants: Maker fails to perform, observe, or comply with any other material covenant, agreement, or condition contained in this Note or any related security agreement, guaranty, or ancillary document, and such failure continues for a period of [Cure Period Days, e.g., 30] calendar days after written notice thereof from Payee to Maker.

Section 5. Acceleration and Remedies upon Default
5.1 Acceleration of Debt: Upon the occurrence of any Event of Default, and at any time thereafter (such default continuing), Payee may, at its sole option and without notice, demand, presentment, or protest of any kind (all of which are hereby expressly waived by Maker), declare the entire unpaid principal balance of this Note, together with all accrued and unpaid interest and all other sums due hereunder, to be immediately due and payable. 5.2 Remedies Cumulative: The remedies of Payee under this Note shall be cumulative and concurrent, and may be pursued singly, successively, or together against Maker, any guarantor, or any collateral security, at the sole discretion of Payee. Failure of Payee to exercise any right or remedy shall not constitute a waiver of the right to exercise the same at any subsequent time. 5.3 Cost of Collection and Enforcement: If this Note is placed in the hands of an attorney for collection or enforcement after an Event of Default, or if it is collected through any legal proceeding, bankruptcy, or probate court, Maker promises to pay to Payee all reasonable attorneys’ fees, court costs, and collection expenses incurred by Payee, whether or not litigation is formally commenced.

9.1 Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the provision shall be deemed severed from this Note, and the remaining provisions shall remain in full force and effect. 9.2 Entire Agreement: This Note constitutes the entire agreement between Maker and Payee with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. 9.3 Amendments and Waivers: No modification, amendment, waiver, or discharge of any provision of this Note shall be valid unless executed in writing and signed by the party against whom enforcement is sought. 9.4 Successors and Assigns: This Note shall be binding upon and inure to the benefit of Maker and Payee and their respective heirs, personal representatives, successors, and permitted assigns. 5. STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Customization
- Open this document in Microsoft Word, Google Docs, or an equivalent institutional document editor.
- Search and replace all bracketed placeholder text (e.g.,
[Effective Date],[Amount in USD],[Governing State]) with exact, verified operational data. Ensure numeric and written amounts match precisely to avoid ambiguity.
Step 2: Verification of Legal Authority
- Confirm the legal entity status and exact corporate registration names of both the Maker and Payee via the applicable Secretary of State or corporate registry.
- Ensure that any individual executing this instrument on behalf of an entity possesses explicit corporate authority (via board resolution, operating agreement, or bylaws) to incur debt obligations.
Step 3: Execution via Wet Ink or Digital Signature
- Traditional Wet Ink: Print two (2) original copies of the completed document. Both Maker and Payee must sign and date both copies in blue or black ink. Each party retains one fully executed original.
- Digital Signature (Recommended): Upload the finalized document to an institutional e-signature platform such as DocuSign, Adobe Sign, or HelloSign. Configure the routing order to route first to the Maker, then to the Payee, ensuring secure cryptographic audit logging and certificate generation.
Step 4: Record Retention and Post-Closing
- Store the fully executed original Promissory Note (or the cryptographic certificate of completion for digital executions) within a secure, encrypted digital vault or fireproof physical safe.
- If this Note is secured by collateral, ensure that parallel UCC-1 financing statements or security agreements are filed and perfected immediately within the applicable filing jurisdiction.
- Maintain an active accounts receivable/payable tracking ledger to log principal amortization, interest accruals, and payment receipts.
