4. DEFAULT AND ACCELERATION

The occurrence of any of the following shall constitute an "Event of Default": a) Failure to pay the Principal Amount or interest on the Due Date. b) The insolvency, bankruptcy, or liquidation of the Maker. c) Any material breach of the representations made by the Maker.

Upon an Event of Default, the Payee may, at its sole discretion, declare the entire unpaid Principal Amount and all accrued interest immediately due and payable.

5. COSTS OF COLLECTION

10. STEP-BY-STEP EXECUTION AND FILING GUIDE

  1. Stamp Duty Verification: In Pakistan, Promissory Notes are subject to stamp duty under the Stamp Act, 1899. Take this document to the local Treasury Office or authorized Stamp Vendor in your district to purchase the appropriate value of non-judicial stamp paper or have the document embossed. Failure to properly stamp the document may render it inadmissible as evidence in Pakistani courts.
  2. Bracket Completion: Replace all [Bracketed Text] with accurate legal identifiers. Ensure names match the National Identity Card (NIC) or company incorporation certificates exactly.
  3. Witnesses: Though not strictly required by law for the validity of the note, it is best practice in Pakistan to have two independent witnesses sign beneath the signatory blocks, including their NIC numbers and contact details, to mitigate future disputes regarding the authenticity of the signature.
  4. Digital Execution: If using e-signatures (DocuSign/Adobe Sign), ensure the process complies with the Electronic Transactions Ordinance, 2002. Note that for negotiable instruments in Pakistan, a "wet ink" signature on stamped paper remains the gold standard for enforceability in high-value transactions.
  5. Record Retention: The Payee must retain the original physical stamped document. A photocopy should be provided to the Maker upon full settlement of the debt, marked "CANCELLED" or "PAID IN FULL" to prevent re-negotiation.
