STEP-BY-STEP EXECUTION AND FILING GUIDE

  1. Drafting: Utilize a word processor (Microsoft Word/Google Docs). Use "Find and Replace" to locate all bracketed fields [...] and input the specific deal terms.
  2. Compliance Check: Verify that the "Interest Rate" does not exceed the legal usury limit for the state of the Borrower.
  3. Signatory Verification: Ensure the individuals signing have the legal authority to bind their respective entities. For corporations, verify board resolutions if the amount is material.
  4. Digital Execution: Upload the finalized PDF to a secure e-signature platform (e.g., DocuSign, Adobe Sign, or HelloSign). Ensure the "Audit Trail" feature is enabled to capture IP addresses and timestamps.
  5. Notarization (Optional but Recommended): While not always required for simple notes, having the document notarized creates a "self-authenticating" document, which eases the burden of proof in court if enforcement becomes necessary.
  6. Record Retention: Both parties must retain a fully executed digital copy in a secure, backed-up repository (Cloud or encrypted local server). Original hard copies, if signed wet-ink, should be stored in a fireproof secure file.
