WHEREAS, the Borrower has agreed to execute and deliver this Note to evidence its absolute, unconditional, and joint-and-several obligation to repay the principal sum, together with all accrued and unpaid interest and fees, pursuant to the exact terms, covenants, and conditions set forth herein.
NOW, THEREFORE, in consideration of the mutual covenants, premises, agreements, and valuable consideration recited herein, the receipt and sufficiency of which are hereby mutually acknowledged, the Borrower covenants and agrees as follows:
EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. Principal Sum and Payment Terms
1.1 Principal Amount. The Borrower promises to pay to the order of the Lender the principal sum of [Amount in USD] ($[Numerical Amount]), disbursed on [Disbursement Date], in lawful money of the United States of America.
1.2 Repayment Schedule. The outstanding principal balance, together with all accrued and unpaid interest and all other sums due under this Note, shall be due and payable in full on or before [Maturity Date] (the "Maturity Date"), unless accelerated earlier in accordance with the default provisions of Section 6 of this Note.
1.3 Installment Payments. If this Note is structured on an installment repayment basis, the Borrower shall make consecutive monthly installments of principal and interest in the amount of [Monthly Installment Amount in USD] ($[Numerical Amount]) commencing on [First Installment Due Date], and continuing on the same day of each calendar month thereafter until the Maturity Date, at which time the remaining unpaid principal and interest balance shall be paid in full.
1.4 Application of Payments. All payments remitted by the Borrower under this Note shall be applied first to any collection costs, expenses, and late fees then due and payable, second to accrued and unpaid interest, and third to the reduction of the outstanding principal balance.
2. Interest Rate
2.1 Stated Interest Rate. The outstanding principal balance of this Note shall bear interest at a fixed rate of [Interest Rate Percentage] percent ([Numerical Rate]%) per annum (the "Stated Rate"), computed on the basis of a 365-day year and the actual number of days elapsed.
2.2 Default Interest Rate. Upon the occurrence and during the continuation of any Event of Default under this Note (including failure to pay principal or interest when due), the outstanding principal balance and, to the extent permitted by applicable law, any overdue interest, shall bear interest at the maximum rate permitted by applicable law, or if no such maximum rate is established by law, at the rate of eighteen percent (18%) per annum (the "Default Rate"), compounding monthly from the date of default until the default is fully cured or the indebtedness is paid in full.
2.3 Usury Savings Clause. It is the express intent of the Borrower and the Lender to comply strictly with all applicable usury laws. If the effective rate of interest calculated under this Note exceeds the maximum rate permitted by applicable law, then the rate of interest to be charged shall automatically be reduced to the maximum legal rate permitted under such law. Any amount collected in excess of the maximum legal rate shall be applied directly to the reduction of the principal balance of this Note or, if the principal balance has been paid in full, refunded directly to the Borrower.
3. Prepayment
3.1 Right to Prepay. The Borrower reserves the right and privilege to prepay the outstanding principal balance of this Note, in whole or in part, at any time and from time to time, without penalty or premium. 3.2 Notice of Prepayment. Any partial prepayment of principal shall be accompanied by all accrued and unpaid interest on the principal amount being prepaid through the date of such prepayment. Partial prepayments shall be applied against the principal installments due under this Note in the inverse order of their maturity.

4.1 Collateralization. To secure the prompt, complete, and punctual payment and performance of all obligations of the Borrower under this Note, the Borrower hereby grants to the Lender a continuing security interest in all right, title, and interest of the Borrower in, to, and under the property described in Schedule A attached hereto and incorporated herein by reference (the "Collateral"). 4.2 Further Assurances. The Borrower shall execute and deliver to the Lender, at the Borrower's sole cost and expense, all such financing statements (including UCC-1 financing statements), security agreements, control agreements, and other instruments and documents as the Lender may reasonably request from time to time to perfect, protect, and maintain the priority of the Lender's security interest in the Collateral.

This Note has been duly authorized, executed, and delivered by the Borrower and constitutes the legal, valid, and binding obligation of the Borrower, enforceable against the Borrower in accordance with its terms, subject to bankruptcy, insolvency, reorganization, and other laws affecting creditors' rights generally. 5.3 No Conflicts. The execution, delivery, and performance of this Note do not and will not violate, conflict with, or constitute a default under any provision of the organizational documents of the Borrower, any applicable law, or any material agreement or instrument to which the Borrower is a party or by which its assets are bound.
6. Events of Default
The occurrence of any one or more of the following events shall constitute an immediate "Event of Default" under this Note:

The Borrower fails to observe, perform, or comply with any other covenant, agreement, or condition contained in this Note or any related security agreement, and such failure continues uncured for a period of [Number of Days, e.g., thirty (30)] calendar days after written notice thereof is delivered by the Lender to the Borrower.
6.3 Insolvency & Bankruptcy. The remedies of the Lender provided herein, in any security agreement, or under applicable law shall be cumulative and concurrent. Failure of the Lender to exercise any right or remedy shall not constitute a waiver of the right to exercise the same or any other right or remedy at any time thereafter. 7.3 Collection Costs and Attorney’s Fees. STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Review and Customization
- Open this template in a word processor (Microsoft Word or Google Docs).
- Locate all bracketed placeholder text (e.g.,
[Borrower Full Legal Name],[Amount in USD],[Effective Date],[Maturity Date]) and replace them with accurate, verified factual data. Remove all surrounding brackets and placeholder highlights. - Ensure all numerical amounts match their written word counterparts to prevent ambiguity.
Step 2: Verification of Signatory Authority
- If the Borrower or Lender is an entity (Corporation, LLC, Partnership), verify that the executing individual possesses active statutory or delegated corporate authority (e.g., Corporate Resolution, Operating Agreement, or Board Authorization) to bind the entity to commercial debt obligations.
Step 3: Collateral Perfection (If Applicable)
- If this Note is secured by assets under Section 4, draft and attach Schedule A detailing the collateral description.
- Prepare and execute Form UCC-1 Financing Statements for filing with the appropriate state filing office (typically the Secretary of State in the jurisdiction of the Borrower's organization) to perfect the Lender's security interest.
Step 4: Digital or Wet-Ink Execution
- Digital Execution: Upload the finalized PDF document to an enterprise-grade digital signature platform compliant with the ESIGN Act and UETA (e.g., DocuSign, Adobe Sign). Configure authentication fields for both Borrower and Lender.
- Wet-Ink Execution: Print two identical hard copies. Both parties must execute both originals in blue ink. Each party shall retain one fully executed original counterpart for their corporate records.
Step 5: Secure Record Retention
- Store the executed Master Promissory Note in a secure, fireproof physical safe or an encrypted, access-controlled digital document repository (e.g., Carta, Secure SharePoint, legal data room) for the statutory life of the debt plus the applicable statute of limitations for commercial contract enforcement (typically 3 to 6 years following full satisfaction and discharge of the debt).
