5.2 Remedies Cumulative: The remedies of Holder provided herein are cumulative and concurrent and may be pursued singly, successively, or together against Maker, any guarantor, or any collateral securing this Note, at the sole discretion of Holder. No act or omission of Holder, including any failure to exercise any right or remedy, shall operate as a waiver thereof.
5.3 Cost of Collection and Enforcement: If this Note is placed in the hands of an attorney for collection, or if suit is instituted to collect this Note or enforce any of Holder's rights hereunder, Maker promises to pay all reasonable costs of collection, including, without limitation, reasonable attorneys' fees, court costs, and associated litigation expenses incurred by Holder.

7.2 Amendments and Waivers: No modification, amendment, or waiver of any provision of this Note shall be effective unless the same shall be in writing and signed by both Maker and Holder. Any waiver of any breach or default shall not constitute a waiver of any subsequent breach or default.
7.3 Severability: If any provision of this Note is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable. If such modification is not possible, the affected provision shall be deemed severed from this Note, and the validity, legality, and enforceability of the remaining provisions shall not in any way be affected or impaired thereby.
7.4 Successors and Assigns: This Note shall be binding upon and inure to the benefit of Maker and Holder and their respective heirs, legal representatives, successors, and permitted assigns. 5. STEP-BY-STEP EXECUTION & FILING GUIDE
Step 1: Document Customization
Open this document in Microsoft Word, Google Docs, or an equivalent word processor. Locate all bracketed fields (e.g., [Amount in USD], [State], [Maturity Date]) and replace them with the exact agreed-upon business terms. Ensure numerical amounts match their written word counterparts.
Step 2: Legal and Financial Review
Prior to execution, have both Maker and Holder verify the interest rates against local statutory usury limits in the designated governing jurisdiction ([State]). If the loan involves complex repayment structures, a licensed attorney should review the installment schedules and default terms.
Step 3: Signatory Authority Verification
Verify that the individuals signing on behalf of corporate entities possess the requisite legal authority (via corporate resolutions, operating agreements, or bylaws) to bind Maker and Holder respectively.
Step 4: Digital or Wet-Ink Execution
Execute the document using either:
- Wet-Ink: Print two original hard copies, have both parties sign in blue ink, and exchange physical originals.
- Digital Signature: Upload the finalized PDF to an institutional digital signature platform (such as DocuSign, Adobe Sign, or HelloSign) configured with cryptographic audit trails. Ensure both Maker and Holder execute the signature blocks.
Step 5: Record Retention & Asset Vaulting
Store the fully executed Promissory Note in a secure corporate records vault, digital document management system, or cloud repository with strict access controls. The Holder should retain the primary original (or cryptographic master copy) as the negotiable instrument securing the debt, while the Maker retains a fully executed copy for financial accounting and tax compliance.
