STEP-BY-STEP EXECUTION & FILING GUIDE

Step 1: Document Preparation & Review

  1. Open this document in Microsoft Word, Google Docs, or an enterprise document assembly platform.
  2. Search and replace all bracketed fields (e.g., [Borrower Full Legal Name], [Amount in USD], [Maturity Date]) with precise operational data. Do not leave any unpopulated brackets.
  3. Verify that the interest rate complies with state usury limits and that maturity dates and payment schedules align precisely with underlying financial terms.

Step 2: Signatory Authority Verification

  1. Confirm that the individual signing on behalf of the Maker holds corporate authority (via Board Resolution, Operating Agreement, or corporate Bylaws) to incur debt on behalf of the entity.
  2. For individual borrowers or lenders, verify legal capacity and identity through government-issued identification.

Step 3: Execution via Digital Signature or Wet Ink

  1. Digital Execution (Recommended): Export the finalized document as a static PDF and upload it to an enterprise digital signature platform (such as DocuSign, Adobe Sign, or HelloSign). Configure authentication workflows (e.g., multi-factor authentication or SMS verification) for both Maker and Holder.
  2. Wet Ink Execution: Print two identical paper copies. Have authorized signatories execute both copies in blue ink. Each party shall retain an original fully executed counterpart.

Step 4: Collateral Perfection & Filing (If Secured)

  1. If Section 7 indicates that this Note is secured, prepare and execute a corresponding UCC-1 Financing Statement.
  2. File the UCC-1 with the Secretary of State (or relevant filing office) in the jurisdiction of the Maker's organization to perfect the security interest.

Step 5: Secure Record Retention

  1. Store the fully executed digital or physical PDF in a secure, encrypted corporate repository or contract management system (CLMs).
  2. Establish calendar reminders for payment milestone dates, installment due dates, and the final Maturity Date to track performance and prevent default triggers.
