NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties, intending to be legally bound, agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Engagement. Client hereby engages Provider to perform, and Provider hereby agrees to execute and deliver, the professional services, deliverables, milestones, and project specifications set forth in this Agreement and in any subsequently issued, sequentially numbered Project Scope of Work (each, an "SOW"), which shall be incorporated herein by this reference. In the event of any direct conflict between the terms of this Master Services Agreement and any SOW, the terms of this Master Services Agreement shall govern and control unless the SOW explicitly references the specific section of this Master Services Agreement to be superseded and expresses a clear intent to override the same.
1.2 Project SOW Schedule. The initial Scope of Work governing the immediate engagement is detailed in Exhibit A (Project Scope of Work Specifications). Provider shall perform the services with professional diligence, skill, and competence consistent with prevailing industry standards in the relevant commercial sector.
1.3 Change Order Procedure. If Client requests any material modification, expansion, reduction, or alteration to the Scope of Services set forth in an SOW (a "Change"), Client shall submit a written change request to Provider detailing the desired modifications. Within five (5) business days of receipt, Provider shall prepare and deliver a written Change Order outlining the estimated impact of the requested Change on the project timeline, resource allocation, and fees. A Change Order shall become binding and effective only upon the mutual execution of a written amendment by authorized representatives of both Parties. Provider shall be under no obligation to perform any out-of-scope services absent a fully executed Change Order.
1.4 Client Obligations. Client shall timely provide Provider with all necessary access, information, documentation, approvals, and technical environments required for Provider to perform the Services (collectively, "Client Dependencies"). Client acknowledges and agrees that Provider's performance is strictly contingent upon the timely fulfillment of Client Dependencies. Any delays caused by Client's failure to satisfy Client Dependencies shall result in a day-for-day extension of all project milestones and delivery schedules, and Provider shall be relieved of any liability arising from such delays.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Compensation Structure. In consideration for the full, prompt, and satisfactory performance of the Services and the delivery of all Work Product, Client shall pay Provider the fees set forth in Exhibit A, structured on a [Time and Materials / Fixed Fee] basis, not to exceed the total aggregate sum of [Amount in USD], unless modified by a duly executed Change Order.
2.2 Invoicing and Payment Schedule. Provider shall issue invoices to Client on a [Monthly / Milestone-Based] basis for all services rendered and reimbursable expenses incurred. All invoices are due and payable in full in United States Dollars (USD) via wire transfer or ACH within [Thirty (30)] calendar days of the invoice date ("Net 30").
2.3 Late Payments and Interest. Any undisputed invoice amount not received by Provider by the due date shall accrue a late payment fee calculated at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, calculated from the date due until paid in full. Furthermore, Provider reserves the right, upon ten (10) days' prior written notice, to suspend the performance of any ongoing Services until all delinquent, undisputed amounts and accrued interest are paid in full.
2.4 Taxes. All fees and compensation specified herein are exclusive of all applicable federal, state, local, and foreign sales, use, value-added, excise, withholding, and similar taxes. Client shall be solely responsible for the payment of all such taxes, levies, or duties arising out of this Agreement, excluding taxes based solely on Provider's net income.
2.5 Reimbursable Expenses. Client shall reimburse Provider for all reasonable, pre-approved, out-of-pocket expenses incurred by Provider in connection with the performance of the Services, including travel, lodging, subsistence, and third-party software licensing fees, provided that such expenses are supported by reasonable itemized receipts submitted alongside the corresponding monthly invoice.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence as of the Effective Date and shall continue in full force and effect until the completion of all SOWs, or until terminated earlier in accordance with the provisions of this Section 3 (the "Term"). Individual SOWs shall commence on their respective effective dates and shall expire upon delivery and acceptance of all deliverables or upon the termination of this Agreement.
3.2 Termination for Convenience. Client or Provider may terminate this Agreement or any active SOW, in whole or in part, at any time and for any reason or no reason, by providing at least [Thirty (30)] calendar days’ prior written notice to the other Party.
3.3 Termination for Cause. Either Party may terminate this Agreement or any active SOW immediately upon written notice if the other Party:
- (a) Materially breaches any representation, warranty, or material covenant set forth herein and fails to cure such material breach within thirty (30) calendar days after receipt of written notice specifying the exact nature of the breach;
- (b) Files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, has a receiver appointed over all or a substantial portion of its assets, or ceases active business operations; or
- (c) Engages in systemic fraud, gross negligence, or willful misconduct in connection with the performance of its obligations hereunder.
3.4 Effect of Termination. Upon the effective date of termination of this Agreement or any SOW:
- (a) Client shall immediately pay Provider all accrued, unpaid fees and reimbursable expenses for Services rendered and Work Product delivered up to and including the effective date of termination, calculated on a pro-rata basis for incomplete milestones or time-and-materials efforts;
- (b) Each Party shall promptly return or, at the disclosing Party's written election, securely destroy all Confidential Information belonging to the other Party in its possession or control; and
- (c) Sections 4, 5, 6, 7, 8, 9, and 10 of this Master Services Agreement shall survive any expiration or termination hereof.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Provider Pre-Existing IP. Client acknowledges and agrees that Provider (or its third-party licensors) retains exclusive, worldwide, right, title, and interest in and to all pre-existing intellectual property, methodologies, frameworks, software code libraries, tools, templates, algorithms, trade secrets, and know-how owned or developed by Provider prior to or independently of this engagement (collectively, "Provider Background IP"). Nothing in this Agreement shall be construed to assign, transfer, or convey any ownership interest in Provider Background IP to Client.
4.2 License to Provider Background IP. To the extent that any Provider Background IP is embedded in, integrated with, or required for the utilization of any custom deliverables created specifically for Client hereunder (the "Work Product"), Provider hereby grants to Client a perpetual, irrevocable, worldwide, non-exclusive, fully paid-up, royalty-free, transferable license to use, execute, reproduce, display, and distribute such Provider Background IP solely as an integrated component of the Work Product for Client’s internal business operations.
4.3 Assignment of Work Product. Subject to full payment of all applicable fees due under this Agreement, and subject to Provider's retention of Provider Background IP, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to the specific custom deliverables created by Provider expressly for Client pursuant to an SOW, designated as "Work Product" (excluding Provider Background IP). Provider agrees to execute any reasonable documentation requested by Client, at Client's expense, to perfect Client's intellectual property rights in such Work Product.

5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, technical data, source code, financial records, client lists, pricing structures, trade secrets, and operational strategies.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or regulatory process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate legal remedy.

6.4 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, STATUTORY OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT. PROVIDER DOES NOT WARRANT THAT THE SERVICES OR WORK PRODUCT WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. 7.3 Provider Indemnification. Provider shall defend, indemnify, and hold harmless Client and its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from:
- (a) Any claim that the Work Product (excluding any Client-provided materials or third-party components) infringes, misappropriates, or violates any valid United States patent, copyright, trademark, or trade secret; or

- (b) The gross negligence or willful misconduct of Client, its employees, or agents.
7.5 Indemnification Procedures. Each indemnification obligation is conditioned upon the indemnified party:
- (a) Providing prompt written notice of the claim to the indemnifying party (provided that failure to give prompt notice shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced thereby);
- (b) Granting the indemnifying party sole control over the defense and settlement of the claim (provided that the indemnifying party shall not settle any claim that admits liability or imposes monetary obligations on the indemnified party without its prior written consent); and
- (c) Providing reasonable cooperation and assistance, at the indemnifying party's expense, in the defense and settlement of the claim.
