1. STATUTORY & LEGAL COMPLIANCE NOTICE

THIS MASTER PROFESSIONAL SERVICES AGREEMENT (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
SERVICE PROVIDER: [Company Full Legal Name], a [State of Incorporation] [Entity Type, e.g., corporation / limited liability company], having its principal place of business located at [Principal Address] ("Provider"), and
CLIENT: [Client Full Legal Name], a [State of Incorporation] [Entity Type, e.g., corporation / limited liability company], having its principal place of business located at [Principal Address] ("Client").
RECITALS:
WHEREAS, Provider possesses specialized expertise, proprietary methodologies, and technical capabilities in the domain of [Core Competency / Industry Description] and related professional services; and
WHEREAS, Client desires to retain Provider to perform professional services, and Provider desires to perform such services for Client, subject to the terms, conditions, and specifications set forth in this Agreement and any subsequently executed Statements of Work.
NOW, THEREFORE, in consideration of the mutual covenants, promises, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby mutually acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Scope of Work. Provider shall perform the professional services, deliver the project deliverables, and execute the operational duties explicitly detailed herein and in any mutually executed Statement of Work (each, an "SOW") substantially in the form attached hereto as Exhibit A (collectively, the "Services"). Each SOW shall explicitly reference this Agreement and shall be deemed incorporated herein by this reference. In the event of any direct conflict or inconsistency between the terms and conditions of this Agreement and the terms and conditions of any SOW, the terms of this Agreement shall strictly govern and supersede the SOW, unless the SOW expressly and explicitly states an intention to supersede a specific section of this Agreement by referencing the exact section number.
1.2 Project Scope Definition. The project scope covers all analysis, design, development, integration, testing, deployment, and operational support activities explicitly enumerated within the applicable SOW (the "Project Scope"). Any task, deliverable, feature, change, or modification not expressly included within the four corners of the active SOW shall be strictly classified as Out-of-Scope.
1.3 Change Order Protocol. If Client requests any modification, expansion, or reduction of the Project Scope (a "Change"), Client shall submit a written change request detailing the requested alterations to Provider. Provider shall, within a commercially reasonable timeframe not to exceed ten (10) business days following receipt of such request, deliver a written Change Order to Client detailing the estimated impact of the requested Change on the Project schedule, milestones, technical specifications, and total compensation (the "Change Order"). No Change shall be binding upon Provider unless and until the Change Order is executed in writing by authorized representatives of both Parties. Until a Change Order is fully executed, Provider shall continue performance of the Services in accordance with the existing Project Scope under the active SOW.
1.4 Client Cooperation. Client acknowledges and agrees that Provider's timely and successful performance of the Services is contingent upon Client's full, active, and prompt cooperation, as well as the accuracy and completeness of all information, data, and access provided by Client. Client shall designate a primary project manager with decision-making authority to act as the primary point of contact for Provider throughout the duration of the engagement.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Fees and Compensation. In consideration for the full, prompt, and satisfactory performance of the Services by Provider, Client shall pay Provider the fees set forth in the applicable SOW, which may be structured on a fixed-fee basis, time-and-materials basis, or milestone-completion basis, in the total aggregate amount of up to [Amount in USD], subject to adjustment only via fully executed Change Orders pursuant to Section 1.3.
2.2 Invoicing & Payment Schedule. Provider shall issue invoices to Client in accordance with the invoicing schedule and milestones set forth in the applicable SOW. If no schedule is specified, Provider shall issue monthly invoices in arrears for Services rendered and expenses incurred during the preceding calendar month. All undisputed invoices shall be due and payable by Client within thirty (30) calendar days from the official date of receipt of the invoice (the "Due Date"). Payment shall be made in United States Dollars via wire transfer, automated clearing house (ACH) transfer, or check to the designated bank account or address specified on Provider’s invoice.
2.3 Late Payment Interest. Any undisputed amount not paid by Client when due pursuant to Section 2.2 shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily and compounded monthly from the Due Date until the date of actual payment in full.
2.4 Disputed Invoices. If Client disputes any portion of an invoice in good faith, Client shall provide detailed written notice of the dispute to Provider within fifteen (15) calendar days of receiving the disputed invoice, specifying the precise grounds for the dispute, and shall pay all undisputed portions of the invoice on or before the Due Date. The Parties shall negotiate in good faith to resolve any such billing dispute within ten (10) business days following Provider's receipt of Client's notice. Upon resolution of the dispute, Client shall pay any agreed-upon amount within five (5) business days of resolution, along with applicable late interest on resolved amounts if determined to be due.
2.5 Taxes. All fees and compensation specified in this Agreement and any SOW are exclusive of all applicable federal, state, local, and foreign sales, use, value-added, excise, gross receipts, and similar taxes and duties. Client shall be solely responsible for the payment of all such taxes, levies, and duties arising out of or in connection with this Agreement or the provision of Services, excluding only taxes based strictly on Provider's net income, corporate franchise, or real property.
SECTION 3: TERM & TERMINATION
3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number] years, expiring on [Expiration Date], unless earlier terminated in accordance with the express provisions of this Section 3 (the "Term"). Expiration of this Agreement shall not affect any active SOW that extends beyond the expiration date, and the terms of this Agreement shall continue to govern such SOW until its completion or termination.
3.2 Termination for Convenience. Either Party may terminate this Agreement or any active SOW, in whole or in part, at any time and for any reason or no reason, by providing at least thirty (30) calendar days' prior written notice of termination to the other Party.
3.3 Termination for Cause. Either Party may terminate this Agreement and any active SOW immediately upon written notice to the other Party if: (a) The other Party materially breaches any material provision, covenant, or obligation under this Agreement or any SOW, and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the specific breach; (b) The other Party ceases to conduct business in the normal course, makes an assignment for the benefit of creditors, admits in writing its inability to pay its debts as they mature; or (c) A petition under any bankruptcy, insolvency, or analogous law is filed by or against the other Party, and such petition is not dismissed, vacated, or stayed within sixty (60) calendar days of filing.
3.4 Obligations Upon Termination. Upon the effective date of expiration or termination of this Agreement or any SOW: (a) Provider shall immediately cease performance of the terminated Services; (b) Client shall promptly pay Provider for all Services performed, milestones achieved, and allowable expenses incurred up to and including the effective date of termination, calculated on a time-and-materials basis or proportionate milestone completion basis; (c) Each Party shall promptly return or destroy (and certify such destruction in writing) all Confidential Information, materials, and property belonging to the other Party in its possession or control; and (d) Sections 4, 5, 7, 8, 9, and 10 shall survive any expiration or termination of this Agreement indefinitely.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Provider Pre-Existing IP. Provider retains sole, exclusive, and unencumbered ownership of all right, title, and interest in and to all pre-existing intellectual property, methodologies, frameworks, software, tools, templates, algorithms, trade secrets, know-how, and documentation developed, created, or acquired by Provider independently of this Agreement or prior to the Effective Date, as well as any generic improvements or general enhancements derived therefrom during the performance of the Services (collectively, "Provider IP"). Nothing in this Agreement shall be construed to assign, transfer, or convey any right, title, or interest in Provider IP to Client.
4.2 Client Data & IP. Client retains sole, exclusive, and unencumbered ownership of all right, title, and interest in and to all data, information, trademarks, logos, and materials provided by Client to Provider under this Agreement (collectively, "Client IP"). Client grants Provider a limited, non-exclusive, revocable, royalty-free license to use, reproduce, and process Client IP solely as strictly necessary to perform the Services during the Term.
4.3 Deliverables and Work Made for Hire. Subject to full payment of all undisputed fees due under this Agreement and the applicable SOW, all custom deliverables, code, reports, specifications, and documents created specifically and exclusively for Client by Provider under an SOW (collectively, the "Deliverables") shall, to the maximum extent permitted by applicable law, be deemed "works made for hire" under the United States Copyright Act. To the extent any Deliverable does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Deliverables, including all intellectual property rights therein.
4.4 License to Provider IP embedded in Deliverables. To the extent that any Deliverable incorporates, relies upon, or embeds any Provider IP, Provider hereby grants to Client a perpetual, irrevocable, non-exclusive, worldwide, fully paid-up, royalty-free, transferable license to use, execute, reproduce, display, and distribute such Provider IP solely as an integrated, non-severable component of the delivered Deliverables for Client's internal business operations.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, customer lists, financial data, technical specifications, source code, trade secrets, operational processes, and the terms of this Agreement.
5.2 Exclusions. Confidential Information shall not include information that: (a) Is or becomes generally known to the public through no breach of this Agreement by Receiving Party; (b) Was already lawfully in the possession of Receiving Party prior to disclosure by Disclosing Party, without confidentiality restrictions; (c) Is independently developed by Receiving Party without reference to, incorporation of, or reliance upon Disclosing Party's Confidential Information; or (d) Is rightfully received by Receiving Party from a third party without a duty of confidentiality.
5.3 Obligations of Confidentiality. Receiving Party shall hold all Confidential Information of Disclosing Party in strict confidence, shall use the same degree of care it uses to protect its own confidential information of like nature (but no less than a reasonable standard of care), and shall not disclose such Confidential Information to any third party, except to its directors, officers, employees, legal counsel, accountants, and contractors who have a strict need to know such information for the performance of this Agreement and who are bound by written confidentiality obligations at least as restrictive as those set forth herein. Receiving Party shall be liable for any breach of this Section 5 by its representatives.
5.4 Compelled Disclosure. If Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information of Disclosing Party, Receiving Party shall, to the extent legally permissible, provide prompt written notice to Disclosing Party prior to disclosure to enable Disclosing Party to seek a protective order or other appropriate remedy.
SECTION 6: REPRESENTATIONS & WARRANTIES
6.1 Provider Warranties. Provider represents and warrants that: (a) Provider is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation; (b) Provider has full corporate power, authority, and legal right to enter into this Agreement and perform its obligations hereunder; (c) The Services shall be performed in a professional, workmanlike manner, in accordance with generally accepted industry standards and practices applicable to similar professional services; and (d) To Provider's actual knowledge, the Deliverables created by Provider shall not infringe, misappropriate, or violate any third-party copyright, trademark, patent, or trade secret.
6.2 Client Warranties. Client represents and warrants that: (a) Client is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation; (b) Client has full corporate power, authority, and legal right to enter into this Agreement and perform its obligations hereunder; (c) Client owns or has obtained all necessary rights, licenses, and permissions to provide Client IP to Provider for the performance of the Services; and (d) The provision and use of Client IP by Provider shall not infringe, misappropriate, or violate any third-party intellectual property or privacy rights.
6.3 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROVIDER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIALITY), INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, OR FRAUD/WILLFUL MISCONDUCT, NEITHER PARTY SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, REPUTATION, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIALITY), INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, OR FRAUD/WILLFUL MISCONDUCT, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT AND ALL SOWs, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY CLIENT TO PROVIDER UNDER THE APPLICABLE SOW GIVING RISE TO THE LIABILITY DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Indemnification by Provider. Provider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from any claim that the Deliverables provided by Provider infringe or misappropriate any valid United States copyright, trademark, or trade secret of any third party, provided that Client promptly notifies Provider in writing of the claim, grants Provider sole control of the defense and settlement of the claim, and provides all reasonable cooperation to Provider at Provider's expense.
7.4 Indemnification by Client. Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client IP or Client's business operations, products, or services; or (b) Any breach by Client of its representations, warranties, or obligations under this Agreement; provided that Provider promptly notifies Client in writing of the claim, grants Client sole control of the defense and settlement of the claim, and provides all reasonable cooperation to Client at Client's expense.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, termination, or validity (a "Dispute"), the aggrieved Party shall give written notice of the Dispute to the other Party. Designated senior executives of both Parties shall negotiate in good faith for a period of thirty (30) calendar days from receipt of such notice to resolve the Dispute.
8.2 Binding Arbitration. If the Dispute is not resolved through good-faith negotiation within thirty (30) calendar days pursuant to Section 8.1, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator mutually agreed upon by the Parties or appointed by the AAA. The place and location of the arbitration shall be [City, State]. The arbitrator shall issue a reasoned written award, and judgment upon the award rendered by the arbitrator may be entered in any court having competent jurisdiction. The prevailing party in any arbitration proceeding shall be entitled to recover its reasonable attorneys' fees, expert witness fees, and administrative arbitration costs from the non-prevailing party.
8.3 Injunctive Relief. Nothing in this Section 8 shall prevent either Party from seeking temporary, preliminary, or permanent injunctive relief or other equitable remedies in any court of competent jurisdiction with respect to any actual or threatened breach of Section 4 (Intellectual Property) or Section 5 (Confidentiality).
SECTION 9: GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims, disputes, or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without giving effect to any choice or conflict of law provision or rule (whether of the State of [State / Jurisdiction] or any other jurisdiction) that would cause the application of the laws of any jurisdiction other than the State of [State / Jurisdiction].
9.2 Jurisdiction and Venue. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction and venue of the state and federal courts located in [County] County, [State] for any legal action, suit, or proceeding arising out of or relating to this Agreement. Each Party waives any objection to inconvenient forum.
SECTION 10: MISCELLANEOUS
10.1 Severability. If any provision, clause, or section of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions of this Agreement shall remain in full force and effect and shall in no way be affected, impaired, or invalidated.
10.2 Counterparts and Electronic Execution. This Agreement, and any SOW or Change Order hereto, may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Counterparts may be delivered via facsimile, electronic mail (including PDF or secure electronic signature systems such as DocuSign or Adobe Sign), and any such electronic signature shall have the same legal force and effect as a manually signed original.
10.3 Entire Agreement. This Agreement, together with all attached Exhibits and subsequently executed SOWs, constitutes the sole and entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, with respect to such subject matter.
10.4 Independent Contractors. The relationship of the Parties established by this Agreement is solely that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employment relationship between the Parties. Neither Party has any authority to bind, commit, or incur any obligation on behalf of the other Party.
10.5 Assignment. Neither Party may assign, delegate, or transfer this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld, conditioned, or delayed. Any attempted assignment in violation of this Section 10.5 shall be null and void ab initio. Notwithstanding the foregoing, either Party may assign this Agreement in its entirety, without consent, to a corporate affiliate or to a successor-in-interest in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets or voting stock.
10.6 Force Majeure. Neither Party shall be liable or responsible to the other Party, nor be deemed to have defaulted under or breached this Agreement, for any failure or delay in fulfilling or performing any term of this Agreement when and to the extent such failure or delay is caused by acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, riot, civil unrest, national emergency, epidemic, pandemic, strikes or other labor disputes (not involving the affected Party's workforce), embargoes or blockades, or national or regional shortages of adequate power or telecommunications, provided that the affected Party uses diligent, good-faith efforts to resume performance as soon as commercially practicable.

All notices, requests, consents, claims, demands, waivers, and other communications hereunder shall be in writing and shall be deemed to have been received: (a) when delivered by hand (with written confirmation of receipt); (b) when received by the addressee if sent by a nationally recognized overnight courier (receipt requested); (c) on the date sent by facsimile or email of a PDF document (with confirmation of transmission) if sent during normal business hours of the recipient, and on the next business day if sent after normal business hours; or (d) on the third day after the date mailed, by certified or registered mail, return receipt requested, postage prepaid.
