2.6 Taxes: All fees and compensation set forth in this Agreement are exclusive of all applicable sales, use, value-added, withholding, and similar taxes. Client shall be solely responsible for the payment of all such taxes, excluding taxes levied upon Provider’s net income.

5. Mutual Confidentiality & Non-Disclosure
5.1 Definition of Confidential Information: "Confidential Information" means all non-public information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party") under this Agreement, including technical data, trade secrets, source code, business plans, customer lists, financial data, and product roadmaps, whether orally or in writing, if marked as confidential or if a reasonable person would understand it to be confidential.
5.2 Obligations of Confidentiality: The Receiving Party shall hold the Disclosing Party's Confidential Information in strict confidence, shall use the same degree of care it uses to protect its own confidential information (but no less than a reasonable degree of care), and shall not disclose such Confidential Information to any third party, except to its employees, contractors, and legal/financial advisors who have a need to know and who are bound by confidentiality obligations at least as restrictive as those contained herein.
5.3 Exclusions: Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of the Receiving Party; (b) was known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without duty of confidentiality.

6.3 Exclusive Remedy: In the event of a breach of the warranty set forth in Section 6.1(c), Client’s sole and exclusive remedy, and Provider's entire liability, shall be the commercially reasonable re-performance of the non-conforming Services or repair/replacement of the defective Deliverables at no additional cost to Client, provided Client notifies Provider in writing within the Warranty Period.
7. Limitation of Liability & Indemnification
7.1 Limitation of Liability: TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY SHALL BE LIABLE TO THE OTHER FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability: PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Client Indemnification: Client agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney's fees) arising out of or resulting from: (a) Client’s breach of this Agreement; (b) materials, data, or intellectual property provided by Client; or (c) Client’s violation of applicable laws or regulations.
7.4 Provider Indemnification: Provider agrees to defend, indemnify, and hold harmless Client, its officers, directors, and employees from and against any third-party claims alleging that the Deliverables developed and delivered by Provider infringe any United States copyright, patent, or trade secret, provided that Client promptly notifies Provider in writing, grants Provider sole control of the defense and settlement, and provides reasonable cooperation.
8. Dispute Resolution & Arbitration

The arbitration shall be conducted by a single neutral arbitrator in [City, State, e.g., Wilmington, Delaware]. Judgment upon the award rendered by the arbitrator may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief: Nothing in this Section 8 shall prevent either party from seeking urgent provisional remedies, temporary restraining orders, or preliminary injunctions from a court of competent jurisdiction to protect its intellectual property rights or confidential information.
9. Governing Law & Jurisdiction
9.1 Governing Law: This Agreement, and all claims or causes of action arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the substantive laws of the [State/Country, e.g., State of Delaware], without regard to its conflict of laws principles.
9.2 Venue: Subject to Section 8, any legal action, suit, or proceeding arising out of this Agreement shall be instituted exclusively in the state or federal courts located in [County, State], and each party irrevocably submits to the exclusive personal jurisdiction of such courts.
10. Miscellaneous
10.1 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.
10.2 Entire Agreement: This Agreement, including all attached Exhibits, Statements of Work, and Change Orders, constitutes the entire agreement between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous oral or written proposals, agreements, representations, and understandings.
10.3 Amendments & Waivers: No modification, amendment, or waiver of any provision of this Agreement shall be effective unless executed in writing by authorized representatives of both parties. No failure or delay by either party in exercising any right under this Agreement shall constitute a waiver of that right.
10.4 Independent Contractors: The relationship of the parties established by this Agreement is that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, or employment relationship between the parties.
10.5 Force Majeure: Neither party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations) resulting from causes beyond its reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, utility failures, or widespread internet/telecommunication outages ("Force Majeure Event").
10.6 Counterparts & Electronic Signatures: This Agreement may be executed in counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
