5.1 Pre-Existing Intellectual Property: Each party retains exclusive ownership of all right, title, and interest in and to its respective pre-existing intellectual property, methodologies, software, tools, trade secrets, and know-how developed independently of this Agreement ("Pre-Existing IP"). Nothing herein shall be construed to transfer ownership of Pre-Existing IP.

5.2 Work Product & Assignment: Except for Pre-Existing IP embedded therein, all deliverables, reports, data, software code, designs, documentation, and original works authored, conceived, or created by Provider specifically for Client pursuant to this Agreement (collectively, the "Work Product") shall be deemed "works made for hire" under the copyright laws of the United States. To the extent that any Work Product does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Work Product, including all copyrights, patents, trademarks, and trade secret rights.

5.3 License to Provider IP: To the extent that any Work Product incorporates Provider Pre-Existing IP, Provider hereby grants to Client a perpetual, irrevocable, worldwide, non-exclusive, fully paid-up, royalty-free license to use, execute, reproduce, display, and distribute such Pre-Existing IP solely as incorporated into and necessary for the normal operation and enjoyment of the Work Product.

5. Mutual Confidentiality & Non-Disclosure

6.1 Definition: "Confidential Information" means all non-public, proprietary, or confidential information disclosed by one party ("Disclosing Party") to the other party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financial data, customer lists, technical specifications, source code, and research methodologies.

6.2 Obligations: The Receiving Party shall:

  • Protect the Confidential Information with the same degree of care it uses for its own confidential information, but no less than a reasonable standard of care;
  • Not disclose the Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who have a strict need to know and are bound by confidentiality obligations at least as restrictive as those herein; and

PROVIDER’S TOTAL AGGREGATE LIABILITY UNDER THIS AGREEMENT SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

8.2 Provider Indemnification: Provider agrees to defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Provider's gross negligence or willful misconduct; or (b) any allegation that the Work Product infringes or misappropriates any valid third-party intellectual property right.

8.3 Client Indemnification: Client agrees to defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client's gross negligence or willful misconduct; or (b) materials, data, or instructions provided by Client infringing upon the rights of any third party.

9.2 Binding Arbitration: If the dispute is not resolved through negotiation, it shall be settled by binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules. The place of arbitration shall be [City, State, e.g., Boston, Massachusetts]. The arbitration shall be conducted by a single neutral arbitrator appointed in accordance with said rules. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.

9. Governing Law & Jurisdiction

10.1 Governing Law: This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the Commonwealth of Massachusetts, without regard to its conflict of laws principles.

10.2 Jurisdiction: Subject to Section 9 (Arbitration), each party irrevocably and unconditionally submits to the exclusive jurisdiction of the state and federal courts located in [County, State, e.g., Suffolk County, Massachusetts] for any actions, suits, or proceedings arising out of or relating to this Agreement.

10. Miscellaneous

11.1 Severability: If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect.

11.2 Counterparts: This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of a signature page by electronic transmission (PDF or digital signature platform) shall be effective as delivery of an original executed counterpart.
