Parties must review all bracketed fields ([...]) prior to execution. Legal counsel should be consulted to ensure alignment with local, state, and federal statutory requirements, industry-specific regulations, and cross-border trade laws.

NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and warranties contained herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & PROJECT PROPOSAL

1.1 Incorporation of Proposal. The project proposal submitted by Provider to Client dated [Proposal Date] (attached hereto as Exhibit A and incorporated herein by this reference) sets forth the initial project conceptualization, baseline timelines, and functional specifications. In the event of any direct conflict, ambiguity, or inconsistency between the terms of Exhibit A and the operative provisions of this main body Agreement, the operative provisions of this main body Agreement shall strictly govern and control.

1.2 Statement of Work (SOW). Provider shall perform the professional services, deliver the project milestones, and produce the deliverables (collectively, the "Services") as exhaustively detailed in the Statement of Work attached hereto as Exhibit B. Any modification, expansion, reduction, or material alteration of the Services must be formalized through a written Change Order executed by authorized representatives of both Parties pursuant to Section 1.5.

1.3 Client Cooperation. Client acknowledges and agrees that the successful, timely, and compliant completion of the Services is contingent upon Client’s active, prompt, and continuous cooperation, as well as the timely delivery of necessary resources, data, access credentials, approvals, and personnel decisions. Client shall designate a primary project manager with full authority to make binding operational decisions on behalf of Client.

1.4 Delays Attributable to Client. Provider shall not be deemed in breach of this Agreement, nor liable for any direct, indirect, consequential, or liquidated damages, resulting from any delay in the performance of Services caused directly or indirectly by Client's failure to furnish required inputs, access, approvals, or feedback within [Number, e.g., 5] business days of Provider’s written request. Project timelines and milestone delivery dates shall be automatically extended on a day-for-day basis for any such Client-induced delays.

1.5 Change Order Process. If Client requests any material modification, addition, or deletion to the scope of Services outlined in Exhibit B, Provider shall prepare and deliver a formal Change Order detailing the estimated impact on project timelines, resource allocation, and compensation (the "Change Order"). No Change Order shall become binding or effective until it is signed and dated by authorized signatories of both Provider and Client.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Fee Structure. In consideration of the full, faithful, and timely performance of the Services by Provider, Client shall pay to Provider the total aggregate sum of [Amount in USD] USD (the "Total Contract Price"), payable in accordance with the milestone payment schedule set forth in Exhibit C or on a time-and-materials basis as specified therein.

2.2 Invoicing and Payment Schedule. Provider shall issue invoices to Client in accordance with the payment milestones or billing cycles defined in Exhibit C. Unless otherwise explicitly agreed upon in writing, all undisputed invoices are due and payable in full within thirty (30) calendar days from the formal date of issuance (the "Due Date"). Payments shall be remitted via electronic wire transfer, Automated Clearing House (ACH) transfer, or corporate check to the bank account designated in writing by Provider.

2.3 Late Payments and Interest. Any invoice amount not received by Provider on or before the Due Date shall accrue delinquency interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted under applicable state usury and statutory law, calculated daily and compounded monthly from the Due Date until paid in full.

2.4 Suspension of Services for Non-Payment. If any undisputed invoice remains unpaid for more than fifteen (15) calendar days following the Due Date, Provider reserves the absolute right, upon providing five (5) business days' prior written notice to Client, to suspend the performance of any and all ongoing Services without incurring any liability, penalty, or breach of contract whatsoever, until such time as all overdue balances, accrued interest, and collection costs are paid in full.

2.5 Disputed Invoices. If Client in good faith disputes any portion of an invoice, Client shall pay the undisputed portion in accordance with Section 2.2 and provide comprehensive, written notice of the disputed amount detailing the specific grounds for the dispute within ten (10) calendar days of receiving the invoice. The Parties shall negotiate in good faith to resolve the dispute within fifteen (15) calendar days of such notice. Upon resolution, Client shall pay the agreed-upon amount within five (5) business days.

2.6 Taxes and Expenses. The Total Contract Price is exclusive of all applicable federal, state, provincial, local, excise, sales, use, and value-added taxes. Client shall be solely responsible for paying all such taxes, levies, and duties arising from the transactions contemplated under this Agreement, excluding taxes based solely on Provider’s net income. Client shall reimburse Provider for all pre-approved, reasonable, and necessary out-of-pocket travel, lodging, and incidental expenses incurred by Provider in the performance of the Services, subject to standard corporate travel expense verification policies and submission of original receipts.

SECTION 3: TERM & TERMINATION

3.1 Term of Agreement. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and full payment of the Total Contract Price, unless earlier terminated in accordance with the provisions of this Section 3 (the "Term").

3.2 Termination for Convenience. Client or Provider may terminate this Agreement, or any individual Statement of Work, without cause and for any reason whatsoever, by providing at least [Number, e.g., 30] calendar days' prior written notice to the non-terminating Party. Upon termination for convenience by Client, Client shall immediately pay Provider for: (a) all Services satisfactorily performed up to the effective date of termination; (b) all non-cancelable third-party commitments and expenses incurred by Provider prior to notice; and (c) a wind-down fee equal to [Percentage, e.g., 15]% of the remaining unbilled balance of the Total Contract Price.

3.3 Termination for Cause (Material Breach). Either Party may terminate this Agreement immediately upon written notice if the other Party commits a material breach of any provision, covenant, representation, or warranty contained herein and fails to cure such material breach within thirty (30) calendar days after receipt of detailed written notice specifying the exact nature of the breach (the "Cure Period").

3.4 Termination for Insolvency. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) files a petition for relief under the United States Bankruptcy Code or any similar state or federal insolvency law; (b) makes an assignment for the benefit of creditors; (c) has a receiver, liquidator, or trustee appointed over all or a substantial portion of its assets; or (d) ceases to conduct business in the ordinary course.

3.5 Post-Termination Obligations. Upon the expiration or termination of this Agreement for any reason:

  • Provider shall immediately cease all performance of the Services.
  • Client shall pay Provider all outstanding, unpaid invoices and accrued fees for Services rendered up to the effective date of termination within ten (10) business days.
  • Each Party shall promptly return or securely destroy (at the disclosing Party's written election) all Confidential Information, proprietary documents, and materials belonging to the other Party in accordance with Section 6.

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

4.1 Provider Pre-Existing IP. Client acknowledges and agrees that all intellectual property rights, including but not limited to copyrights, patents, trademarks, trade secrets, source code, algorithms, methodologies, frameworks, tools, and documentation owned, developed, or acquired by Provider prior to the Effective Date or independently of this Agreement (collectively, "Provider Background IP"), shall remain the exclusive, sole property of Provider. Nothing in this Agreement shall be construed to transfer, assign, or grant any right, title, or interest in Provider Background IP to Client, except for a limited, non-exclusive, revocable, non-transferable license to use Provider Background IP solely to the extent necessary to operate and utilize the deliverables.

4.2 Client Pre-Existing IP. All intellectual property, data, trademarks, logos, and materials provided by Client to Provider for the execution of the Services (collectively, "Client IP") shall remain the sole and exclusive property of Client. Client grants Provider a limited, non-exclusive, worldwide, royalty-free license to use, reproduce, modify, and process Client IP solely during the Term and strictly as necessary to perform the Services.

4.3 Work Product and Deliverables. Subject to the full and final payment of all undisputed fees due under this Agreement, Provider hereby assigns to Client all right, title, and interest (including all global copyright and intellectual property rights) in and to the final, customized deliverables specifically created by Provider for Client under the active Statement of Work (the "Work Product").

4.4 Work Made for Hire Classification. To the maximum extent permitted by applicable law, all Work Product shall be deemed a "work made for hire" (as defined under Section 101 of the United States Copyright Act, 17 U.S.C. § 101) authored by Provider for Client. If any such Work Product is determined by a court of competent jurisdiction not to qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client, free of any liens or encumbrances, all worldwide right, title, and interest in and to such Work Product, including all intellectual property rights therein.

4.5 Reservation of General Knowledge and Skills. Notwithstanding anything to the contrary herein, Provider shall retain all right, title, and interest in its general know-how, experience, techniques, ideas, concepts, and generic software modules developed or utilized during the performance of the Services. Nothing in this Agreement shall restrict Provider from providing similar services to third parties or utilizing generalized skills acquired during the engagement, provided that Provider does not breach its confidentiality obligations under Section 6 or disclose Client's proprietary data.

SECTION 5: REPRESENTATIONS & WARRANTIES

5.1 Provider Warranties. Provider represents and warrants that:

  • It is a duly organized, validly existing business entity in good standing under the laws of its jurisdiction of organization.
  • It possesses the requisite corporate power, legal authority, and professional licenses to execute, deliver, and perform its obligations under this Agreement.
  • The Services shall be performed in a professional, workmanlike manner, in strict accordance with industry standards, professional best practices, and the specifications set forth in Exhibit B.
  • To the best of Provider’s knowledge, the deliverables created and delivered by Provider shall not infringe, misappropriate, or violate any third-party copyright, patent, trademark, trade secret, or proprietary rights.

5.2 Client Warranties. Client represents and warrants that:

  • It is a duly organized, validly existing business entity in good standing under the laws of its jurisdiction of organization.
  • It possesses the requisite corporate power and legal authority to enter into this Agreement and fulfill all obligations hereunder.
  • All Client IP, data, materials, and instructions provided to Provider are accurate, complete, and owned or lawfully licensed by Client, and do not infringe, misappropriate, or violate any third-party intellectual property, privacy, or statutory rights.

5.3 Disclaimer of Implied Warranties. EXCEPT AS EXPRESSLY AND UNAMBIGUOUSLY SET FORTH IN THIS SECTION 5, PROVIDER MAKES NO OTHER REPRESENTATIONS OR WARRANTIES, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROVIDER EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AS WELL AS ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE. PROVIDER DOES NOT WARRANT THAT THE SERVICES OR DELIVERABLES WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE.

SECTION 6: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

6.1 Definition of Confidential Information. "Confidential Information" shall mean any proprietary, non-public, technical, commercial, financial, operational, or legal information disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure. Confidential Information includes, without limitation, source code, trade secrets, customer lists, financial data, business strategies, and product roadmaps.

6.2 Obligations of Confidentiality. The Receiving Party shall:

  • Protect and safeguard the confidentiality of all Confidential Information of the Disclosing Party with the same degree of care it uses to protect its own proprietary confidential information, but in no event less than a reasonable standard of care.
  • Not disclose, publish, reveal, or distribute any Confidential Information of the Disclosing Party to any third party, except to its employees, officers, directors, legal counsel, and financial advisors who have a strict "need to know" and who are bound by written confidentiality obligations at least as restrictive as those set forth herein.
  • Not use the Disclosing Party's Confidential Information for any purpose whatsoever other than to exercise its rights and perform its obligations under this Agreement.

6.3 Exclusions from Confidentiality. Confidential Information shall not include information that:

  • Is or becomes publicly known through no breach of this Agreement by the Receiving Party.
  • Was already lawfully in the possession of the Receiving Party prior to disclosure by the Disclosing Party, without confidentiality restrictions.
  • Is independently developed by the Receiving Party without reference to, use of, or access to the Disclosing Party’s Confidential Information.
  • Is rightfully received by the Receiving Party from a third party without a duty of confidentiality and without breach of this Agreement.

6.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, request for documents, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate legal remedy.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR SUBCONTRACTORS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, LOSS OF BUSINESS OPPORTUNITY, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE), AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

7.2 Cap on Total Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT DURING THE TWELVE (12) MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.

7.3 Provider Indemnification. Provider shall defend, indemnify, and hold harmless Client, its officers, directors, employees, and agents from and against any and all third-party claims, actions, suits, liabilities, losses, damages, judgments, settlements, costs, and expenses (including reasonable attorneys' fees and legal expenses) (collectively, "Losses") arising out of or resulting from: (a) any gross negligence or willful misconduct of Provider or its employees; or (b) any allegation that the Deliverables infringe, misappropriate, or violate any third-party copyright, patent, or trade secret.

7.4 Client Indemnification. Client shall defend, indemnify, and hold harmless Provider, its officers, directors, employees, and agents from and against any and all Losses arising out of or resulting from: (a) any gross negligence or willful misconduct of Client or its agents; (b) Client’s breach of any representation, warranty, or covenant in this Agreement; or (c) any allegation that the Client IP, or any data, materials, or instructions provided by Client, infringe, misappropriate, or violate any third-party intellectual property, privacy, or statutory rights.

7.5 Indemnification Procedures. Each indemnifying Party’s obligations under this Section 7 are conditioned upon the indemnified Party: (a) providing prompt written notice of any claim to the indemnifying Party (provided that failure to give prompt notice shall not relieve the indemnifying Party of its obligations except to the extent materially prejudiced thereby); (b) granting the indemnifying Party sole control over the defense and settlement of the claim; and (c) providing all reasonable cooperation, information, and assistance at the indemnifying Party’s expense.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, interpretation, breach, termination, or validity (a "Dispute"), the disputing Parties shall first attempt in good faith to resolve the Dispute through senior management negotiations. Either Party may initiate this process by providing written notice of the Dispute to the other Party, after which designated executives shall meet (in person or via teleconference) within ten (10) business days to negotiate a resolution.

8.2 Binding Arbitration. If the Dispute is not resolved through good faith negotiations within thirty (30) calendar days of the initial notice, the Dispute shall be submitted to final and binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted before a single neutral arbitrator appointed in accordance with said rules. The place and location of the arbitration shall be [City, State]. The language of the arbitration shall be English.

8.3 Arbitrator's Award and Costs. The award rendered by the arbitrator shall be final, binding, and conclusive upon the Parties, and judgment upon the award may be entered and enforced in any court of competent jurisdiction. The arbitrator shall have the authority to award injunctive relief, damages, and reasonable attorneys' fees and costs to the prevailing Party. Each Party shall bear its own attorneys' fees and equally share the administrative and arbitrator fees, unless the arbitrator expressly determines otherwise in the final award.

8.4 Injunctive Relief Exceptions. Notwithstanding Section 8.2, either Party may seek temporary injunctive relief, preliminary injunctions, or equitable relief from a court of competent jurisdiction to protect its intellectual property rights, confidential information, or prevent irreparable harm, without waiving the obligation to arbitrate the underlying merits of the Dispute.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims, disputes, controversies, and legal proceedings arising out of or relating to it (whether sounding in contract, tort, equity, or statute), shall be governed by, construed, enforced, and interpreted in accordance with the substantive laws of the State of [State], without regard to its conflict of law principles or rules that would mandate the application of the laws of any other jurisdiction.

9.2 Choice of Forum. Subject to Section 8, any legal action, suit, or proceeding arising out of or relating to this Agreement or the breach thereof shall be instituted exclusively in the state or federal courts located in [County] County, [State]. Each Party hereby irrevocably submits to the exclusive personal jurisdiction and venue of such courts and waives any objection based on forum non conveniens or improper venue.

SECTION 10: MISCELLANEOUS PROVISIONS

10.1 Severability. If any provision, clause, section, or term of this Agreement is held by a court or arbitrator of competent jurisdiction to be invalid, illegal, void, or unenforceable, such provision shall be modified and reformed to the minimum extent necessary to make it valid and enforceable while preserving the original intent of the Parties. If such modification is impossible, the invalid provision shall be severed from this Agreement, and the remaining provisions shall remain in full force and effect.

10.2 Counterparts and Electronic Signatures. This Agreement may be executed in multiple counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Delivery of an executed counterpart of this Agreement by facsimile, email PDF, or digital signature platform (such as DocuSign or Adobe Sign) shall be equally effective as delivery of an original manually executed signature.

10.3 Entire Agreement. This Agreement, together with all exhibits, schedules, Statements of Work, and Change Orders attached hereto or incorporated herein, constitutes the entire, final, and exclusive agreement between Provider and Client with respect to the subject matter hereof, and supersedes all prior and contemporaneous discussions, negotiations, proposals, term sheets, understandings, and agreements, whether oral or written.

10.4 Amendments and Waivers. No modification, amendment, supplement, or waiver of any provision of this Agreement shall be effective unless it is set forth in a written instrument explicitly referencing this Agreement and signed by authorized representatives of both Parties. No failure or delay by either Party in exercising any right, power, or remedy under this Agreement shall operate as a waiver thereof, nor shall any single or partial exercise preclude any other or further exercise of any right, power, or remedy.

10.5 Independent Contractors. The relationship of the Parties established by this Agreement is solely that of independent contractors. Nothing in this Agreement shall be construed to create a partnership, joint venture, agency, franchise, sales representative, or employer-employee relationship between Provider and Client. Neither Party has any right, power, or authority to bind or obligate the other Party in any manner whatsoever.

10.6 Force Majeure. Neither Party shall be held liable or responsible to the other Party, nor be deemed to have breached or defaulted under this Agreement, for any failure or delay in fulfilling or performing any obligation hereunder when and to the extent such failure or delay is caused by, results from, or is induced by acts beyond the reasonable control of the impacted Party (a "Force Majeure Event"), including acts of God, flood, fire, earthquake, explosion, war, terrorism, invasion, civil unrest, global pandemics, government embargoes, strikes, labor disputes, or systemic telecommunications or electrical grid failures. The impacted Party shall provide prompt written notice to the other Party detailing the Force Majeure Event and shall use commercially reasonable efforts to resume performance as soon as practicable.

10.7 Assignment. Neither Party may assign, transfer, delegate, or subcontract this Agreement, or any of its rights or obligations hereunder, whether voluntarily, involuntarily, by operation of law, or otherwise, without the prior written consent of the non-assigning Party, which consent shall not be unreasonably withheld, delayed, or conditioned. Any purported assignment or delegation in violation of this Section 10.7 shall be null, void ab initio, and of no legal effect. Notwithstanding the foregoing, either Party may assign this Agreement without consent to an affiliate or to a successor entity resulting from a merger, consolidation, or sale of all or substantially all of its assets or voting stock. This Agreement shall be binding upon and shall insure to the benefit of the Parties and their respective permitted successors and assigns.

10.8 Notices. All notices, requests, consents, claims, demands, waivers, and other communications required or permitted under this Agreement must be in writing and shall be deemed effectively given: (a) upon personal delivery; (b) when received by confirmed electronic transmission (email) with read confirmation requested; (c) one (1) business day after being sent by nationally recognized overnight courier service (e.g., FedEx or UPS); or (d) three (3) business days after being mailed by certified or registered mail, postage prepaid, return receipt requested, addressed to the respective Parties at the addresses set forth in the preamble of this Agreement (or to such other address as may be designated by a Party in accordance with this Section).

5. STEP-BY-STEP EXECUTION & FILING GUIDE

To ensure full legal enforceability, compliance, and risk mitigation when executing this document, contract operations managers and administrative teams must strictly adhere to the following operational protocol:

  1. Document Preparation (Word/Google Docs):

    • Locate and replace all bracketed placeholder text enclosed in square brackets ([...]), including company names, addresses, states of incorporation, financial figures, dates, and jurisdiction details. Ensure all defined terms align across all exhibits and schedules.

  4. Post-Execution Record Retention:

    • Upon full execution by both Parties, download the cryptographically sealed, tamper-evident Certificate of Completion alongside the final signed PDF.
