3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

SECTION 1: SCOPE OF SERVICES & PROJECT PROPOSAL

1.1 Scope of Work. Provider shall perform the professional, technical, and creative services (the "Services") outlined in the Project Proposal and specifications attached hereto as Exhibit A (Statement of Work). Provider shall execute the Services in a professional, workmanlike manner, in accordance with generally accepted industry standards, and in strict compliance with the specifications, timelines, and deliverables set forth in Exhibit A. 1.2 Change Orders. Any material modification, expansion, reduction, or alteration of the Services described in Exhibit A must be set forth in a written Change Order signed by authorized representatives of both Parties (the "Change Order"). The Change Order shall detail the specific modifications to the Services, adjustments to the delivery timeline, and corresponding modifications to the compensation terms. Provider shall not be obligated to perform any modified or additional services until a mutually executed Change Order is finalized. 1.3 Client Cooperation. Client shall provide Provider with timely access to required personnel, proprietary data, systems, facilities, and documentation necessary for Provider to execute the Services. Client acknowledges that Provider’s performance is dependent upon Client’s timely fulfillment of its obligations hereunder. Provider shall not be liable for any project delays or delivery failures directly resulting from Client's failure to provide required inputs, approvals, or access.

SECTION 2: COMPENSATION & PAYMENT TERMS

2.1 Project Fees. In consideration for the full and faithful performance of the Services, Client shall pay Provider the total sum of [Amount in USD] USD (the "Project Fee"), payable in accordance with the milestone schedule or invoicing terms set forth in Exhibit B (Fee Schedule). 2.2 Invoicing & Payment Terms. Provider shall issue invoices to Client in accordance with Exhibit B. All undisputed invoices shall be due and payable by Client within [e.g., Thirty (30)] calendar days from the date of receipt (the "Due Date"). Payments shall be remitted via wire transfer, ACH, or check to the bank account designated in writing by Provider. 2.3 Late Payments & Interest. Any undisputed amount not paid by Client when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated daily from the Due Date until paid in full. Provider reserves the right to suspend the performance of any ongoing Services or withhold project deliverables upon written notice if Client fails to cure an overdue balance within ten (10) business days following receipt of written notice of delinquency. 2.4 Expenses. Unless otherwise expressly provided in Exhibit B, Client shall reimburse Provider for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by Provider in the performance of the Services, including travel, lodging, third-party software licensing, and specialized hardware acquisition, provided that Provider submits corresponding receipts and supporting documentation. 2.5 Taxes. All fees and compensation specified herein are exclusive of all applicable federal, state, municipal, value-added, sales, use, or excise taxes. Client shall be solely responsible for the payment of all such transactional taxes arising out of or relating to this Agreement, excluding taxes levied upon Provider’s net income.

SECTION 3: TERM & TERMINATION

3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and full payment of all fees, unless earlier terminated in accordance with the provisions of this Section 3 (the "Term"). 3.2 Termination for Convenience. Client or Provider may terminate this Agreement, or any active Statement of Work, in whole or in part, at any time for any reason or no reason, by providing [e.g., Thirty (30)] calendar days’ prior written notice to the other Party. Upon receipt of such notice, Provider shall immediately cease performance of the Services (unless the notice dictates otherwise) and take all reasonable steps to mitigate costs. 3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement and fails to cure such material breach within [e.g., Fifteen (15)] calendar days after receipt of written notice detailing the breach; (b) files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, or enters liquidation or receivership; or (c) ceases to carry on business operations in the ordinary course. 3.4 Effect of Termination. Upon the effective date of termination of this Agreement for any reason: (a) Client shall immediately pay Provider for all Services performed, milestone deliverables completed, and pre-approved expenses incurred up to the effective date of termination, calculated on a pro-rata basis or in accordance with Exhibit B; (b) each Party shall promptly return or destroy (and certify destruction of) all Confidential Information belonging to the other Party; and (c) all licenses granted under this Agreement shall terminate, except as expressly provided herein.

SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE

Each Party retains all right, title, and interest in and to its respective pre-existing trademarks, copyrights, patents, trade secrets, software, methodologies, frameworks, and proprietary tools developed prior to or independently of this Agreement ("Pre-Existing IP"). Nothing in this Agreement transfers ownership of Pre-Existing IP. 4.2 Work Product & Deliverables. Subject to full and final payment of all fees due under this Agreement, Provider hereby assigns to Client all right, title, and interest (including worldwide copyrights and intellectual property rights) in and to the final custom deliverables expressly created by Provider for Client under Exhibit A (the "Work Product"). 4.3 Provider Tools & Residuals. Notwithstanding Section 4.2, Work Product shall not include Provider’s Pre-Existing IP, underlying development frameworks, general know-how, software libraries, methodologies, or generic templates used by Provider in the creation of the Work Product ("Provider Tools"). Provider hereby grants Client a perpetual, irrevocable, worldwide, non-exclusive, transferable, royalty-free license to use, execute, and display such Provider Tools solely as incorporated into and necessary for the functioning of the Work Product. 4.4 Moral Rights Waiver. To the maximum extent permitted by applicable law, Provider hereby waives and agrees never to assert any moral rights, rights of paternity, integrity, or authorship in or to the Work Product against Client or its successors and assigns.

SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE

5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary, or commercial information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally, visually, or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, financials, source code, client lists, trade secrets, and technical documentation. 5.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) not disclose the Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public through no breach of this Agreement by the Receiving Party; (b) was already known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party’s Confidential Information; or (d) is rightfully received from a third party without a duty of confidentiality. 5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, subpoena, civil investigative demand, or similar judicial process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permitted, provide prompt written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate remedy.

SECTION 6: REPRESENTATIONS & WARRANTIES

6.1 Mutual Representations. Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation; (b) it has full power and authority to enter into this Agreement and perform its obligations hereunder; and (c) the execution and delivery of this Agreement has been duly authorized by all necessary corporate actions. 6.2 Provider Warranties. Provider warrants that: (a) the Services shall be performed in a professional and workmanlike manner in accordance with prevailing industry standards; (b) the Work Product shall not infringe, misappropriate, or violate any third-party copyright, trademark, patent, trade secret, or other intellectual property right; and (c) Provider possesses all necessary licenses, permits, and personnel to execute the Services. 6.3 Client Warranties. Client warrants that: (a) it owns or has secured all necessary rights, licenses, and permissions to provide Client-supplied materials, data, and content to Provider for use in connection with the Services; and (b) the use of such materials by Provider will not infringe or violate any third-party rights or applicable laws. 6.4 Disclaimer of Warranties. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, NEITHER PARTY MAKES ANY OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. PROVIDER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION

7.1 Limitation of Liability. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NEITHER PARTY, NOR ITS DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS, SHALL BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. 7.2 Cap on Liability. PROVIDER’S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, UNDER ANY LEGAL THEORY, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID BY CLIENT TO PROVIDER UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY. 7.3 Client Indemnification. Client shall defend, indemnify, and hold harmless Provider, its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney’s fees) arising out of or resulting from: (a) Client’s breach of this Agreement; (b) Client’s violation of applicable laws; or (c) the use, modification, or distribution of the Work Product by Client or its agents in a manner inconsistent with Provider’s specifications or instructions. 7.4 Provider Indemnification. Provider shall defend, indemnify, and hold harmless Client, its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including attorney’s fees) arising out of or resulting from a claim that the Work Product directly infringes any valid United States copyright, trademark, or patent, provided that Provider is given prompt written notice of the claim, sole control over the defense and settlement, and reasonable cooperation from Client.

SECTION 8: DISPUTE RESOLUTION & ARBITRATION

8.1 Good Faith Negotiations. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through amicable negotiations between executive leadership of both Parties. Either Party may issue a written notice of dispute, and executives shall meet within [e.g., Ten (10)] business days thereafter. 8.2 Binding Arbitration. If the Dispute is not resolved through good faith negotiations within thirty (30) days of the initial notice of dispute, the Dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State]. The language of the arbitration shall be English. The arbitrator’s award shall be final and binding, and judgment upon the award rendered may be entered in any court having jurisdiction thereof. 8.3 Injunctive Relief. Nothing in this Section 8 shall prevent either Party from seeking preliminary injunctive relief, temporary restraining orders, or emergency equitable relief from a court of competent jurisdiction to protect its intellectual property rights or Confidential Information pending the constitution of an arbitral tribunal.

SECTION 9: GOVERNING LAW & JURISDICTION

9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State / Jurisdiction], without regard to its conflict of laws principles. 9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State], for any legal action or proceeding arising out of or relating to this Agreement.

SECTION 10: MISCELLANEOUS

10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Execution and delivery of this Agreement via facsimile, PDF, or electronic signature platforms (e.g., DocuSign, Adobe Sign) shall constitute valid and binding execution. 10.3 Entire Agreement. This Agreement, together with all exhibits, attachments, and Statements of Work referenced herein, constitutes the final, complete, and exclusive agreement between the Parties with respect to the subject matter hereof, and supersedes all prior and contemporaneous discussions, negotiations, proposals, understandings, and agreements, whether oral or written. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations) resulting from acts beyond its reasonable control, including acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, labor strikes, utility failures, or governmental restrictions (each a "Force Majeure Event"), provided that the affected Party uses reasonable efforts to resume performance as soon as practicable. 10.5 Assignment. Neither Party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, by operation of law or otherwise, without the prior written consent of the other Party, which consent shall not be unreasonably withheld. Any attempted assignment in violation of this section shall be null and void. Subject to the foregoing, this Agreement shall bind and benefit the Parties and their respective permitted successors and assigns. 10.6 Notices.
