Version: 1.0
Governing Jurisdiction: State of [State / Province], United States
1. STATUTORY & LEGAL COMPLIANCE NOTICE
NOTICE: This document is an institutional-grade legal instrument designed for youth-led, parent-sponsored, or educational innovation projects. Because the primary proponent or participant may be a minor (an individual under the age of majority, typically eighteen [18] years of age), this Agreement requires the execution, co-signature, and direct legal liability of a parent, legal guardian, or authorized educational institution representative. This instrument establishes the operational scope, intellectual property framework, financial terms, and risk allocation for the project described herein. Failure to secure parental or guardian joinder may render this contract voidable under applicable state statutes regarding contracting with minors.
2. PARTIES & RECITALS
This Junior Innovation Project Proposal and Agreement (the “Agreement”) is entered into and made effective as of [Effective Date] (the “Effective Date”), by and between:
The Junior Innovator / Project Creator: [Minor's Full Legal Name], a minor, residing at [Principal Residence Address] (“Junior Innovator”), represented herein for all legal and financial purposes by [Parent/Guardian Full Legal Name], being the lawful parent/legal guardian of the Junior Innovator ([Parent/Guardian Email Address], [Phone Number]); and
The Sponsor / Client / Counterparty: [Sponsor Full Legal Name], a [Corporation / LLC / Partnership / Educational Entity] having its principal place of business at [Principal Address] (“Sponsor”).
RECITALS:
WHEREAS, the Junior Innovator has conceptualized and proposed a specific creative, scientific, or technological project as more fully described herein (the “Project”);
WHEREAS, the Sponsor desires to engage the Junior Innovator, under the direct supervision, authorization, and legal responsibility of the Parent/Guardian, to execute and deliver the Project subject to the terms and conditions of this Agreement; and
WHEREAS, the parties intend to define their respective rights, obligations, compensation, and intellectual property interests regarding the Project.
NOW, THEREFORE, in consideration of the mutual covenants contained herein and other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & PROJECT PROPOSAL

1.2 Supervention & Support. Due to the legal status of the Junior Innovator as a minor, the Parent/Guardian covenants to oversee the execution of the Project, facilitate communications with the Sponsor, and ensure the timely delivery of all project milestones without interfering with the minor's educational and developmental well-being.
1.3 Modifications to Scope. Any material alteration, expansion, or reduction of the Project scope set forth in Exhibit A must be mutually agreed upon in writing via a formal Project Change Order executed by authorized representatives of the Sponsor, the Junior Innovator, and the Parent/Guardian.
SECTION 2: COMPENSATION & PAYMENT TERMS
2.1 Project Fee. In consideration for the full and faithful performance of the services and the assignment of rights under this Agreement, the Sponsor shall pay the total fixed fee of [Amount in USD] (US [$0.00]) (the “Project Fee”), payable according to the milestone schedule set forth in Exhibit B.
2.2 Invoicing & Payment Window. The Junior Innovator (via the Parent/Guardian) shall submit formal invoices upon the completion and acceptance of each designated project milestone. Sponsor shall remit all payments via [Wire Transfer / Check / ACH] within thirty (30) days of receipt of a valid invoice.
2.3 Late Payment Interest. Any undisputed invoice amount not paid when due shall accrue interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is less, calculated from the date due until the date paid in full.
2.4 Expenses. Unless otherwise expressly pre-approved in writing by the Sponsor, the Junior Innovator shall bear all costs and expenses incurred in connection with the performance of this Agreement.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until the final delivery and written acceptance of the Project, or until terminated earlier in accordance with this Section 3.
3.2 Termination for Convenience. The Sponsor may terminate this Agreement, in whole or in part, at any time for any reason upon providing fourteen (14) days prior written notice to the Parent/Guardian. Upon such termination for convenience, the Sponsor shall pay the Junior Innovator for all services rendered and deliverables completed up to the effective date of termination, calculated on a pro-rata milestone basis.
3.3 Termination for Cause. Either party may terminate this Agreement immediately upon written notice if the other party materially breaches any provision of this Agreement and fails to cure such material breach within fourteen (14) days after receipt of written notice detailing the breach.
3.4 Effect of Termination. Upon termination of this Agreement for any reason, the Junior Innovator shall promptly deliver to the Sponsor all work-in-progress, notes, data, and completed deliverables paid for up to the date of termination, and the Sponsor shall remit final payment for all undisputed, earned fees.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Work Made for Hire. The parties agree that all deliverables, documentation, code, designs, artwork, inventions, and derivative works created by the Junior Innovator specifically pursuant to this Agreement (collectively, the “Work Product”) shall be considered a “work made for hire” to the maximum extent permitted under United States copyright law (17 U.S.C. § 101).
4.2 Assignment of Rights. To the extent that any Work Product does not qualify as a work made for hire, the Junior Innovator (with the express consent and joinder of the Parent/Guardian) hereby irrevocably assigns, transfers, and conveys to the Sponsor all right, title, and interest worldwide in and to such Work Product, including all copyrights, patent rights, trademark rights, and trade secret rights.
4.3 Pre-Existing Intellectual Property. Nothing in this Agreement shall restrict or transfer ownership of the Junior Innovator’s pre-existing tools, methodologies, educational frameworks, or background materials created prior to the Effective Date (“Background IP”). The Junior Innovator grants the Sponsor a non-exclusive, royalty-free, worldwide license to utilize Background IP solely to the extent necessary to incorporate, operate, and utilize the final Work Product.
SECTION 5: MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Confidential Information. "Confidential Information" means all non-public information disclosed by one party (“Disclosing Party”) to the other party (“Receiving Party”) under this Agreement, including business plans, technical data, source code, financial details, and personal information, whether designated as confidential or which reasonably should be understood to be confidential.
5.2 Obligations of Non-Disclosure. The Receiving Party agrees to protect the Disclosing Party’s Confidential Information with the same degree of care it uses for its own confidential data (but not less than reasonable care), not to disclose it to any third party except as required by law, and to use it solely for the performance of this Agreement.
5.3 Exclusions. Confidential Information does not include information that: (a) is or becomes publicly known through no breach of the Receiving Party; (b) was already known to the Receiving Party prior to disclosure; (c) is independently developed by the Receiving Party without reference to the Disclosing Party’s information; or (d) is required to be disclosed by court order or statutory law, provided prompt written notice is given to the Disclosing Party.
SECTION 6: REPRESENTATIONS & WARRANTIES
6.1 Authority & Capacity. The Parent/Guardian represents and warrants that they are the lawful parent or legal guardian of the Junior Innovator, possess full legal capacity and authority to execute this Agreement on behalf of the Junior Innovator, and that this Agreement is binding upon both the Parent/Guardian and the Junior Innovator.
6.2 Originality. The Junior Innovator and Parent/Guardian warrant that all Work Product delivered hereunder is original work created by the Junior Innovator, does not infringe upon the intellectual property or privacy rights of any third party, and is free from any liens, encumbrances, or security interests.
6.3 As-Is Disclaimer. Except as expressly provided herein, the Project and Work Product are provided on an “AS-IS” basis. The Junior Innovator and Parent/Guardian make no additional warranties, express or implied, including implied warranties of merchantability or fitness for a particular purpose, recognizing the developmental and exploratory nature of a junior-led innovation project.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability. Except for liability arising from breaches of confidentiality or gross negligence, neither party shall be liable to the other for any indirect, incidental, consequential, special, or punitive damages arising out of or related to this Agreement, even if advised of the possibility of such damages. The aggregate liability of the Junior Innovator and Parent/Guardian under this Agreement shall in no event exceed the total Project Fee actually paid by the Sponsor under this Agreement.
7.2 Indemnification by Sponsor. The Sponsor agrees to indemnify, defend, and hold harmless the Junior Innovator and Parent/Guardian from and against any third-party claims, liabilities, losses, damages, or expenses (including reasonable attorneys' fees) arising out of or resulting from the Sponsor’s commercial exploitation of the Work Product or the Sponsor's breach of this Agreement.

SECTION 10: MISCELLANEOUS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect, and the invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable.
10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Electronic signatures and digital execution platforms (e.g., DocuSign) shall be deemed original signatures for all purposes.
