1. STATUTORY & LEGAL COMPLIANCE NOTICE
CRITICAL LEGAL NOTICE: This Project Proposal and Master Services Agreement ("Agreement") is an institutional-grade legal instrument engineered for commercial engagements involving artificial intelligence, automated machine learning, data processing, and software development services. Because local, national, and international statutory frameworks regarding data privacy (e.g., GDPR, CCPA, HIPAA), intellectual property rights in AI-generated works, and software licensing are subject to distinct jurisdictional interpretations, the parties acknowledge that this template must be reviewed by qualified legal counsel licensed within the applicable governing jurisdiction prior to execution. Use of this document without appropriate customization is at the sole legal and commercial risk of the deploying parties.
2. PARTIES & RECITALS
This Project Proposal and Master Services Agreement (the "Agreement") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:
Service Provider: [Company Full Legal Name], a [State of Incorporation/Organization] [corporation/limited liability company], having its principal place of business at [Principal Address] ("Provider"); and
Client: [Client Full Legal Name], a [State of Incorporation/Organization] [corporation/limited liability company], having its principal place of business at [Principal Address] ("Client").
Provider and Client may collectively be referred to as the "Parties" or individually as a "Party."
RECITALS
WHEREAS, Provider possesses specialized expertise, proprietary technology, and technical capabilities in the research, development, deployment, and integration of artificial intelligence systems, machine learning models, and associated software architectures;
WHEREAS, Client desires to retain Provider to perform certain project-based services involving artificial intelligence implementation, and Provider desires to perform such services for Client upon the terms and conditions set forth herein;
NOW, THEREFORE, in consideration of the mutual covenants, promises, terms, and conditions set forth herein, and for other good and valuable consideration, the receipt and sufficiency of which are hereby acknowledged, the Parties agree as follows:
3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
1. SCOPE OF SERVICES & PROJECT ENGAGEMENT
1.1 Scope of Work. Provider shall provide to Client the professional consulting, engineering, implementation, and artificial intelligence integration services (the "Services") as detailed in one or more Statements of Work ("SOW") or Project Proposals executed by both Parties from time to time. Each SOW shall reference this Agreement and shall automatically incorporate the terms and conditions hereof. 1.2 AI System Specifications. To the extent the Services involve the development, fine-tuning, integration, or deployment of artificial intelligence models, algorithms, large language models, or machine learning pipelines (collectively, "AI Systems"), the functional specifications, performance benchmarks, data requirements, and validation criteria shall be explicitly defined in the applicable SOW. 1.3 Client Cooperation. Client shall provide timely access to necessary data, systems, personnel, application programming interfaces (APIs), and technical documentation required for Provider to perform the Services. Any delays in Client performance or failure to provide required inputs shall proportionately extend Provider's project timelines and milestones without penalty or breach by Provider. 1.4 Change Orders. Any material alterations, additions, or deletions to the scope, deliverables, or specifications set forth in an active SOW shall be executed solely via a written Change Order signed by authorized representatives of both Parties, detailing any associated adjustments to fees and delivery schedules.
2. COMPENSATION & PAYMENT TERMS
2.1 Project Fees. Client shall pay Provider the fees set forth in the applicable SOW, which may be structured as fixed-fee milestones, time-and-materials, or a hybrid model, totaling an estimated sum of [Amount in USD] USD, subject to adjustment strictly in accordance with executed Change Orders.
2.2 Invoicing Schedule. Provider shall issue invoices to Client in accordance with the payment schedule and milestones specified in the applicable SOW. In the absence of a specified schedule, Provider shall invoice Client on a monthly basis in arrears for all Services rendered and expenses incurred.
2.3 Payment Due Date. All undisputed invoice amounts are due and payable in United States Dollars within thirty (30) calendar days from the date of receipt of the applicable invoice by Client. Payment shall be made via wire transfer, electronic fund transfer, or other mutually agreed secure payment mechanism to the bank account designated in writing by Provider.
2.4 Late Payment & Interest. Any undisputed amounts not paid when due shall accrue late payment interest at the rate of one and one-half percent (1.5%) per month, or the maximum rate permitted by applicable law, whichever is lower, calculated from the date such payment was due until paid in full. Furthermore, Provider reserves the right to suspend performance of Services under any active SOW upon ten (10) business days’ written notice if any undisputed invoice remains unpaid past its due date.
2.5 Taxes. All fees and charges stated in this Agreement are exclusive of all applicable federal, state, provincial, local, value-added, sales, use, or similar taxes. Client shall be solely responsible for the payment of all such taxes, duties, and assessments levied by any governmental authority arising out of or in connection with this Agreement, excluding taxes based solely upon Provider’s net income.
3. TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect until terminated by either Party in accordance with this Section 3 or upon the completion and acceptance of all Services under all active SOWs. 3.2 Termination for Convenience. Client or Provider may terminate this Agreement or any active SOW for any reason, or no reason, upon providing thirty (30) calendar days prior written notice to the other Party. Upon receipt of such notice, Provider shall immediately cease performance of the affected Services, unless the notice specifies otherwise. 3.3 Termination for Cause. Either Party may terminate this Agreement and all active SOWs immediately upon written notice if the other Party: (a) materially breaches any provision of this Agreement or an SOW and fails to cure such material breach within thirty (30) calendar days after receipt of written notice detailing the breach; (b) becomes insolvent, makes an assignment for the benefit of creditors, files a petition under any bankruptcy or insolvency code; or (c) has a receiver, trustee, or similar officer appointed for its property or assets. 3.4 Effect of Termination. Upon termination of this Agreement or any SOW for any reason: (a) Client shall promptly pay Provider all unpaid fees and reimbursable expenses incurred for Services rendered and deliverables completed up to the effective date of termination; (b) each Party shall return or securely destroy all Confidential Information belonging to the other Party in accordance with Section 5; and (c) Sections 4, 5, 6, 7, 8, 9, and 10 shall survive any expiration or termination of this Agreement.
4. INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Provider Pre-Existing IP. Client acknowledges and agrees that Provider (or its third-party licensors) retains sole and exclusive ownership of all right, title, and interest in and to all pre-existing tools, algorithms, software code, libraries, frameworks, machine learning models, architectures, documentation, methodologies, and know-how developed, acquired, or licensed by Provider prior to the Effective Date or independently of this Agreement ("Provider IP"). Nothing herein transfers ownership of Provider IP to Client. 4.2 Client Data & IP. Client retains sole and exclusive ownership of all right, title, and interest in and to all data, content, source code, designs, and proprietary materials provided by Client to Provider for the execution of the Services ("Client Data"). Client grants Provider a limited, non-exclusive, worldwide, royalty-free license to access, use, store, process, and modify Client Data solely as strictly necessary to perform the Services and develop the AI Systems. 4.3 Deliverables & Work Product. Subject to full payment of all applicable fees due under the relevant SOW, and subject to Provider's underlying ownership of Provider IP embedded therein, all custom software code, customized configurations, reports, and specific deliverables created by Provider expressly for Client pursuant to an SOW ("Deliverables") shall be assigned to Client upon creation as a "work made for hire" to the maximum extent permitted by law. To the extent any Deliverable does not qualify as a work made for hire, Provider hereby irrevocably assigns, transfers, and conveys to Client all worldwide right, title, and interest in and to such Deliverable, excluding any embedded Provider IP. 4.4 AI Model Weights & Training Outputs. The Parties acknowledge that AI training processes may generate generalizable insights, parameter weights, optimizations, and algorithmic improvements. Provider retains all intellectual property rights in general enhancements to Provider's core machine learning algorithms and foundational models, provided that such enhancements do not misappropriate Client's confidential Client Data or proprietary business logic.
5. MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1 Definition of Confidential Information. "Confidential Information" means all non-public, proprietary information disclosed by one Party ("Disclosing Party") to the other Party ("Receiving Party"), whether orally or in writing, that is designated as confidential or that reasonably should be understood to be confidential given the nature of the information and the circumstances of disclosure, including business plans, technical data, source code, AI algorithms, financial information, customer lists, and trade secrets. 5.2 Obligations of Confidentiality. The Receiving Party shall: (a) protect the Disclosing Party's Confidential Information with the same degree of care it uses for its own confidential information, but in no event less than a reasonable standard of care; (b) not disclose the Confidential Information to any third party, except to its directors, officers, employees, legal counsel, and financial advisors who need to know such information and are bound by confidentiality obligations at least as restrictive as those herein; and (c) use the Confidential Information solely for the purpose of performing its obligations or exercising its rights under this Agreement. 5.3 Exclusions. Confidential Information shall not include information that: (a) is or becomes generally known to the public without breach of this Agreement; (b) was known to the Receiving Party prior to disclosure without confidentiality restrictions; (c) is independently developed by the Receiving Party without reference to or use of the Disclosing Party's Confidential Information; or (d) is rightfully received from a third party without duty of confidentiality. 5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, it shall provide prompt prior written notice to the Disclosing Party (to the extent legally permissible) to enable the Disclosing Party to seek a protective order or other appropriate remedy.
6. REPRESENTATIONS & WARRANTIES
6.1 Mutual Representations. Each Party represents and warrants that: (a) it is duly organized, validly existing, and in good standing under the laws of its jurisdiction of incorporation or formation; (b) it has full corporate power and authority to execute, deliver, and perform its obligations under this Agreement; and (c) the execution and performance of this Agreement does not violate any other agreement, charter document, or applicable law to which it is subject. 6.2 Provider Warranty. Provider warrants that: (a) the Services will be performed in a professional, workmanlike manner in accordance with generally accepted industry standards; and (b) the Deliverables will substantially conform to the specifications set forth in the applicable SOW. 6.3 AI Technology Disclaimer. Client acknowledges that artificial intelligence and machine learning technologies are probabilistic by nature, highly dependent on the quality and volume of training data, and subject to inherent limitations including hallucinations, model drift, and unpredictable outputs. EXCEPT AS EXPRESSLY SET FORTH IN THIS SECTION 6, PROVIDER MAKES NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, COMPLETENESS, RELIABILITY, OR FITNESS FOR A PARTICULAR PURPOSE OF ANY AI SYSTEM OR DELIVERABLE, AND EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, TITLE, AND NON-INFRINGEMENT.
7. LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Consequential Damages Waiver. To the maximum extent permitted by applicable law, neither Party, nor its officers, directors, employees, or agents, shall be liable to the other Party for any indirect, incidental, consequential, special, punitive, or exemplary damages, including loss of profits, loss of data, loss of business revenue, or business interruption, arising out of or in connection with this Agreement, regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise), and even if advised of the possibility of such damages. 7.2 Cap on Liability. Provider’s total aggregate liability arising out of or relating to this Agreement, whether in contract, tort (including negligence), or otherwise, shall be strictly limited to the total fees actually paid by Client to Provider under the specific SOW giving rise to the claim during the twelve (12) month period immediately preceding the event giving rise to liability. 7.3 Client Indemnification. Client shall defend, indemnify, and hold harmless Provider, its affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and expenses (including reasonable attorneys' fees) arising out of or resulting from: (a) Client Data, including any infringement of third-party intellectual property or privacy rights caused by Client Data; (b) Client's use of the AI Systems or Deliverables in violation of applicable law or the terms of this Agreement; or (c) unauthorized modifications made to the Deliverables by Client or third parties. 7.4 Provider Indemnification. Provider shall defend, indemnify, and hold harmless Client, its directors, officers, employees, and agents from and against any third-party claims, liabilities, losses, damages, and expenses (including reasonable attorneys' fees) alleging that the unmodified Deliverables provided by Provider directly infringe or misappropriate any United States copyright, trademark, or trade secret of any third party.
8. DISPUTE RESOLUTION & ARBITRATION
8.1 Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement (a "Dispute"), the Parties shall first attempt in good faith to resolve the Dispute through amicable negotiations between designated executive representatives of each Party for a period of thirty (30) calendar days.
8.2 Binding Arbitration. If the Dispute is not resolved through good faith negotiations within thirty (30) calendar days, the Dispute shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single neutral arbitrator in [City, State/Country]. The language of the arbitration shall be English. The award rendered by the arbitrator shall be final and binding, and judgment upon the award may be entered in any court having jurisdiction thereof.
8.3 Injunctive Relief. Notwithstanding the foregoing, either Party may seek temporary, preliminary, or permanent injunctive or other equitable relief in any court of competent jurisdiction to protect its intellectual property rights or Confidential Information without posting bond or waiving any right to arbitration.
9. GOVERNING LAW & JURISDICTION
9.1 Governing Law. This Agreement, and all claims or causes of action (whether in contract, tort, or statute) that may be based upon, arise out of, or relate to this Agreement, shall be governed by, enforced under, and construed in accordance with the internal laws of the State of [State/Country], without regard to its conflict of laws principles.
9.2 Jurisdiction. Subject to Section 8, each Party irrevocably and unconditionally submits to the exclusive personal jurisdiction of the state and federal courts located in [County, State], for any legal action or proceeding arising out of or relating to this Agreement.
10. MISCELLANEOUS
10.1 Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2 Counterparts. This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Signatures delivered via facsimile, PDF, or electronic signature platforms (e.g., DocuSign, Adobe Sign) shall be deemed original signatures for all purposes. 10.3 Entire Agreement. This Agreement, together with any SOWs executed hereunder, constitutes the entire agreement between the Parties with respect to the subject matter hereof and supersedes all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral. 10.4 Force Majeure. Neither Party shall be liable for any failure or delay in performance under this Agreement (excluding payment obligations) resulting from acts beyond its reasonable control, including acts of God, natural disasters, war, terrorism, riots, labor strikes, power failures, cyber-attacks, or Internet service provider failures ("Force Majeure Event"), provided that the affected Party uses reasonable efforts to mitigate the effects of such failure. 10.5 Assignment. Neither Party may assign, transfer, or delegate this Agreement or any of its rights or obligations hereunder, whether voluntarily, by operation of law, or otherwise, without the prior written consent of the other Party; provided, however, that either Party may assign this Agreement without consent in connection with a merger, acquisition, corporate reorganization, or sale of all or substantially all of its assets.
