The Provider agrees to defend, indemnify, and hold harmless the Client, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, or reasonable costs (including reasonable attorneys' fees) arising out of or resulting from: (a) the Provider's gross negligence or willful misconduct; or (b) any material breach of the Provider’s representations and warranties under Section 6. 7.3. Indemnification by Client. The Client agrees to defend, indemnify, and hold harmless the Provider, its officers, directors, employees, and agents from and against any third-party claims, liabilities, losses, damages, or reasonable costs (including reasonable attorneys' fees) arising out of or resulting from: (a) the Client's gross negligence or willful misconduct; (b) any material breach of the Client’s representations and warranties under Section 6; or (c) the utilization of the Work Product outside the scope of its intended programmatic purpose.

Section 8. Dispute Resolution & Arbitration

8.1. Good Faith Negotiation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, performance, breach, or termination, the designated executive representatives of both Parties shall first attempt to resolve the matter through good-faith negotiations over a period of thirty (30) calendar days. 8.2. Binding Arbitration. If the dispute is not resolved through good-faith negotiations within the thirty-day period, the dispute shall be submitted to final and binding arbitration administered by [Arbitration Body, e.g., the American Arbitration Association (AAA)] in accordance with its commercial arbitration rules. Section 10. Miscellaneous

10.1. Severability. If any provision of this Agreement is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions of this Agreement shall remain in full force and effect. 10.2. Counterparts & Electronic Signatures. This Agreement may be executed in two or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument. Force Majeure. Neither Party shall be liable for any failure or delay in performing its obligations under this Agreement if such failure or delay is caused by acts of God, natural disasters, war, terrorism, civil unrest, epidemic, pandemic, government embargoes, strikes, or other catastrophic events beyond the reasonable control of the affected Party ("Force Majeure Event"), provided the affected Party gives prompt written notice to the other Party and uses commercially reasonable efforts to resume performance as soon as practicable.
