1. STATUTORY & LEGAL COMPLIANCE NOTICE

This institutional-grade Enterprise Project Proposal and Contract (hereinafter referred to as the "EPQ") is drafted to establish a binding legal framework for professional services, deliverables, and commercial engagements. Jurisdictional Enforceability Disclaimer: Contractual terms, statutory compliance mandates, interest rates on late payments, intellectual property statutory definitions (such as the "Work Made for Hire" doctrine under 17 U.S.C. § 101), and limitations of liability vary significantly across municipal, state, provincial, and national jurisdictions. The parties acknowledge that they have independently evaluated—or have had the opportunity to retain independent legal counsel of their own choosing to evaluate—the legal sufficiency, tax implications, and regulatory compliance of this EPQ within the applicable governing jurisdiction prior to execution.

2. PARTIES & RECITALS

This Enterprise Project Proposal and Contract ("EPQ") is entered into and made effective as of [Effective Date] (the "Effective Date"), by and between:

[Company Full Legal Name], a [State of Incorporation/Organization, e.g., Delaware corporation], having its principal place of business located at [Principal Address] (hereinafter referred to as the "Service Provider"), and

[Client Full Legal Name], a [State of Incorporation/Organization, e.g., California corporation], having its principal place of business located at [Principal Address] (hereinafter referred to as the "Client").

RECITALS

WHEREAS, Service Provider possesses specialized expertise, proprietary methodologies, technical infrastructure, and professional personnel capable of providing the enterprise services, technical solutions, and project deliverables set forth herein;
WHEREAS, Client desires to engage Service Provider to perform said services and deliver said solutions subject to the terms, conditions, specifications, and pricing models set forth in this EPQ; and
WHEREAS, the parties intend to create a binding, enforceable commercial contract governing the entirety of their relationship with respect to the Project described herein.

NOW, THEREFORE, in consideration of the mutual covenants, promises, representations, and warranties contained herein, and for other good and valuable consideration, the receipt and legal sufficiency of which are hereby mutually acknowledged, the parties agree as follows:

3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS

1. Scope of Services & Engagement

1.1 Engagement of Services. Client hereby retains Service Provider, and Service Provider hereby accepts such retention, to perform the professional services, engineering tasks, operational deployments, and deliverables (collectively, the "Services") detailed in the Project Specification Addendum attached hereto and incorporated herein by this reference.
1.2 Project Specifications. The technical scope, milestone schedules, functional requirements, and acceptance criteria for the Services are explicitly defined in the Project Proposal document associated with EPQ Tracking ID [Insert Proposal Tracking ID]. In the event of any direct conflict or ambiguity between the terms of this primary legal instrument and any ancillary proposal summary, statement of work, or purchase order, the terms and conditions of this primary legal instrument shall exclusively govern and control.
1.3 Change Orders. Any material modification, expansion, reduction, or alteration of the Scope of Services (each, a "Change") shall be requested in writing by the initiating party. Service Provider shall not commence work on any Change until an authorized representative of both parties has executed a formal written Change Order detailing the adjustment to the project timeline, resource allocation, and fee structure.
1.4 Client Cooperation & Dependencies. Client acknowledges and agrees that Service Provider's timely and successful performance of the Services is directly dependent upon Client’s prompt provision of accurate data, necessary access credentials, hardware environments, decision-making inputs, and designated subject-matter experts (collectively, "Client Dependencies"). Service Provider shall not be held liable for any delay, deficiency, or failure in performance resulting directly or indirectly from Client’s failure to satisfy Client Dependencies in a timely and professional manner.

2. Compensation & Payment Terms

2.1 Total Compensation. As full and complete consideration for the full and faithful performance of the Services and the assignment of rights herein, Client shall pay to Service Provider the total sum of [Amount in USD] (USD), subject to such adjustments as may be authorized pursuant to executed Change Orders (the "Contract Price").
2.2 Payment Structure & Milestones. The Contract Price shall be invoiced and paid in accordance with the following milestone schedule:

  • Mobilization / Initiation Deposit: [Percentage, e.g., 50]% upon execution of this EPQ, amounting to [Amount in USD] (USD).
  • Milestone 1 Completion: [Percentage, e.g., 25]% upon delivery and formal sign-off of Phase 1 deliverables, amounting to [Amount in USD] (USD).
  • Final Acceptance / Project Completion: [Percentage, e.g., 25]% upon final delivery, deployment, and acceptance of all Services, amounting to [Amount in USD] (USD). 2.3 Invoicing & Net Terms. Service Provider shall submit formal electronic invoices to Client at the billing address designated in Section [Insert Billing Contact Section]. All undisputed invoice amounts shall be due and payable in United States Dollars within [Number, e.g., 30] calendar days from the verifiable date of invoice issuance ("Net 30").
2.4 Late Payments & Interest Charges. Any invoice amount not paid when due shall accrue delinquent interest at the lesser of: (a) the maximum rate permitted by applicable state or federal usury laws; or (b) one and one-half percent (1.5%) per month (calculated at an annual percentage rate of 18%), accruing daily from the due date until the date of actual payment in full.
2.5 Suspension of Services for Non-Payment. If any undisputed invoice remains unpaid for more than [Number, e.g., 15] calendar days following its due date, Service Provider reserves the right, upon providing written notice to Client, to immediately suspend the performance of any and all ongoing Services without incurring any contractual liability, professional penalty, or default status until such time as all delinquent balances, accrued interest, and collection costs are paid in full.
2.6 Taxes. The Contract Price is exclusive of all applicable federal, state, provincial, municipal, value-added, sales, use, and excise taxes. Client shall be solely responsible for the payment of all such taxes, levies, and duties arising from this transaction, excluding taxes based solely upon the net income of Service Provider.

3. Term & Termination

3.1 Term of Agreement. This EPQ shall commence on the Effective Date and shall continue in full force and effect until the completion of the Services and the full settlement of all financial obligations hereunder, unless earlier terminated in accordance with the provisions of this Section 3.
3.2 Termination for Convenience. Client may terminate this EPQ, in whole or in part, at any time and for any reason or no reason, by providing [Number, e.g., 30] calendar days prior written notice of termination to Service Provider. Upon receipt of such notice, Service Provider shall immediately cease all non-essential work, mitigate further expenditures, and prepare a final accounting of all services rendered up to the effective date of termination.
3.3 Termination for Cause (Material Breach). Either party may terminate this EPQ immediately upon written notice if the other party commits a material breach of any core provision, covenant, representation, or warranty contained herein and fails to cure such material breach within [Number, e.g., 30] calendar days after receipt of written notice detailing the specific nature of the alleged breach.
3.4 Financial Obligations Upon Termination. In the event of termination by Client for convenience pursuant to Section 3.2, or termination by Service Provider for cause pursuant to Section 3.3, Client shall remain fully obligated to pay Service Provider for: (a) all Services satisfactorily performed up to the effective date of termination; (b) all non-cancellable third-party commitments, license fees, and incurred expenses; and (c) a prorated termination fee equal to the documented administrative and demobilization costs incurred by Service Provider, or [Percentage, e.g., 15]% of the uncompleted balance of the Contract Price, whichever is greater.

4. Intellectual Property Ownership & Work Made for Hire

4.1 Definition of Background IP. Each party shall retain sole, exclusive, and unencumbered ownership of all intellectual property, proprietary software, source code, algorithms, methodologies, trademarks, trade secrets, data structures, and documentation owned or independently developed by such party prior to the Effective Date or developed independently of the performance of this EPQ ("Background IP").
4.2 Work Made for Hire. To the maximum extent permitted by applicable law, all custom deliverables, specialized software code, reports, technical specifications, user documentation, and tangible works of authorship specifically created by Service Provider exclusively for Client pursuant to the performance of the Services (collectively, the "Work Product") shall be deemed a "work made for hire" as defined under Section 101 of the United States Copyright Act (17 U.S.C. § 101).
4.3 Assignment of Rights. To the extent that any Work Product does not legally qualify as a "work made for hire," Service Provider hereby irrevocably sells, assigns, transfers, and conveys to Client, upon receipt of full and final payment of the Contract Price, all worldwide right, title, and interest in and to such Work Product, including all intellectual property rights therein (including copyrights, patents, trade secrets, and moral rights).
4.4 Service Provider Toolkits and Residuals. Notwithstanding anything to the contrary contained herein, Service Provider retains all right, title, and interest in and to its underlying development frameworks, generic routines, proprietary toolkits, libraries, know-how, and reusable code components utilized in creating the Work Product (collectively, "Service Provider Tools"). Service Provider hereby grants to Client a perpetual, worldwide, non-exclusive, royalty-free, transferable license to use, execute, and integrate such Service Provider Tools solely as incorporated into and necessary for the functional operation of the Work Product.

5.4 Compelled Disclosure. If the Receiving Party is legally compelled by deposition, interrogatory, subpoena, civil investigative demand, or similar judicial or administrative process to disclose any Confidential Information, the Receiving Party shall, to the extent legally permissible, provide prompt prior written notice to the Disclosing Party so that the Disclosing Party may seek a protective order or other appropriate legal remedy.

6.3 Disclaimer of Implied Warranties. EXCEPT AS EXPRESSLY AND UNAMBIGUOUSLY SET FORTH IN THIS SECTION 6, SERVICE PROVIDER MAKES NO OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, WITH RESPECT TO THE SERVICES, DELIVERABLES, OR WORK PRODUCT. SERVICE PROVIDER SPECIFICALLY DISCLAIMS ALL IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING, USAGE, OR TRADE PRACTICE.

7. Limitation of Liability & Indemnification

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL EITHER PARTY, ITS AFFILIATES, DIRECTORS, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, LOSS OF REVENUE, LOSS OF DATA, BUSINESS INTERRUPTION, OR LOSS OF COMMERCIAL OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS EPQ OR THE PERFORMANCE OF THE SERVICES, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Direct Damages. SERVICE PROVIDER’S TOTAL CUMULATIVE AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS EPQ, UNDER ANY AND ALL LEGAL THEORIES, SHALL BE STRICTLY LIMITED TO AND SHALL NOT EXCEED THE TOTAL ACTUAL AMOUNTS PAID BY CLIENT TO SERVICE PROVIDER UNDER THIS EPQ DURING THE [Number, e.g., 12]-MONTH PERIOD IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Client Indemnification. Client agrees to defend, indemnify, and hold harmless Service Provider, its officers, directors, employees, agents, and permitted successors and assigns from and against any and all third-party claims, liabilities, losses, damages, judgments, settlements, and reasonable expenses (including reasonable attorneys' fees and legal costs) arising out of or resulting from: (a) Client’s material breach of this EPQ; (b) Client’s violation of applicable laws, regulations, or third-party intellectual property rights; or (c) the utilization, deployment, or operation of the Work Product by Client in a manner inconsistent with the technical specifications or documentation provided by Service Provider.

In the event of any dispute, controversy, or claim arising out of or relating to this EPQ, including its formation, interpretation, breach, termination, or validity (a "Dispute"), the designated senior executive officers of each party shall attempt in good faith to resolve such Dispute through direct commercial negotiations within [Number, e.g., 15] calendar days of receipt of written notice of the Dispute by either party.
8.2 Binding Arbitration. 5. STEP-BY-STEP EXECUTION & FILING GUIDE

Follow this operational protocol to ensure complete legal enforceability, flawless administrative execution, and compliant record retention for EPQ agreements:

  1. Document Preparation & Variable Completion:

    • Open the master EPQ template in Microsoft Word (.docx) or Google Docs.
    • Use the "Find and Replace" function to locate all bracketed placeholder tokens (e.g., [Company Full Legal Name], [Client Full Legal Name], [Principal Address], [Effective Date], [Amount in USD]) and populate them with verified corporate data.
    • Ensure all numeric financial figures are spelled out in parentheses alongside numerical digits to prevent typographical ambiguity (e.g., $50,000.00 (Fifty Thousand and 00/100 United States Dollars)).
  2. Legal & Financial Review:

    • Verify that the designated governing jurisdiction matches the operational headquarters or mutually agreed legal venue.
    • Confirm that the payment milestones align exactly with the commercial terms negotiated during the pre-sales/proposal phase.
  3. Signatory Authority Verification:

    • Prior to execution, confirm that the individuals signing on behalf of Service Provider and Client possess actual or apparent corporate authority (e.g., CEO, President, Managing Director, Authorized Signatory with corporate resolution on file) to bind their respective legal entities.
  4. Digital Signature Execution:

    • Export the finalized contract as a secure, read-only Portable Document Format (PDF).
    • Upload the PDF to an enterprise-grade electronic signature platform compliant with the U.S. Electronic Signatures in Global and National Commerce (E-SIGN) Act and the Uniform Electronic Transactions Act (UETA), such as DocuSign, Adobe Sign, or HelloSign.
    • Route the document for execution in proper sequential order (Service Provider first, or Client first, as dictated by institutional preference). Ensure audit trailing and certificate of completion are enabled.
  5. Record Retention & Post-Execution Filing:

    • Upon full execution by both parties, download the final executed PDF alongside the e-signature Certificate of Completion.
    • Archive the executed EPQ in the corporate Enterprise Legal Management (ELM) database or cloud-based Contract Lifecycle Management (CLM) repository under folder: Contracts/Active/EPQ/[Client_Name]_[YYYY-MM-DD].
    • Set automated calendar alerts in the finance and project management systems for milestone billing dates, notice periods, and agreement expiration or renewal milestones.
