5. STEP-BY-STEP EXECUTION & FILING GUIDE

To ensure full legal enforceability, institutional compliance, and operational integrity, execute this document following these precise operational steps:

  1. Document Preparation (Word Processor): Open the document in Microsoft Word or Google Docs. Utilize the "Find and Replace" function to populate all bracketed fields (e.g., replace [Company Full Legal Name] with the legal corporate name, ensuring exact alignment with state registry filings).
  2. Review of Financial & Scope Exhibits: Ensure Exhibit A (Statement of Work) and Exhibit B (Milestone Payment Schedule) are fully drafted, attached, and cross-referenced before circulating for signature. Verify that the sum in [Amount in USD] matches the underlying financial schedules.
  3. Signatory Authority Verification: Confirm that individuals signing on behalf of the University and the Provider possess explicit corporate or institutional delegated authority (e.g., VP of Finance, Director of Procurement, or authorized Principal Investigator under institutional bylaws) to bind their respective organizations.
  4. Digital Signature Deployment: Upload the finalized PDF document to a secure, compliant electronic signature platform (such as DocuSign, Adobe Sign, or an institutional equivalent). Configure the signing routing order so that the Provider executes first, followed by the University counterparty. Ensure audit trails and digital certificates are enabled.
  5. Post-Execution Filing & Record Retention: Upon full execution, save the final tamper-evident PDF with its complete certificate of completion in the institutional Contract Management System (CMS) or secure enterprise archive. Route copies to the University’s central procurement office, accounts payable, and the project's principal administrator for ongoing compliance monitoring throughout the Term.
