PROBATION REVIEW FORM TEMPLATE (UK)

THIS PROBATION REVIEW AGREEMENT (the "Agreement") is made and entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

[Company Name], a company incorporated and registered in England and Wales with company number [Company Number] whose registered office is at [Registered Office Address] (the "Employer"); and

[Employee Name], of [Employee Address] (the "Employee").

RECITALS: WHEREAS, the Employer and the Employee (collectively, the "Parties") entered into a Contract of Employment dated [Date of Employment Contract] (the "Employment Contract"); WHEREAS, the Employment Contract stipulates a probationary period of [Number] months (the "Probationary Period"); WHEREAS, the Parties wish to formalize the evaluation of the Employee’s performance during the Probationary Period in accordance with the laws of England and Wales.

1. OPERATIONAL DEFINITIONS

1.1. "Business Day" means a day (other than a Saturday, Sunday or public holiday) when banks in the City of London are open for business. 1.2. "Performance Metrics" means the objective standards, KPIs, and behavioral competencies established in the Employment Contract or subsequent written addenda. 1.3. "Probation Review" means the formal assessment process conducted under the terms of this Agreement. 1.4. "Termination Notice Period" means the notice period specified in the Employment Contract, applicable during the Probationary Period.

2. SUBSTANTIVE TERMS & OBLIGATIONS

2.1. Assessment Standards: The Employer shall evaluate the Employee based on the Performance Metrics. The Employee agrees to cooperate fully with the assessment process. 2.2. Performance Feedback: The Employer shall provide the Employee with a written summary of the performance assessment within [Number] Business Days following the conclusion of the review meeting. 2.3. Right to Representation: The Employee is entitled to be accompanied by a trade union representative or a workplace colleague at any formal review meeting, provided reasonable notice is given. 2.4. Probationary Extension: The Employer reserves the right, at its sole discretion, to extend the Probationary Period by up to [Number] months if the Employee's performance does not meet the standards required for confirmation of permanent status.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1. Breach of Probation: Should the Employee fail to meet the Performance Metrics, the Employer may, following a formal review, serve notice of termination in accordance with the Employment Contract. 3.2. Cure Period: In the event of a minor breach of performance or policy during the Probationary Period, the Employer may, but is under no obligation to, provide the Employee with a period of [30] Business Days to achieve specified improvements (the "Cure Period"). 3.3. Summary Dismissal: Nothing in this Agreement shall prevent the Employer from exercising its right to summary dismissal for gross misconduct, as defined in the Employer’s Staff Handbook, without notice or payment in lieu of notice.

4. BOILERPLATE LEGAL PROVISIONS

4.1. Severability: If any provision or part-provision of this Agreement is or becomes invalid, illegal or unenforceable, it shall be deemed modified to the minimum extent necessary to make it valid, legal and enforceable. 4.2. Entire Agreement: This Agreement constitutes the entire agreement between the Parties regarding the Probationary Period and supersedes all previous agreements, promises, assurances, warranties, representations and understandings. 4.3. Force Majeure: Neither Party shall be in breach of this Agreement nor liable for delay in performing, or failure to perform, any of its obligations under this Agreement if such delay or failure result from events, circumstances or causes beyond its reasonable control. 4.4. Governing Law: This Agreement and any dispute or claim arising out of or in connection with it or its subject matter or formation shall be governed by and construed in accordance with the law of England and Wales. 4.5. Dispute Resolution: The Parties irrevocably agree that the courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with this Agreement.
