COMMERCIAL LEASE AGREEMENT

This Commercial Lease Agreement (the "Agreement") is made and entered into as of this [Day] day of [Month], [Year] (the "Effective Date"), by and between:

LESSOR: [Lessor Legal Name], a [State/Jurisdiction] [Entity Type, e.g., Limited Liability Company], with its principal place of business located at [Lessor Address] ("Lessor"); and

1. OPERATIONAL DEFINITIONS

1.1 "Premises" shall mean the commercial property located at [Full Street Address, Suite Number, City, State, Zip Code], including all fixtures and improvements currently situated therein. 1.2 "Base Rent" shall mean the monthly sum of $[Dollar Amount] payable by Lessee to Lessor. 1.3 "Security Deposit" shall mean the sum of $[Dollar Amount] to be held by Lessor as security for the performance of Lessee’s obligations. 1.4 "Term" shall mean the period commencing on [Start Date] and expiring on [End Date], unless terminated earlier pursuant to the provisions herein. 1.5 "Permitted Use" shall mean the operation of [Describe Business Activity] and no other purpose without the prior written consent of Lessor. 1.6 "Operating Expenses" shall mean all costs incurred in the operation, maintenance, and management of the Premises, including but not limited to utilities, taxes, insurance, and common area maintenance.

2. SUBSTANTIVE TERMS AND OBLIGATIONS

2.1 Grant of Lease. Lessor hereby leases the Premises to Lessee, and Lessee hereby accepts the Premises in "as-is" condition, for the Term and subject to the terms and conditions set forth herein. 2.2 Rent Payment. Lessee shall pay to Lessor the Base Rent in advance on the [Day, e.g., 1st] day of each month. Payments not received within [Number] days of the due date shall incur a late fee of [Percentage/Dollar Amount]. 2.3 Security Deposit. Upon execution of this Agreement, Lessee shall deposit the Security Deposit with Lessor. Said deposit shall not bear interest and may be applied by Lessor to cure any default by Lessee under this Agreement. 2.4 Maintenance and Repair. Lessee shall maintain the interior of the Premises in good, clean, and sanitary condition. Lessor shall be responsible for structural repairs and the exterior envelope of the building. 2.5 Compliance with Laws. Lessee shall comply with all federal, state, and local laws, ordinances, and regulations applicable to its use of the Premises. 2.6 Insurance. Lessee shall, at its sole cost, maintain commercial general liability insurance with a minimum limit of $[Dollar Amount] per occurrence, naming Lessor as an additional insured.

3. DEFAULT, TERMINATION, AND REMEDIES

3.1 Events of Default. An event of default shall occur if: (a) Lessee fails to pay Rent within [Number] days of the due date; (b) Lessee fails to perform any other obligation under this Agreement and such failure continues for [30] business days after written notice from Lessor; or (c) Lessee files for bankruptcy or insolvency. 3.2 Remedies. In the event of a default, Lessor may, at its option: (a) terminate this Agreement upon written notice; (b) re-enter and take possession of the Premises; or (c) pursue any other remedy available at law or in equity, including recovery of unpaid rent and damages for breach of contract. 3.3 Cumulative Remedies. All rights and remedies of Lessor herein are cumulative and not exclusive of any other rights or remedies provided by law.

4. BOILERPLATE LEGAL PROVISIONS

4.1 Severability. If any provision of this Agreement is held to be invalid or unenforceable, the remaining provisions shall continue in full force and effect. 4.2 Entire Agreement. This Agreement constitutes the entire agreement between the parties and supersedes all prior agreements, understandings, or representations, whether written or oral. 4.3 Force Majeure. Neither party shall be held liable for any delay or failure in performance due to causes beyond their reasonable control, including acts of God, war, terrorism, riots, or government regulations. 4.4 Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction of [State/Jurisdiction]. 4.5 Dispute Resolution.
