This Standard Operating Procedure (SOP) standardizes the end-to-end operational protocol for drafting, verifying, stamping, executing, and registering Power of Attorney (POA) instruments within the Republic of India. The objective is to produce legally airtight General Powers of Attorney (GPA) and Special Powers of Attorney (SPA) that withstand judicial scrutiny, comply with regional registration mandates, and eliminate transaction invalidation risks under the Supreme Court of India's precedent (Suraj Lamp & Industries Pvt. Ltd. v. State of Haryana).
2.2 Statutory Scope & Boundaries
- Governing Statutes: Powers of Attorney Act, 1882; Indian Stamp Act, 1899 (and state-specific Stamp Acts); Registration Act, 1908; Notaries Act, 1952; Code of Civil Procedure, 1908; Indian Contract Act, 1872.
- In-Scope Transactions: Financial asset management, litigation representation, regulatory liaising, tenancy management, commercial contracting, and specific real estate authorizations (excluding disguised conveyance of title).
- Out-of-Scope Transactions: Transfer of immovable property title by unregistered GPA (expressly prohibited under Section 54 of the Transfer of Property Act, 1882), execution of testamentary instruments (wills), marriage solemnization, and performance of personal statutory or biological duties.
3. Prerequisites & Tool Requirements
3.1 Hardware & Physical Assets

3.3 Identification & Verification Collateral

- 3.3 Procure Non-Judicial Stamp Paper / e-Stamp Certificate:
- Access SHCIL or state treasury vendor.
- Input First Party as [Principal Name] and Second Party as [Attorney Name].
- Generate Certificate with Description: "Article 48 - Power of Attorney".
- Deficit Stamping Risk: Check that stamp paper is purchased within 6 months of execution to avoid invalidation under local state revenue codes.

- 4.3 Notarization Protocol:
- Present the physically present Principal and witnesses before a certified Notary Public appointed under the Notaries Act, 1952.

- Verify that the Sub-Registrar's signature, seal, and unique Book Number, Volume Number, and Page Numbers are legible.
Phase 6: Post-Execution Archival & Ingestion

Verification Checklist & Sign-Off Matrix
- Identity Integrity: Does the name, age, father's/spouse's name, and address of the Principal on the POA correspond exactly with the presented PAN and Aadhaar databases?
- Pass Target: 100% match. Any typographical or middle-name discrepancy requires an accompanying sworn one-and-the-same affidavit.
- Deficit Stamp Protection: Has the instrument paid the peak stamp duty applicable within the specific executing state?
- Pass Target: Fully validated stamp challan matching statutory duty. Under-stamping leads to impounding under Section 33 of the Indian Stamp Act, 1899.
- Execution Authentication: Did the Principal execute all pages (margins included), and did the Notary record the execution in the Notarial Register with assigned entry serial number?
- Pass Target: Affixed Notary Seal, Notary Stamp, Serial Number, and Page-by-Page signatures.
- Registration Mandatory Assessment: If the POA delegates authority to present conveyance deeds to the Sub-Registrar under Section 32 of the Registration Act, 1908, has the POA itself undergone registration under Section 17?
- Pass Target: Registration stamp, Book Number, Page Number, and Registration Number endorsed by the Sub-Registrar.
7. Practical Troubleshooting Scenarios
Scenario A: Out-of-Country Execution Exceeding 90-Day Adjudication Window
- Context: An Indian citizen residing in the United States executes a POA before the Indian Consulate in San Francisco. The document is mailed to India, but due to courier delays, is received 95 days post-execution. Under Section 18 of the Indian Stamp Act, 1899, instruments executed outside India must be stamped within three months after receipt in India.
- Operational Failure: The receiving party attempts to stamp it after 3 months from consular date, triggering fear of impoundment.
- Corrective Action Protocol:
- Secure and preserve the international courier manifest, tracking slip, envelope, and airway bill showing the exact date of physical delivery into Indian territory.
- Draft an Affidavit of Receipt affirming that the document entered the borders of India on Date
[T], and less than 90 days have lapsed since that actual physical receipt. - Submit the instrument along with the envelope, tracking manifest, and affidavit to the District Collector of Stamps / Superintendent of Stamps for adjudication under Section 31/32 of the Indian Stamp Act.
- Pay the certified stamp duty without penalty based on proven receipt date.
Scenario B: Sub-Registrar Refusal Based on Suraj Lamp Precedent
- Context: The Sub-Registrar refuses registration of an SPA authorizing the Attorney to manage and execute leases for an apartment complex, claiming that powers of attorney involving immovable properties are prohibited conveyances.
- Operational Failure: SRO officer issues an oral refusal or written endorsement citing Suraj Lamp & Industries v. State of Haryana (2012) 1 SCC 656.
- Corrective Action Protocol:
- Issue a formal response referencing paragraph 20 and 21 of the Suraj Lamp judgment: Emphasize that the Supreme Court explicitly preserved genuine transactions executed via Power of Attorney (e.g., genuine agency for property management, development, and maintenance).
- Verify that Clause 7 ("Statutory Disclaimer") is highlighted in the instrument, expressly excluding the conveyance of ownership, sale consideration receipt, or transfer of possessory title under Section 53A of the Transfer of Property Act.
- If refusal persists, request a formal Refusal Order in writing under Section 71 of the Registration Act, 1908.
- File an administrative appeal to the District Registrar under Section 72 of the Registration Act within 30 days of the refusal order.
Scenario C: Notary Serial Entry and Seal Discrepancy Discovered Post-Execution
- Context: An executed SPA is submitted to a regulatory authority (e.g., Reserve Bank of India or a public sector bank). The authority rejects the instrument because the Notary Public affixed their stamp and signature but omitted the Notarial Register Serial Number and the Notarial Adhesive Stamp.
- Operational Failure: Incomplete notarization leaves the instrument vulnerable to invalidation under Section 8 of the Notaries Act, 1952, destroying the presumption of validity under Section 85 of the Indian Evidence Act, 1872.
- Corrective Action Protocol:
- Immediately contact the executing Notary Public and demand the original Notarial Register log for the execution date.
- Physically re-present the original document to the Notary to record the specific Register Page and Serial Number onto the instrument.
- Affix the requisite denomination Notarial Adhesive Stamp (distinct from court fee stamps) and run the Notary's counter-signature across the stamp.
- If the Notary cannot trace the register entry or has retired/surrendered commission, scrap the defective instrument entirely and execute a fresh, fully compliant instrument under Phase 4 protocols. Do not attempt post-facto alteration without contemporaneous register evidence.
