1. STATUTORY & LEGAL COMPLIANCE NOTICE

CRITICAL LEGAL NOTICE: This General Power of Attorney for Business is an institutional-grade legal instrument designed to grant broad fiduciary and administrative powers to a designated agent regarding corporate operations. The execution of this document has significant legal, financial, and operational consequences.

The Principal and the Attorney-in-Fact must ensure that this instrument complies with all applicable state statutes, corporate bylaws, and resolutions of the Principal entity. Certain jurisdictions require specific statutory wording, formal witness attestations, or notarization for a power of attorney to be validly executed, recorded, or accepted by financial institutions, regulatory bodies, and third-party commercial counterparts.

It is strongly advised that legal counsel representing both the Principal and the Attorney-in-Fact review this instrument prior to execution to verify local statutory compliance and alignment with organizational governance documents.

  2. Review Governance Documents: Verify that the Principal entity's Articles of Incorporation, Bylaws, Operating Agreement, or Partnership Agreement permit the delegation of executive and operational authorities via a power of attorney. Ensure a corporate resolution approving this appointment is drafted, signed, and retained in the corporate minute book.

    • Provide certified true copies to banking institutions, key vendors, and regulatory bodies as required for operational implementation.
    • Maintain an active register of all issued powers of attorney to ensure timely revocation upon employee termination or business restructuring.
