5. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Field Completion: Open the document in Microsoft Word or Google Docs. Replace all bracketed text (e.g., [Company Full Legal Name]) with the accurate legal information. Ensure the "Scope of Services" is tailored to the specific transaction.
  2. Verify Signatory Authority: Ensure the individual signing for the Principal is a Director (Torishimariyaku) or an officer with the legal power to grant agency under the company's Articles of Incorporation.
  3. Inkan (Seal) Requirements:
    • If the Principal is a Japanese entity, the registered corporate seal (Jitsu-in) should be used.
    • Attach a Seal Registration Certificate (Inkan Shomeisho) issued within the last three months for high-value transactions.
  4. Notarization and Apostille:
    • If the Principal is signing outside of Japan, the document must be notarized by a local Notary Public.
    • If the document is to be used for Japanese government filings, an Apostille (per the Hague Convention) may be required from the Secretary of State or relevant authority in the Principal's home country.
  5. Digital Signature: While Japan has the "Act on Electronic Signatures and Certification Business," many traditional Japanese banks and the Bureau of Legal Affairs (Homu-kyoku) still prefer physical seals. Confirm with the receiving third party if DocuSign/Adobe Sign is acceptable.
  6. Translation: If the document is only in English, a Japanese translation may be required for submission to Japanese authorities. The translation does not usually need to be notarized but must identify the translator.
  7. Record Retention: Maintain the original executed PoA in a secure corporate minute book. Provide a "Certified True Copy" to the Attorney-in-Fact for their operational use.
