SECTION 3: EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
3.1 Grant of Authority and Scope of Agency
The Principal hereby revokes any previous powers of attorney granted by the Principal regarding the matters explicitly covered herein and appoints the Agent as the Principal's attorney-in-fact with full authority to act on the Principal's behalf. The Agent shall possess the power to exercise all rights, options, duties, and discretions that the Principal could do if personally present, specifically encompassing all statutory powers enumerated under the Washington Uniform Power of Attorney Act (RCW 11.125), including but not limited to real property transactions, tangible personal property, stocks and bonds, commodities and options, banks and other financial institutions, operation of business entities, personal and family maintenance, benefits from civil service or governmental programs, retirement plans, and taxes.
3.2 Successor Attorney-in-Fact

3.5 Compensation and Reimbursement of Agent
The Agent shall serve [Choose one: without compensation / with reasonable compensation consistent with industry standards for fiduciary services]; provided, however, that the Agent shall be fully reimbursed from the Principal's assets for all reasonable, actual, and necessary out-of-pocket expenses incurred in the execution of duties authorized under this Power of Attorney, supported by contemporaneous itemized receipts and documentation.
3.6 Term, Durability, and Termination
This Power of Attorney shall take effect immediately upon execution ([Effective Date]) and shall remain in full force and effect until revoked in writing by the Principal or upon the death of the Principal. This power is expressly designated as durable pursuant to RCW 11.125.400 and shall not be terminated by the subsequent disability or incapacity of the Principal. Revocation of this document requires a formal written instrument executed with the same formalities as this instrument and delivered to the Agent.
3.7 Reliance and Third-Party Protection
Third parties (including banks, financial institutions, title companies, healthcare entities, and government agencies) may safely and unhesitatingly rely upon the representations of the Agent acting within the scope of this authority. No third party who acts in good faith reliance upon a copy of this Power of Attorney, accompanied by an affidavit executed by the Agent certifying that the power has not been revoked, shall incur any liability to the Principal, the Principal’s estate, or the Principal’s successors.
3.8 Representations and Warranties
The Principal represents and warrants that the Principal is of sound mind, possesses full legal capacity to execute this document, and is not acting under duress, coercion, or undue influence. The Agent, by accepting appointment hereunder, warrants that the Agent will act strictly in accordance with the Principal’s reasonable expectations, in good faith, and solely within the scope of authority granted by this document and Washington State law.
3.9 Limitation of Liability and Indemnification
The Agent shall not be liable to the Principal, the Principal's estate, or any beneficiary for any loss, damage, or depreciation arising from any act or omission performed in good faith pursuant to this Power of Attorney, except in cases of willful misconduct, gross negligence, or intentional breach of fiduciary duty. The Principal hereby indemnifies and holds harmless the Agent from and against any claims, liabilities, or expenses incurred as a consequence of acting as Agent hereunder, save for those resulting from the Agent's own gross negligence or willful misconduct.
3.10 Governing Law and Jurisdiction
This Power of Attorney, and all questions concerning its construction, validity, interpretation, and enforcement, shall be governed by, construed, and enforced in accordance with the laws of the State of Washington, specifically including the Washington Uniform Power of Attorney Act (RCW 11.125), without giving effect to any choice of law principles. SECTION 5: STEP-BY-STEP EXECUTION & FILING GUIDE
- Document Preparation: Download this template into Microsoft Word or Google Docs. Replace all bracketed text (e.g.,
[Client Full Legal Name],[Principal Address],[Effective Date]) with precise, verified legal names and physical addresses. Ensure no brackets remain unfilled. - Identity and Capacity Verification: Verify that the Principal possesses clear testamentary capacity and is fully cognizant of the sweeping powers being delegated.
- Notarization Protocol: In the State of Washington, while general financial powers do not strictly require a notary for every bank transaction, institutions routinely reject unnotarized POAs. Furthermore, notarization is mandatory if the Agent will manage real estate transactions (RCW 65.08.070). Arrange for a licensed Washington Notary Public to witness the Principal’s signature.
- Witness Signatures: Have two disinterested adult witnesses (individuals who are not named as agents, successors, or beneficiaries) sign the Witness Attestation section.
- Agent Acceptance: Ensure the designated Agent signs the Agent’s Acceptance of Appointment section. While execution can occur concurrently, the Agent must formally accept the role before executing transactions.
- Digital Signature Processing (If Applicable): If executing via DocuSign or Adobe Sign, ensure the platform generates a tamper-evident audit trail complying with the ESIGN Act and UETA, and that a certified PDF containing cryptographic hashes is preserved.
- Record Retention and Distribution:
- Retain the original wet-ink signed document in a secure, fireproof home safe or institutional vault.
- Provide certified copies to the primary Agent and Successor Agent.
- Present certified copies to financial institutions, brokerage firms, and healthcare entities where the Principal maintains accounts, ensuring compliance with institutional acceptance policies under RCW 11.125.190.
