1. STATUTORY & LEGAL COMPLIANCE NOTICE
CRITICAL CLINICAL & LEGAL DISCLAIMER: This instrument is an institutional-grade legal template designed to comply with general statutory frameworks governing durable powers of attorney for financial and healthcare decisions. 1.1 Appointment of Primary Financial Agent. 1.5 Joint or Several Action. Unless otherwise specified herein, designated Agents shall act severally, meaning any single designated Agent may execute powers independently. If multiple agents are required to act jointly, such requirement must be explicitly stated in writing within an addendum to this instrument.
SECTION 2: GRANT OF FINANCIAL POWERS
The Principal grants the designated Financial Agent full power and authority to act for the Principal in all matters concerning real and personal property, financial accounts, and commercial transactions, including but not limited to the following:
2.1 Bank and Financial Institution Transactions. To open, maintain, modify, or close bank accounts, checking accounts, savings accounts, certificates of deposit, and brokerage accounts; to write checks; to deposit funds; to execute electronic fund transfers; and to negotiate all financial instruments.
2.2 Real Property Management. To lease, sell, mortgage, purchase, exchange, maintain, alter, insure, pay taxes on, and encumber any real property or interest therein owned by the Principal, upon such terms and conditions as the Financial Agent deems commercially reasonable.
2.3 Business Operations and Management. To vote at corporate meetings; to sign partnership or corporate agreements; to manage, control, and operate any business entity in which the Principal holds an ownership interest; to execute commercial contracts; and to disburse or collect capital contributions.
2.4 Tax, Government, and Administrative Services. To prepare, sign, and file local, state, and federal tax returns; to represent the Principal before the Internal Revenue Service (IRS) and state tax authorities; to pay tax assessments; and to apply for, collect, and manage government benefits, social security, Medicare, Medicaid, or veterans' administration benefits.
2.5 Insurance and Retirement Accounts. To purchase, maintain, surrender, borrow against, or change beneficiaries on life, health, property, and casualty insurance policies; and to manage, roll over, or withdraw funds from individual retirement accounts (IRAs), 401(k) plans, pension plans, and annuities.
2.6 Legal Actions and Dispute Resolution. To retain legal counsel; to initiate, prosecute, defend, compromise, arbitrate, settle, and dismiss any legal actions, claims, administrative proceedings, or arbitrations involving the Principal or the Principal’s property.
SECTION 3: GRANT OF HEALTHCARE AND MEDICAL POWERS
The Principal grants the designated Healthcare Agent full power and authority to make medical and healthcare decisions on behalf of the Principal, subject to the following provisions:
3.1 Scope of Healthcare Decision-Making. The Healthcare Agent is authorized to consent to, refuse, withdraw, or withhold any medical treatment, surgical procedure, diagnostic testing, hospital admission, psychiatric care, or pharmaceutical intervention, provided such decisions align with the known wishes of the Principal or, if unknown, are in the best clinical interests of the Principal.
3.2 Access to Medical Records and HIPAA Authorization. Pursuant to the Health Insurance Portability and Accountability Act of 1996 (HIPAA), the Principal explicitly designates the Healthcare Agent as a personal representative with full access to all protected health information (PHI), medical records, clinical notes, diagnostic imagery, and billing records held by any physician, hospital, clinic, nursing facility, or insurance provider.
3.3 End-of-Life and Life-Support Decisions. If the Principal is suffering from a terminal condition, persistent vegetative state, or irreversible medical condition where life-sustaining treatment would only artificially prolong the dying process, the Healthcare Agent is authorized to direct the withholding or withdrawal of mechanical ventilation, artificial nutrition and hydration, cardiopulmonary resuscitation (CPR), and other life-prolonging interventions, in accordance with the Principal's living will or expressed directives.
3.4 Selection of Facilities and Providers. To select, contract with, admit the Principal to, and discharge the Principal from any hospital, hospice, nursing home, assisted living facility, or rehabilitation center, and to hire or fire private medical personnel, nurses, and home health aides.
SECTION 4: DURABILITY, INCAPACITY, AND EFFECTIVE DATE
4.1 Durability Provision. This Power of Attorney is durable and shall not be affected by the subsequent disability, incapacity, or mental incompetence of the Principal. All acts done by the designated Agents pursuant to this instrument during any period of the Principal’s disability or incapacity shall have the same force and effect and shall bind the Principal, the Principal’s heirs, successors, and assigns, as if the Principal were fully competent and alive.
4.2 Triggering Events for Healthcare Proxy. The healthcare provisions of this Power of Attorney shall become effective immediately upon a written determination by the Principal’s attending physician, or a licensed psychologist/psychiatrist, that the Principal lacks the capacity to comprehend and make informed healthcare decisions.
4.3 Triggering Events for Financial Powers. Unless otherwise specified herein, the financial provisions of this Power of Attorney shall become effective immediately upon execution by the Principal.
SECTION 5: FIDUCIARY DUTIES, COMPENSATION, AND ACCOUNTING
5.1 Standard of Care. The designated Agents shall act in good faith, with undivided loyalty, and in accordance with the best interests of the Principal. The Agents shall avoid self-dealing and conflicts of interest.
5.2 Accounting and Record Keeping. The Financial Agent shall maintain accurate, contemporaneous books, records, receipts, and ledgers of all financial transactions, receipts, disbursements, and asset transfers undertaken on behalf of the Principal. Upon written request by the Principal, a court-appointed fiduciary, or a designated successor, the Financial Agent shall provide a complete accounting within thirty (30) calendar days.
5.3 Compensation and Reimbursement. Designated Agents shall serve without financial compensation for their time; however, Agents shall be fully reimbursed from the Principal’s assets for all reasonable, necessary, and documented out-of-pocket expenses incurred directly in the execution of their duties under this instrument.
SECTION 6: THIRD-PARTY RELIANCE AND INDEMNIFICATION
6.1 Protection of Third Parties. Any third party, financial institution, broker, healthcare provider, or government entity (each a "Third Party") that receives a copy of this Power of Attorney may rely upon its validity and enforceability. Third Parties are entitled to rely upon an affidavit executed by the Agent stating that this Power of Attorney remains in full force and effect and has not been revoked, modified, or terminated.
6.2 Indemnification of Agents and Third Parties. The Principal hereby releases, holds harmless, and agrees to indemnify any Third Party who honors this Power of Attorney from any liability, loss, claim, damage, or expense arising from such reliance. Furthermore, the Principal indemnifies the designated Agents against any legal liability incurred through actions taken in good faith pursuant to the scope of this authority.
SECTION 7: REVOCATION, MODIFICATION, AND TERMINATION
7.1 Revocation by Principal. The Principal retains the absolute legal right to revoke or modify this Power of Attorney at any time, provided the Principal possesses mental capacity. Revocation must be executed in writing, notarized, and delivered to the designated Agents and relevant financial or medical institutions.
7.2 Automatic Termination. This Power of Attorney shall automatically terminate upon: (a) the death of the Principal; (b) the execution of a formal written revocation by a competent Principal; or (c) the resignation, legal incapacity, or death of the sole remaining Agent without a surviving Successor Agent.
SECTION 8: MISCELLANEOUS PROVISIONS
8.1 Severability. If any provision, clause, or section of this Power of Attorney is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such holding shall not affect the validity or enforceability of the remaining provisions, which shall remain in full force and effect.
8.2 Governing Law and Jurisdiction. This Power of Attorney, and all rights, obligations, and disputes arising hereunder, shall be governed by, construed, and enforced in accordance with the laws of the State of [State], without regard to its conflict of laws principles.
8.3 Entire Agreement. This instrument constitutes the entire agreement between the Principal and the designated Agents regarding the subject matter hereof, superseding all prior oral or written representations, agreements, or understandings.

[Client Full Legal Name],[State],[Effective Date]) with accurate, verified legal data. Ensure no bracketed placeholders remain in the final document. - Signatory Verification: Confirm that the Principal possesses legal capacity and mental competence at the time of execution. Verify that all designated agents (Primary and Successors) are fully informed of their roles and are willing to accept their fiduciary responsibilities.

- Digital Signature: If utilizing platforms such as DocuSign or Adobe Sign, ensure that the platform complies with the Electronic Signatures in Global and National Commerce Act (ESIGN) and the Uniform Electronic Transactions Act (UETA).
