This Special Power of Attorney is an institutional-grade legal instrument designed to authorize Federal Express Corporation, its subsidiaries, affiliated entities, subcontractors, and designated customs brokers (collectively, "FedEx") to act on behalf of the undersigned Principal for specific shipping, customs clearance, and logistical operations.
Legal Disclaimer: The enforceability of power of attorney instruments governing international trade, customs brokerage, and transport logistics varies by jurisdiction. The Principal and Attorney-in-Fact acknowledge that certain customs authorities (including, but not limited to, U.S. Customs and Border Protection, or international equivalents) may require jurisdiction-specific customs power of attorney forms (e.g., U.S. Customs Form 5291) in addition to, or in lieu of, this instrument. Counsel recommends verifying local regulatory filing requirements prior to operational deployment.
SECTION 2: PARTIES & RECITALS
2.1 Identification of Principal:
[Company Full Legal Name], a [State of Incorporation/Organization] corporation, having its principal place of business at [Principal Address] (hereinafter referred to as the "Principal").
2.2 Identification of Attorney-In-Fact: Federal Express Corporation, including its operating divisions, subsidiaries, designated agents, and licensed customs brokers (hereinafter referred to as the "Attorney-in-Fact" or "FedEx").
2.3 Recitals:
- WHEREAS, the Principal routinely engages in domestic and international commercial shipping, import, export, and distribution of goods utilizing the logistical services of FedEx;
- WHEREAS, efficient execution of such transportation requires FedEx to act as the Principal’s agent for customs clearance, regulatory compliance, transport management, and administrative interaction with governmental and quasi-governmental authorities;
- WHEREAS, the Principal desires to grant specific, limited legal authority to FedEx to execute designated administrative, logistical, and customs-related acts for and on behalf of the Principal, subject to the terms and conditions set forth herein.
SECTION 3: GRANT OF SPECIAL POWER OF ATTORNEY
3.1 Scope of Authority. The Principal hereby constitutes and appoints FedEx as its true and lawful attorney-in-fact, for and in the name, place, and stead of the Principal, from the Effective Date forward, to perform exclusively the following specific acts in connection with shipments tendered by or to the Principal:
- Customs Brokerage & Clearance: To act as forwarding agent for export control, customs purposes, and regulatory compliance; to prepare, sign, endorse, and submit commercial invoices, bills of lading, airway bills, customs declarations, entry documents, and any other documentation required by any governmental agency, department, or sovereign state.
- Duty and Tax Handling: To pay or arrange for the payment of duties, taxes, tariffs, levies, and associated fees assessed by customs authorities, and to invoice the Principal for such disbursements pursuant to established commercial credit terms.
- Regulatory Communication: To receive, open, and process mail, notices, and electronic communications from customs or regulatory authorities concerning the Principal's shipments, and to respond to routine inquiries or audits directly related to specific shipments handled by FedEx.
- Endorsement of Instruments: To endorse, sign, or negotiate checks, drafts, or warrants issued by governmental agencies representing refunds of duties, overpayments, or drawbacks relating to the Principal’s shipments, provided that such funds are credited directly to the Principal’s account or remitted via agreed commercial channels.
3.2 Limitation of Authority. This instrument is a Special Power of Attorney. It strictly limits the authority of FedEx to the operational, administrative, and regulatory actions expressly enumerated in Section 3.1. Nothing herein shall be construed to grant FedEx the authority to bind the Principal to any contract of general indebtedness, incur long-term financial liabilities unrelated to shipping services, or execute transactions outside the direct scope of logistics, transportation, and customs brokerage.
SECTION 4: COMPENSATION, INVOICING & FINANCIAL TERMS
4.1 Service Fees & Tariffs: The Principal shall compensate FedEx for shipping, transportation, brokerage, and administrative services in accordance with the applicable FedEx Service Guide, standard commercial rate sheets, or negotiated pricing agreements in effect at the time of tender.
4.2 Invoicing and Payment Terms: FedEx shall issue invoices for all freight charges, customs duties, taxes, storage fees, and ancillary service charges. The Principal shall remit payment in full within [Amount in USD] or standard net terms of [e.g., 30] days from the date of invoice.
4.3 Late Payment Interest: Unpaid balances shall accrue interest at the maximum rate permitted by applicable law, or one and one-half percent (1.5%) per month, whichever is lower, calculated from the due date until the date of actual payment. The Principal agrees to reimburse FedEx for all reasonable costs of collection, including attorney's fees and court costs, incurred in recovering delinquent amounts.
SECTION 5: TERM, TERMINATION & REVOCATION
5.1 Effective Term: This Power of Attorney shall commence on the Effective Date and shall remain in full force and effect until terminated pursuant to Section 5.2.
5.2 Termination for Convenience: The Principal may revoke this Power of Attorney at any time by providing written notice of revocation to FedEx via certified mail or designated digital delivery receipt. Termination shall become effective thirty (30) days following actual receipt of such notice by FedEx, provided that such revocation shall not affect any rights, obligations, or liabilities accrued prior to the effective date of termination, including any open shipments in transit or unpaid customs duties.
5.3 Termination for Breach: Either party may terminate this authorization immediately upon written notice if the other party commits a material breach of any provision of this instrument or associated service agreements and fails to cure such breach within fifteen (15) days of receiving written notice specifying the breach.

6.2 Compliance with Laws: The Principal represents and warrants that all shipments tendered to FedEx comply fully with all applicable domestic and international laws, including export control regulations, economic sanctions, anti-money laundering statutes, and hazardous materials transport laws. The Principal assumes sole responsibility for the accuracy of all descriptions, values, and documentation provided to FedEx.
SECTION 7: LIMITATION OF LIABILITY & INDEMNIFICATION
7.1 Limitation of Liability: FedEx shall not be liable to the Principal for any indirect, incidental, consequential, special, or punitive damages, including loss of profits or business opportunity, arising out of or in connection with the exercise of authority under this Power of Attorney, regardless of whether such liability arises in contract, tort (including negligence), strict liability, or otherwise.
7.2 Indemnification: The Principal agrees to defend, indemnify, and hold harmless FedEx, its officers, directors, employees, and agents from and against any and all claims, liabilities, losses, damages, fines, penalties, judgments, and reasonable attorney's fees arising out of or resulting from:
- Any misrepresentation, inaccuracy, or omission in the shipping documentation, customs declarations, or commodity descriptions provided by the Principal;
- The Principal’s violation of any applicable export, import, or customs laws or regulations;
- Any unauthorized act committed by the Principal or its agents outside the explicit scope of this Power of Attorney.

8.1 Governing Law: This Power of Attorney, and all claims or controversies arising out of or relating to it, shall be governed by, construed, and enforced in accordance with the laws of [State/Country], without regard to its conflict of laws principles.
8.2 Dispute Resolution: Any dispute, controversy, or claim arising out of or relating to this contract, including its formation or breach, shall be settled by binding arbitration administered by the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules. The place of arbitration shall be [City, State]. The award rendered by the arbitrator shall be final and binding, and judgment may be entered upon it in any court having jurisdiction thereof.
