Operative Clauses

1. Grant of Rights: Subject hereby grants the Organization, its successors, and assigns, the irrevocable, perpetual, worldwide, royalty-free right and license to use, reproduce, edit, exhibit, project, display, publish, and distribute the Subject’s name, likeness, image, voice, and performance (collectively, "Media") in any and all media formats now known or hereafter developed, including but not limited to websites, social media, marketing materials, and internal communications.

2. Waiver of Review: Subject acknowledges that they have no right to inspect or approve the finished product or the copy that may be used in connection with the Media, or the use to which it may be applied.

3. Release and Indemnification: Subject hereby releases and forever discharges the Organization, its employees, agents, and contractors from any and all claims, demands, or causes of action that Subject may now have or may hereafter have for libel, defamation, invasion of privacy, right of publicity, or any other claim arising out of or in connection with the use of the Media.

4. Compensation: Subject acknowledges that they shall receive no financial compensation, royalty, or other payment for the rights granted herein.

5. Ownership: Subject agrees that all rights, title, and interest in and to the Media, including all copyrights, shall be the sole and exclusive property of the Organization.

6. Governing Law: This agreement shall be governed by the laws of the state of [__________], without regard to its conflict of law principles.
