STATUTORY & LEGAL COMPLIANCE NOTICE:
This document is a template designed to be an institutional-grade, exhaustive agreement. It provides a robust framework for a partnership agreement governed by the laws of the State of Texas. HOWEVER, THIS DOCUMENT IS FOR INFORMATIONAL AND ILLUSTRATIVE PURPOSES ONLY AND DOES NOT CONSTITUTE LEGAL ADVICE. The specific legal and business needs of any particular partnership are unique and highly fact-dependent. Using this template without professional legal review and customization tailored to your specific circumstances and the actual type of partnership being formed (e.g., General Partnership, Limited Partnership, Limited Liability Partnership, or a strategic alliance between existing entities) is strongly discouraged. Formation of a general partnership under Texas law can create unlimited personal liability for partners. This template assumes a contractual collaboration between existing separate legal entities and is not intended, by itself, to form a new, separate legal entity or a general partnership with unlimited liability unless explicitly and specifically adapted for such purpose and accompanied by appropriate statutory filings (e.g., Certificate of Formation for an LP or LLP, or a Statement of Partnership Authority for a GP). Consultation with a qualified attorney licensed in Texas is essential to ensure compliance with all applicable laws and to protect the interests of all parties.

Each Party shall remain an independent legal entity responsible for its own debts, liabilities, and obligations, except as expressly provided herein. Any such compensation, including invoicing, payment terms, and milestones, shall be detailed in a separate Statement of Work ("SOW") or addendum mutually agreed upon and executed by both Parties. Unless otherwise agreed in such SOW, payment terms for approved SOWs shall be Net 30 days from the invoice date. 3. TERM AND TERMINATION
3.1. Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number] years ("Initial Term"), unless earlier terminated in accordance with the provisions of this Section 3. If the breach is not reasonably capable of being cured within the cure period, the breaching Party shall promptly commence efforts to cure and diligently pursue such efforts to completion.
3.4. Termination for Insolvency. Either Party may terminate this Agreement immediately upon written notice to the other Party if the other Party (a) becomes insolvent or generally unable to pay its debts as they become due; (b) files a petition for bankruptcy or has a petition for bankruptcy filed against it that is not dismissed within [Number] days; (c) makes an assignment for the benefit of creditors; or (d) ceases to conduct business in the normal course.

Termination of this Agreement shall not relieve any Party of any obligations or liabilities accrued prior to the effective date of termination.
4. INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1. Pre-Existing Intellectual Property. Each Party shall retain all right, title, and interest in and to its intellectual property (including, but not limited to, patents, copyrights, trademarks, trade secrets, and know-how) that existed prior to the Effective Date or was developed independently of this Agreement ("Pre-Existing IP"). During the Term of this Agreement, each Party grants to the other Party a non-exclusive, non-transferable, royalty-free license to use its Pre-Existing IP solely for the purpose of fulfilling its obligations and pursuing the Project under this Agreement. This license shall terminate upon the expiration or termination of this Agreement.
4.2. Jointly Developed Intellectual Property. All intellectual property, including but not limited to copyrights, patents, trademarks, trade secrets, and other proprietary rights, conceived, originated, developed, or reduced to practice jointly by the Parties in the course of and as a direct result of the Project and the performance of this Agreement ("Jointly Developed IP"), shall be jointly owned by Partner A and Partner B. a. Joint Registration. The Parties shall cooperate in good faith to register and protect the Jointly Developed IP in their joint names, with the costs of such registration and protection to be shared equally, or as otherwise mutually agreed in writing. c. Commercialization. Any commercialization of Jointly Developed IP shall be subject to the terms of this Agreement regarding profit and loss sharing, unless the Parties agree otherwise in a separate written agreement specific to the commercialization of such IP.
4.3. Work Made for Hire. To the extent that any deliverable, work product, or intellectual property (whether solely or jointly developed) created by Partner A or its employees, agents, or contractors for the Project is deemed to be a "work made for hire" under applicable copyright law, Partner A expressly agrees that all such work made for hire shall be the [sole property of Partner A / sole property of Partner B / joint property of both Parties as specified in 4.2]. If any such work is not deemed a "work made for hire," Partner A hereby irrevocably assigns, transfers, and conveys to [Partner A / Partner B / both Parties jointly] all right, title, and interest in and to such work product, including all intellectual property rights therein. A similar provision shall apply to Partner B for any work products it creates specifically for the Project. The specific ownership for deliverables and work product created by each Party during the Project will be detailed in Exhibit A.
4.4. Assistance and Further Assurances. Each Party agrees to execute all documents and take all actions reasonably requested by the other Party to vest in the other Party (or jointly, as applicable) the full benefit of ownership of the intellectual property rights contemplated by this Section 4.
5. MUTUAL CONFIDENTIALITY & NON-DISCLOSURE
5.1. Definition of Confidential Information. "Confidential Information" means any and all non-public information, whether commercial, financial, technical, operational, legal, or otherwise, disclosed by one Party (the "Disclosing Party") to the other Party (the "Receiving Party") in connection with the Project, whether orally, visually, in writing, electronically, or by any other means, and whether or not marked as "confidential." Use the Disclosing Party's Confidential Information solely for the purpose of fulfilling its obligations and pursuing the Project under this Agreement. d. Promptly notify the Disclosing Party in writing of any unauthorized use or disclosure of its Confidential Information.
5.3. Compelled Disclosure. If the Receiving Party is legally compelled (by subpoena, court order, or other governmental demand) to disclose any Confidential Information, it shall, to the extent legally permissible, provide the Disclosing Party with prompt written notice thereof so that the Disclosing Party may seek a protective order or other appropriate remedy. The Receiving Party shall cooperate with the Disclosing Party in any such efforts. If disclosure is required, the Receiving Party shall disclose only that portion of the Confidential Information that is legally required to be disclosed.
5.4. Return or Destruction. Upon the expiration or termination of this Agreement, or at any time upon the Disclosing Party's written request, the Receiving Party shall promptly return to the Disclosing Party or, at the Disclosing Party's option, destroy all copies of the Disclosing Party's Confidential Information in its possession, custody, or control, and provide a written certification of such return or destruction.
