3. EXHAUSTIVE OPERATIVE CLAUSES & LEGAL TERMS
SECTION 1: SCOPE OF SERVICES & ENGAGEMENT
1.1 Scope of Engagement. Party A hereby agrees to provide to Party B the professional services, deliverables, and strategic execution items (collectively, the "Services") as set forth in this Agreement and in any mutually executed Statement of Work (each, an "SOW"), the form of which is attached hereto as Exhibit A. Each SOW shall explicitly reference this Agreement and shall be governed entirely by the terms and conditions contained herein, unless expressly modified in writing by both Parties for that specific SOW.

Payments shall be remitted via wire transfer, electronic ACH, or corporate check in United States Dollars (USD) to the bank account designated in writing by Party A.
2.3 Late Payments and Interest. Any undisputed amounts not paid by Party B when due shall accrue interest at the lesser of one and one-half percent (1.5%) per month or the maximum rate permitted by applicable law, calculated from the Due Date until the date of actual payment in full. Furthermore, Party A reserves the right to suspend the performance of any ongoing Services upon ten (10) business days' written notice if any undisputed invoice remains unpaid past the Due Date.
2.4 Expenses. Party B shall reimburse Party A for all pre-approved, reasonable, and necessary out-of-pocket expenses incurred by Party A in connection with the performance of the Services, including travel, lodging, and third-party software licensing fees, provided that such expenses are supported by itemized receipts and comply with Party B's corporate travel and expense reimbursement policies.
SECTION 3: TERM & TERMINATION
3.1 Term. This Agreement shall commence on the Effective Date and shall continue in full force and effect for a period of [Number, e.g., Two (2)] years (the "Initial Term"), unless earlier terminated in accordance with the provisions of this Section 3. Following the expiration of the Initial Term, this Agreement shall automatically renew for successive [Number, e.g., One (1)] year periods (each, a "Renewal Term"), unless either Party provides written notice of non-renewal at least sixty (60) days prior to the expiration of the then-current term. (The Initial Term and any Renewal Terms collectively constitute the "Term").
3.2 Termination for Convenience. Either Party may terminate this Agreement, or any active SOW, for any reason or no reason, by providing the other Party with at least [Number, e.g., Sixty (60)] days' prior written notice.
3.3 Termination for Cause. Either Party may terminate this Agreement immediately upon written notice if the other Party:
- (a) Materially breaches any representation, warranty, or material covenant set forth in this Agreement and fails to cure such material breach within thirty (30) days after receipt of written notice detailing the specific breach;
- (b) Files a petition for bankruptcy, is adjudicated bankrupt, makes an assignment for the benefit of creditors, invokes or suffers the appointment of a receiver or trustee for all or a substantial portion of its assets, or experiences any analogous insolvency proceeding; or
- (c) Ceases to conduct business operations in the ordinary course.
3.4 Effect of Termination. Upon the effective date of termination of this Agreement for any reason:
- (a) Party A shall immediately cease all performance of the Services, and all active SOWs shall automatically terminate;
- (b) Party B shall promptly pay Party A for all Services rendered and approved expenses incurred up to the effective date of termination;
- (c) Each Party shall promptly return or destroy (and certify such destruction in writing) all Confidential Information, proprietary materials, and physical assets belonging to the other Party in its possession or control.
SECTION 4: INTELLECTUAL PROPERTY OWNERSHIP & WORK MADE FOR HIRE
4.1 Pre-Existing Intellectual Property. Each Party shall retain exclusive ownership of all right, title, and interest in and to all intellectual property, proprietary tools, methodologies, software code, trademarks, and trade secrets that it owned or developed prior to the Effective Date or developed independently of this Agreement (collectively, "Pre-Existing IP"). Nothing in this Agreement shall be construed to transfer ownership of any Pre-Existing IP from one Party to the other.
4.2 Work Made for Hire & Deliverables. Unless otherwise expressly agreed in a specific SOW, all custom deliverables, reports, data compilations, documentation, and work product specifically created, developed, or authored by Party A for Party B pursuant to this Agreement (collectively, the "Deliverables") shall be deemed a "work made for hire" under the copyright laws of the United States. 4.3 License to Pre-Existing IP Embedded in Deliverables. To the extent that any Deliverable incorporates any of Party A's Pre-Existing IP, Party A hereby grants to Party B a perpetual, irrevocable, non-exclusive, royalty-free, worldwide license to use, execute, reproduce, display, and distribute such Pre-Existing IP solely as an integrated component of the Deliverables.

7.1 Limitation of Liability. EXCEPT FOR LIABILITY ARISING FROM BREACHES OF SECTION 5 (CONFIDENTIAL INFORMATION), FRAUD, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, IN NO EVENT SHALL EITHER PARTY BE LIABLE TO THE OTHER PARTY FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, DATA, OR BUSINESS OPPORTUNITY, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT, REGARDLESS OF WHETHER SUCH LIABILITY IS ASSERTED ON THE BASIS OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, AND EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
7.2 Cap on Liability. EXCEPT FOR BREACHES OF SECTION 5, FRAUD, WILLFUL MISCONDUCT, OR INDEMNIFICATION OBLIGATIONS UNDER SECTION 7.3, EACH PARTY'S TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THIS AGREEMENT, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL BE STRICTLY LIMITED TO THE TOTAL FEES ACTUALLY PAID OR PAYABLE BY PARTY B TO PARTY A UNDER THIS AGREEMENT IN THE TWELVE (12) MONTH PERIOD PRECEDING THE EVENT GIVING RISE TO LIABILITY.
7.3 Indemnification by Party A. Party A agrees to defend, indemnify, and hold harmless Party B, its parent companies, subsidiaries, affiliates, directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from:

Party B agrees to defend, indemnify, and hold harmless Party A, its directors, officers, employees, and agents from and against any and all third-party claims, liabilities, losses, damages, judgments, and reasonable expenses (including reasonable attorneys' fees) arising out of or resulting from Party B's gross negligence, willful misconduct, or material breach of this Agreement.
SECTION 8: DISPUTE RESOLUTION & ARBITRATION
8.1 Negotiation and Escalation. In the event of any dispute, controversy, or claim arising out of or relating to this Agreement, including its formation, breach, termination, or validity (a "Dispute"), the Parties shall first attempt in good faith to resolve such Dispute by negotiation between senior executives of each Party. Either Party may initiate this process by providing written notice of the Dispute to the other Party, whereupon executives shall meet (in person or via teleconference) within fifteen (15) days to resolve the matter.
8.2 Binding Arbitration.
