14. STEP-BY-STEP EXECUTION & FILING GUIDE

  1. Drafting: Open this template in your preferred word processor. Use the "Find and Replace" function to update all bracketed fields (e.g., [Partner A Name]) with actual data. Ensure all percentages in Section 4 sum to 100%.
  2. Due Diligence: Verify the signatory authority. If a party is a corporation or LLC, ensure the person signing is an authorized officer (Manager, Managing Member, or CEO). If necessary, request a "Corporate Resolution" authorizing the transaction.
  3. Final Review: Have local legal counsel review the final draft, specifically regarding the governing law (Section 11) and tax-specific allocations (Section 4), as these are highly sensitive to jurisdiction.
  4. Execution: Use an e-signature platform such as DocuSign, Adobe Sign, or HelloSign. These provide an audit trail of the IP addresses and timestamps, which is critical for enforcing the "Effective Date."
  5. Record Retention: Store the executed PDF in a secure, encrypted cloud environment (e.g., SharePoint, Box) with restricted access. Ensure each party receives a fully executed digital copy.
  6. Filing: If the partnership is forming a new legal entity (e.g., a "Special Purpose Vehicle" or SPV), ensure Articles of Organization are filed with the Secretary of State before the Partnership Agreement is fully operationalized.
